Federal Supply Schedule Limited-Sources Justification Summary

This document is a Federal Supply Schedule Limited-Sources Justification for a follow-on order under the General Services Administration (GSA) Multiple Award Schedule (MAS) program. The Centers for Medicare & Medicaid Services (CMS) is issuing a 2-month extension (March 24, 2026 – May 23, 2026) valued at $100,000 to SOFTRAMS LLC (now operating as Tria Federal following a November 2024 acquisition) for continued operations and maintenance of the CMS Analysis, Reporting & Tracking System (CMS ARTS). The total contract value inclusive of all options increases from $3,378,917.27 to $3,478,917.27. The original GSA MAS order (GS-35F-372DA / 75FCMC21F0028) has been in place since March 24, 2021, and runs through March 23, 2026, with this extension providing a bridge period to transition to a newly awarded successor contract.

The justification invokes FAR 8.405-6(a)(1)(i)(C) for a logical follow-on order to ensure continuity of critical services and facilitate an orderly transition to the successor contractor. Services include maintaining ongoing CMS ARTS system operations at the same effort level as Option Period Four, along with structured transition-out activities including knowledge transfer, training of incoming personnel, documentation turnover, systems access coordination, and operational continuity support. The contract is firm-fixed-price, funded through Program Operations Direct funding (000628), and the justification confirms that market research was completed for the original award and the new successor requirement scheduled for mid-February 2026, with rates confirmed as fair and reasonable. No changes to the existing Statement of Work are anticipated under this extension.

2. Description of Supplies or Services:

The Centers for Medicare & Medicaid Services Analysis, Reporting and Tracking System (CMS ARTS) is the CMS system of record for tracking Contractor Business Proposals, Cost Reports, Deliverables, and Workload Information for various departments within the agency and contains financial, budget and cost related information which includes but is not limited to dashboard reports, contract performance reports and FOIA requests. This system is used by CMS staff and various contractors, including but not limited to Medicare Administrative Contractors (MACs) and Unified Integrity Contractors (UPICs).

The current contract is a General Services Administration (GSA) Multiple Award Schedule (MAS) order (GS-35F-372DA / 75FCMC21F0028) that was awarded as a sole source to Softrams, LLC. with a total period of performance from March 24, 2021, to March 23, 2026. In November 2024, Softrams announced they were acquired by Tria Federal. The current contract period runs from March 24, 2025 to March 23, 2026.

The services to be provided under this extension include continued operations and maintenance support for the CMS ARTS system, consistent with the existing Statement of Work (SOW).

Specifically, the contractor shall:

• Maintain ongoing CMS ARTS system operations.

• Provide system support at the same level of effort as negotiated under Option Period Four of the existing contract.

• Perform structured transition-out activities, including:

• Knowledge transfer to the successor contractor, o Training incoming personnel, o Documentation turnover and validation, o Systems access coordination, o Operational continuity support during transition.

3. Authority:

☒:ORDER AGAINST FSS: Authority of the Multiple Award Schedule Program, Title III of the Federal Property and Administrative Services Act of 1949 (41 U.S.C. 251, et seq.); Title 40 U.S.C. 501, Services for Executive Agencies; and Section 803 of the National Defense Authorization Act of 2002 (PL 107-107) and implemented by FAR 8.405-6. Mark the applicable exception and for each discuss how the cited authority applies in accordance with FAR 8.405-6(c)(2)(iv).

☐ An urgent and compelling need exists, and following the procedures would result in unacceptable delays (FAR 8.405-6(a)(1)(i)(A));

☐ Only one source is capable of providing the supplies or services required at the level or quality required because the supplies or services are unique or highly specialized (FAR 8.405-6(a)(i)(B));

or ☒ In the interest of economy and efficiency, the new work is a logical follow-on to an original Federal Supply Schedule order provided that the original order was placed in accordance with the applicable Federal Supply Schedule ordering procedures. The original order or BPA must not have been previously issued under sole-source or limited sources procedures (FAR 8.405-6(a)(1)(i)(C));

or

The services procured under this sole source logical follow-on contract extension will ensure continuity of critical services and facilitate an orderly and effective transition to the newly awarded successor contract. Tria Federal/Softrams has experience maintaining the CMS ARTS system since 2021 and will be able to provide Contractor support including transition-out activities such as knowledge transfer, training of incoming personnel, documentation turnover, systems access coordination as well as maintaining critical operations for the CMS

ARTS.

There are no changes to the current Statement of Work (SOW), the extension of services will be the same level of services negotiated for option period four of the existing contract, and the effort is strictly limited to continuation of existing services and transition support. In addition, the incumbent contractor is the only responsible source capable of providing uninterrupted services during this transition period without unacceptable delays, performance risk, or duplication of costs.

Considering the facts detailed above awarding a sole source logical follow-on contract to the incumbent is in the best interest of the Government to ensure high quality service on the program.

☐ An item peculiar to one manufacturer can be a particular brand name, product, or a feature of a product, peculiar to one manufacturer). A brand name item, whether available on one or more schedule contracts, is an item peculiar to one manufacturer. (FAR 8.405-6(b);

4. Market Research:

In accordance with FAR 10.002 (b)(1), market research was completed for this acquisition when the contract was awarded in 2021 and for the new requirement scheduled to be awarded mid-February 2026. Considering the time constraints and immediate need for uninterrupted services, no other contractor could reasonably assume performance of this effort without presenting substantial cost and technical performance risks. An informal analysis of the current rates established under the current sole source award confirm the rates remain fair and reasonable.

This action is not intended to avoid competition. Rather, it is a short-term logical follow-on contract necessary to support transition to the newly awarded successor contract.

5. Actions to Increase Competition:

A successor contract for this CMS ARTS effort has already been awarded. Future requirements will continue to be competed in accordance with applicable procurement regulations.
