GENERAL CONDITIONS AND INSTRUCTIONS

BID

A. HOW TO SUBMIT. The person, firm or corporation making such proposal shall submit it in a sealed opaque envelope to the Office of the County Administrator on or before the day and hour indicated on the Legal Notice, made a part hereof, and the envelope shall be endorsed on its face with the name of the person, firm or corporation making such proposal, the date of its presentation, and the title of the services, materials, equipment or supplies for which such proposal is made.

B. PRICE. Bidders submitting bids shall insert the price per stated unit against each item in the schedule hereto annexed which bidder proposes to furnish and deliver. The price inserted must be of the total amount of the bidder for all items bid upon, and the total shall be stated in the space provided at the end of the schedule.

C. ACCURACY OF BID. Vendors should ensure accuracy in figures prior to submission.

D. SPECIAL ORDERS. Bidder shall indicate when a specific item on the bid would be a “special order” (SPO) item and not available for immediate shipment upon receipt of order.

Bidder shall also indicate any minimum quantity required for each special order item and an approximate amount of time after ordering for delivery.

E. PRODUCT SPECIFICATIONS.

In specifications, the words “or equal” are understood after each article giving manufacturer’s name or catalog reference, or on any patented article. The decision of Cortland County as to whether an alternative or substitution is in fact “equal” shall be final.

If bidding on items other than those specified, bidder must in every instance give the trade designation of the article, manufacturer’s name and detailed specifications of the item he proposes to furnish. Otherwise, the bid will be construed as submitted on the identical item as specified.

Where no specification is listed, or there is a space to fill in specification, list drained weight, sieve, count, solids, specify gravity, etc., whichever may apply to product listed.

Items must comply with listed specifications.

If different from specification, equivalent case quantities and pack/size must be shown.

F. PRODUCT SAMPLES. Where samples are required, a representative of the county shall inform each bidder. The successful bidder shall be expected to furnish required samples from regular production runs upon demand of the department.

G. RECYCLED CONTENT. The Cortland County “Buy Recycled Program” requests the bidder to provide the percent of recycled materials used in the products where applicable.

Products containing significant recycled content, which are competitively priced and of acceptable quality, will be given favorable consideration, where applicable.

H. INFORMAL BIDS. The County reserves the right to consider an informal bid not prepared and submitted in accordance with the provisions of these specifications, or to waive informalities or errors in any bid as received.

I. RIGHT TO REJECT BID. Cortland County reserves the right to reject any and all bids in the best interest of Cortland County without cause. Also reserved is the right to reject bids and to purchase items on State Contract if such items can be obtained on the same terms, conditions, specifications, and at a lower price.

BIDDER AND PRODUCING PLANT(S)

A. NON-DISCRIMINATION. The vendor agrees and warrants that in the performance of this contract it will not discriminate or permit discrimination against any person or group of persons on the grounds of race, color, religion or national origin. The vendor further agrees and warrants that he will be in compliance with all civil rights requirements promulgated by Congress, the State of New York, and the state in which the producing plant(s) is located.

B. PRODUCING PLANT. For the purpose of these specifications, all finished products shall be required to have been produced in plants that are in full compliance with the Federal Pure Food and Drug Act, state and county health codes in the geographic location of the producing plant.

C. PLANT FACILITIES. The successful bidder’s plant facilities shall be subjected to inspection by representatives of the county at any time during the normal working day.

AWARD CONTRACT

A. WITHIN 30 DAYS. Cortland County reserves the right to make awards within thirty (30) days after the date of the Bid opening during which bids may not be withdrawn unless the bidder distinctly states in his Bid that acceptance thereof must be made within a shorter specified time.

B. DETERMINATION. Awards will be made on low item bid, or on the basis of lump sum for the total of a group or combination of groups, even though such award might result in a higher price than had the alternative method of award been made, if in the judgment of Cortland County such method of award shall be in the best interest of the County, taking into consideration the reliability of the bidder, the quality of the materials, equipment, or supplies to be furnished, their conformity with the specifications, the purpose for which required, and the terms of delivery.

C. SECOND LOW BID. The Bid determined to be second low shall be held in force for a period not exceeding thirty (30) days after performance by awarded bidder begins. In the event of cancellation or default of Contract, Cortland County reserves the rights to either award to the next low bidder or re-bid in the manner prescribed by law. In the absence of a statement to the contrary, the County shall assume the stipulation to be agreed upon by the designated second low bidder.

D. CONTRACT. Each Bid will be received with the understanding that the acceptance thereof in writing by Cortland County, to furnish any or all of the products and/or services described therein shall constitute a Contract between the Vendor and the County. This Contract shall bind the Vendor to furnish and deliver at the prices and in accordance with the conditions of the Bid.

Any and all Awards resulting from this Bid shall be final and shall be for the complete term of the Contract. No rescinding of Awards will be made because of Vendor error or inability to supply a product and/or service. If a Vendor discovers a mistake in an item in their Bid award and wants that item award rescinded after it has been awarded, the County reserves the right to rescind the entire award, and the Vendor’s responsibility may be questioned for future Bids.

E. NON-PERFORMANCE OF CONTRACT. A Contract may be canceled at the Vendor’s expense upon non-performance of Contract.

F. NO CONTRACT TRANSFER. It is mutually understood and agreed that the Vendor shall not assign, transfer, convey, sublet, or otherwise dispose of the Contract or the right, title, or interest therein, or the power to execute such Contract, to any other person, company, or corporation, without the previous written consent of the County.

ORDERS

A. ESTIMATED ORDER QUANTITIES. Estimated quantities are listed by department on the attached bid quote forms. Cortland County reserves the right to purchase additional quantities for use by various departments during the specified bid period from the successful bidder for the same price at which the Bid is awarded.

B. ORDER MINIMUMS. County agrees that all orders to the Vendor will be $400.00, if possible. If a Bidder has a minimum order amount, it shall be indicated on the bid.

C. PLACING ORDERS. Orders shall be placed in advance of the scheduled delivery day. In the event of a change in order, the vendor will be notified not later than 4:00 pm preceding the day of the delivery.

D. OUT-OF-STOCK ITEMS AND SUBSTITUTIONS. After receipt of an order, the Vendor agrees to call the department within three working hours concerning any out-of-stock items included in the order. No substitution for out-of-stock items may be made without advance approval from the Department. Any substitution must honor the bid award price. If no substitution can be made, and a Department is forced to purchase out-of-stock items or items not meeting specifications from another Vendor, the cost difference must be paid by the original Vendor.

E. FAILURE TO MEET PRODUCT SPECIFICATIONS. Products that fail to meet the specifications of this contract shall be rejected. The vendor will be notified and replacement requested.

Where the vendor is unable to replace the rejected quantities within sufficient time to meet the county department’s schedule, the department shall have the right to purchase the rejected item on the open market charging the difference in cost to the vendor. The continued failure on the part of the vendor to meet the terms of this contract shall constitute grounds for cancellation.

DELIVERIES

A. DELIVERY SCHEDULE. Deliveries shall be made as detailed below. All deliveries must be made in accordance with the schedule. Changes can be made only with a written consent of an authorized representative of the county department.

All deliveries are to be made between 7:00 AM and 12:00 noon on Monday through Friday. Departments requesting a variance in this schedule will individually notify the vendor.

Bidder must note on the bid ANY EXCEPTIONS to the delivery schedule.

B. VENDOR’S DELIVERY FAILURE. The awarded bidder shall be held liable for monetary losses resulting from vendor’s failure to meet the stipulated delivery schedule made a part of this Bid. This would include monetary losses resulting from local purchases of the awarded products.

C. NON-SCHEDULED COUNTY CLOSINGS. When a non-scheduled county department closing occurs and the department is unable to notify the vendor of a closing before delivery begins, or in the event the vendor is informed of a non-scheduled closing on the morning of delivery, the department, providing personnel and the necessary freezer space are available, shall accept and store the order. In the event the department does not have the personnel and/or necessary freezer space available to accept and store the order, the order shall then be held pending instructions for subsequent delivery.

D. DELIVERY CONTAINERS. Where appropriate to utilize delivery containers, the vendor, at his option, may use a “disposable” or a “non-disposable” type of delivery container. Such containers shall be of the “stack” type for convenient storage. The vendor is obligated to remove all empty containers within 48 hours after delivery. Delivery containers used must be properly constructed to prevent spillage of contents.

DRAFT

A.2 Such policies are to be in the broadest form available on usual commercial terms and shall be written by insurers of recognized financial standing satisfactory to the COUNTY and who have been fully informed as to the nature of the services to be performed. Except for Worker’s Compensation and professional liability, the

COUNTY shall be an additional insured on all such policies with the understanding that any obligations imposed upon the insured (including without limitation, the liability to pay premiums) shall be the sole obligations of the

CONTRACTOR and not those of the COUNTY. The CONTRACTOR irrevocably waives all claims against the

COUNTY for all losses, damages, claims or expenses resulting from risks commercially insurable under the insurance described in this paragraph. The provision of insurance by the CONTRACTOR shall not in any way limit the CONTRACTOR’S liability under this agreement.

B. The CONTRACTOR shall submit at the time of the execution of this agreement, certificates of insurance properly executed by an authorized representative of its insurance underwriter, evidencing such insurance policies to be in full force and effect, naming the COUNTY which shall assume to include its officers, employees, agents and representatives as additional insured. (ii) It shall not be cancelled, including, without limitation, for non-payment of premium, or materially amended, without 30 days prior written notice to the COUNTY, directed to the contracting department and the office of the County Attorney and to the office of the Chair of the Legislature, and the COUNTY shall have the option to pay any necessary premiums to keep such insurance in effect and charge the cost back to the CONTRACTOR.

C.2 To the extent it is commercially available, each policy of insurance shall be provided on an “occurrence” basis. If any insurance is not so commercially available on an “occurrence” basis, it shall be provided on a “claim made” basis, and all such “claims made” policies shall provide that:

(iv) Immediate notice shall be given to the COUNTY through the contracting department and the office of the County Attorney and to the office of the Chair of the Legislature of circumstances or incidents that might give rise to future claims with respect to the services performed under this agreement;

(v) Notice of termination of any such policies must be provided to the COUNTY at least ten (10) days in advance of such Notice of termination. CONTRACTOR shall, on or before this 10-day period, provide the COUNTY with a prospective Certificate of Insurance with the above coverage and limits for the balance of the term of this agreement; and
