About this file
This is a Justification and Approval for Other Than Full and Open Competition document submitted by the Defense Microelectronics Activity (DMEA), located at 4234 54th Street, McClellan, California. The document justifies a single-source, fixed-price contract for annual preventative maintenance services on specialized analytical equipment. The contract, referenced as SOW/PWS #26-6C9, covers maintenance for two Energy Dispersive X-Ray Spectroscopy (EDS) systems and one Wavelength Dispersive X-Ray Spectroscopy (WDS) system and associated components. The sole source identified is Gatan, Inc. (formerly EDAX prior to a January 2026 merger), located at 780 Commonwealth Drive, Warrendale, Pennsylvania 15086-7521, with the primary contact being Christine Meehan at 201-529-6121. The contract utilizes RDTE (Research, Development, Test, and Evaluation) funds.
The justification for single-source procurement centers on proprietary equipment design and configuration exclusively managed by EDAX/Gatan, Inc., combined with proprietary software and components that prevent third-party service providers from offering equivalent support. Market research confirmed that Gatan, Inc. does not certify third-party service providers. The contracting officer determined that pursuing competitive procurement would void the remaining equipment warranty and result in loss of manufacturer support. Previous EDAX support services were procured under contracts HQ072718C0002 and HQ072723P0009. Contracting Officer Michael D. Cross certified the fair and reasonable cost determination and accuracy of supporting documentation on 20 February 2026. The document confirms no second sources exist for this specialized system.

DMEA #26-07
Defense Microelectronics Activity 4234 54th Street, McClellan, CA 95652
SOW/PWS #26-6C9
Justification and Approval for Other Than Full and Open Competition
1. Agency and Contracting Activity: Office Of Secretary Of Defense, Defense Microelectronics Activity (DMEA).
2. Nature/Description of Action: Approval is being requested for a FFP contract for a preventative maintenance service contract using RDTE funds.
3. Description of Supplies/Services: The contractor will provide DMEA with annual preventative maintenance service, covering two (2) Energy Dispersive X-Ray Spectroscopy (EDS) systems and one (1) Wavelength Dispersive X-Ray Spectroscopy (WDS) system and associated components as described in PWS paragraph 3.3.1. Estimated cost for the service
4. Authority Cited:
FAR 13.106-1(b), Soliciting from a single source.
5. Reason for Authority Cited: The EDS and WDS X-Ray Spectroscopy systems that MEBC uses has been designed and configured by EDAX. Only EDAX has the knowledge and understanding of how the tool is configured and they are the only ones that are qualified to service the tool. Moreover, many of the components and software are proprietary, making the opportunity for another company able to provide the required service quite difficult as the Original Equipment Manufacturer (OEM) does not allow for sale of proprietary software source code or other proprietary information about the tool and its components. EDAX and Gatan, Inc merged in January 2026 and will now continue business as Gatan, Inc. in the future.
6. Efforts to Obtain Competition: No action was taken to obtain competition because the information required to the maintenance of the EDAX EDS and WDS X-Ray Spectroscopy systems will void any remaining warranty DMEA is entitled to and EDAX will not perform maintenance and/or support the equipment in the future.
7. Contracting Officer’s Fair and Reasonable Cost Determination: I hereby determine that the anticipated cost to the Government for this contract action will be fair and reasonable, and this justification is accurate and complete to the best of my knowledge.
Typed Name: Michael D. Cross Date: 20 February 2026
Title: Contracting Officer Signature:
8. Market Research: The tool manufacturer was asked if they certify any third-party entities to perform maintenance and service on their tools, to which they stated: Gatan, Inc. does not certify third party service.
DMEA #26-07
9. Other Facts: EDAX support services was previously procured under contract HQ072718C0002 and HQ072723P0009.
