About this file

This Limited-Sources Justification (LSJ) documents FEMA's intent to award a Blanket Purchase Agreement (BPA) to BAE Systems Technology Solutions & Services Inc. for IT Operations and Maintenance (O&M) services. The bridge BPA will cover the period from 07/31/2025 to 04/30/2026, with a base period and two option periods, to ensure continuity of critical IT services while FEMA develops a competitive solicitation. The justification emphasizes BAE's unique knowledge of FEMA's complex IT environment, noting that transitioning to a new vendor would risk mission-critical system stability, particularly during hurricane season.

The document highlights the urgency of maintaining uninterrupted support for legacy systems including National Emergency Management Information Systems (NEMIS), Individual Assistance, and Recovery Technology Program Division systems. FEMA argues that BAE, as the incumbent contractor since 2019, is the only vendor with sufficient system-specific experience to prevent potential disruptions to disaster response capabilities. The market research confirmed the commercial marketplace's competitiveness, but stressed the critical nature of maintaining continuous O&M services without a potentially catastrophic transition period.

Limited-Sources Justification (LSJ) For orders or BPAs exceeding the Simplified Acquisition Threshold

LSJ Template > SAT 2- 1 - LSJ No: 25-0156

LSJ No.: 25-0156

This acquisition is conducted under the authority of the Multiple-Award Schedule Program, 41 U.S.C. 152(3), Competitive Procedures, and 40 U.S.C. 501, Services for Executive Agencies.

1. Agency and Contracting Activity. Identification of the agency, contracting activity, and specific identification of the document as a “Limited-Sources Justification.”

The Department of Homeland Security (DHS), Federal Emergency Management Agency (FEMA), Office of the Chief Component Procurement Officer (OCCPO) proposes to award a BPA pursuant to FAR 8.405-6(a), Limiting Sources.

2. Nature and/or description of the action being approved. Describe the action being approved, and include the name and address of the proposed contractor(s).

DHS/FEMA intends to award a Blanket Purchase Agreement without considering other awardees under contract number 47QTCA18D00D9 pursuant to FAR Part 8.405-6(a) for the procurement of IT Operations and Maintenance services to Proposed Contractor:

BAE SYSTEMS TECHNOLOGY SOLUTIONS & SERVICES INC., 520 GAITHER

RD., ROCKVILLE,MD 20850-6198.

3. Description of Supplies/Services. Describe the supplies or services to be acquired. Provide the estimated total value (including options, if any).

The current FEMA IT operations and maintenance (O&M) environment, performed by the FEMA OCIO Operations Portfolio, is a combination of new and old technologies, architectures, platforms and tools that includes a wide variety of PC-based, client server, web-based, and service-oriented components. These systems have been implemented by FEMA using a variety of service providers under a vast array of oversight and governance conditions. These systems represent a broad spectrum of effectiveness to the Department of Homeland Security (DHS), FEMA, and OCIO mission. The services are supported by hundreds of physical and virtual servers in several data centers.

The purpose of this Bridge BPA is maintaining and maturing the current operations to keep FEMA’s information systems infrastructure available and operational. BAE Systems Technology Solutions & Services, Inc. currently provides FEMA’s Operation & Maintenance services. BAE Systems Technology Solutions & Services, Inc. is the incumbent contractor and the only vendor that has knowledge of FEMA’s complex environment to provide these services at this time.

4. Authority and supporting rationale.

Select one of the circumstances justifying limiting sources pursuant to FAR 8.405-6(a)(1)(i) below and demonstrate the proposed contractor’s unique qualifications to provide the required supply or service.

8.405-6(a)(1)(i)(A) An urgent and compelling need exists, and following the ordering procedures would result in unacceptable delays.

The purpose of this request is to justify a bridge BPA acquisition on an other than full and open competitive basis to ensure continuity of IT O&M services while a final contract solution is awarded by FEMA. These services are available on the Commercial Marketplace and there are vendors with technical skills to meet these requirements.

However, time and system-specific experience are FEMA’s most critical factors driving this requirement. The experience required with the FEMA environment is unique and requires considerable ramp-up time in order for the contractor to perform at an acceptable level of performance. Awarding this BPA to another Contractor not familiar with the FEMA environment will result in mission failure, as contractors must be able to transition immediately into the support role, without delay. Interrupted services will result in a critical impact and extreme risk, both internal and external, to FEMA’s ability to perform its emergency management mission and provide support to disaster survivors. In addition, FEMA will be required to provide unplanned man-hours from multiple program offices and incur substantial start-up costs to bring on a new Contractor.

The Contractor services required here support legacy National Emergency Management Information Systems (NEMIS), Individual Assistance, Recovery Technology Program Division (RTPD), and other business essential systems that are critical to the mission that FEMA supports. Services include deployment of critical code, security of the system from critical vulnerabilities and cyber threats, break-fix of code, and upgrading the systems to ensure they are stable and secure. The knowledge of legacy code and system dependencies if there are outages could impact response on systems if they break and that could impact disaster registration during hurricane season, funding for grants, and reporting on supplies that are needed to support disaster survivors.

Consideration of an alternative vendor to provide Operations & Maintenance services would require an unacceptable delay because a new vendor does not have knowledge of FEMA’s complex environment. The current contractor possesses the historical knowledge of FEMA’s complex environment and this is absolutely necessary for the upcoming hurricane season (June 1 through November 30).

5. Determination by the ordering activity contracting officer that the anticipated order represents the best value consistent with FAR 8.404(d).

The Contracting Officer (CO) has determined that the anticipated pricing is fair and reasonable based on a comparison of proposed labor rates with historical rates under

LSJ Template > SAT 2- 3 -

FEMA’s O&M IDIQ. The labor rates will also be determined fair and reasonable by comparison to their GSA MAS rates, which have already been determined fair and reasonable.

Additionally CO and Contract Specialist (CS) will compare proposed Labor rates to incumbent previous IDIQ with FEMA.

6. A description of the market research conducted among schedule holders and the results, or a statement of the reason market research was not conducted.

The market research determined that the commercial marketplace is competitive and has many diverse companies with experience on large Government contracts. FEMA has an urgent need to maintain Operations and Maintenance services for FEMA’s Enterprise systems. This bridge BPA will ensure there is no lapse in services while FEMA works to award a competitive BPA for O&M services in late fiscal year 2025. Transitioning to another vendor will cause a catastrophic gap in services. FEMA has utilized a single award IDIQ with BAE Systems since 2019; therefore, BAE has the historical knowledge of FEMA’s requirement.

7. Any other facts supporting the limited-sources justification. Additional facts may be stated in this section. If there are no additional facts, you must state that here.

This requirement is a Bridge to continue performance until competitive O&M BPA (currently being solicitated). FEMA will stop issuing call orders off this Bridge BPA once competitive BPA is awarded.

8. A statement of actions, if any, the agency may take to remove or overcome any barriers that led to restricted consideration (i.e., limited-sources) before any subsequent acquisition for the supplies or services is made. Include a statement of actions taken or that will be taken to increase competition for future acquisitions of the same item/service (e.g., the government intends to revise overly restrictive technical specifications, acquire data rights, or pursue some other means to increase future competition).

FEMA is in the process of competing and awarding an Operations & Maintenance BPA to provide Operations & Maintenance services with an estimated date in late fiscal year 2025. As reflected in the period of performance, the base period of the bridge BPA will end 10/30/2025 in anticipation of the award, and the option periods are limited to three months to maintain FEMA’s ability to transition to the competitively awarded BPA as soon as it is possible.

9. FEMA intends to post this justification on SAM.gov pursuant to FAR 8.405-6(a)(2)(i).

10. Technical/Requirements Personnel Certification.
