About this file
This is Addendum #1 to the Illinois Tollway's Invitation for Bid (IFB) #25-0161 for Highway Emergency Lane Patrol (H.E.L.P.) Program Sponsorship. The addendum provides clarifications and modifications to the original solicitation, including confirmation that the sponsorship package will include a minimum of 22 roadway signs strategically placed across Illinois toll routes (I-294, I-90, I-94, I-88, and I-355). The contract term has been revised from an initial three-year period with two one-year renewal options to an initial two-year term with three one-year renewal options. The bidder opening date has been rescheduled and will be conducted electronically via Microsoft Teams, with detailed meeting access information provided for remote participation.
The addendum addresses key vendor concerns regarding sponsorship structure and contract flexibility. The Illinois Tollway has confirmed that renewal decisions will be subject to mutual agreement between both parties rather than at the sole discretion of the state. Additionally, sponsors have been granted reciprocal termination rights, allowing them to terminate the contract for convenience with twelve months' notice, mirroring the state's existing thirty-day termination provision. The addendum includes a comprehensive table of existing HELP Program roadway sign locations with GPS coordinates (latitude and longitude), transverse placements, and maintenance section assignments to facilitate accurate sponsor valuation and bid pricing. Bidders must acknowledge receipt of this addendum in Section B.2 of their bid submission.

Q: Section 3.3.1 of the IFB states that the Contract will have an initial term of three (3) years, with two one-year renewal options outlined in Section 3.3.2. A qualified sponsor is interested in submitting a bid for the HELP Program with an initial two (2) year term, with the intent to continue through renewal options, and the current three-year initial term may limit that sponsor’s ability to submit a bid. Would the Illinois Tollway consider an alternative structure consisting of an initial two (2) year term with three (3) one-year renewal options?
A: Yes, the Tollway has agreed to revise the IFB to reflect and initial (2) year term with three (3) one-year renewal options. The IFB document has been updated accordingly, and the corresponding line items in BidBuy have been modified to reflect the revised initial term and renewal structure.
Q: Section 3.3.2 of the IFB outlines renewal options for the Contract. In sponsorship agreements, renewal decisions are typically based on continued interest and performance by both parties. If renewal were exercised solely at the State’s discretion, a sponsor would effectively need to be prepared to commit through all renewal periods at the time of bid submission, which does not align with current sponsorship market realities. To support competitive bid submissions, can the Illinois Tollway confirm that renewal of the HELP Program sponsorship would be subject to mutual agreement between the Illinois Tollway and the Sponsor?
A: Yes, current renewal is subject to a mutual agreement.
Q: Section 3.5 of the IFB allows the Illinois Tollway to terminate the Contract for convenience with thirty (30) days’ prior written notice. In sponsorship agreements, it is standard practice for both parties to retain the ability to terminate for convenience with reasonable notice, recognizing that sponsorships are discretionary marketing investments subject to changes in business priorities, budgets, or external conditions. Providing a reciprocal termination right supports sponsor participation and allows bidders to evaluate risk appropriately when pricing and committing to the sponsorship. To support competitive bid submissions, would the Illinois Tollway consider allowing the Sponsor a corresponding right to terminate the sponsorship for convenience with twelve (12) month notice?
A: Yes.
