• Owners Responsibilities

The Authority will provide the Contractor with Emergency Notification contacts and telephone numbers, and access to all properties as needed.

• Standard Services

1. Equipment

Contractor shall provide all necessary tools, devices, and equipment, for the duration of this agreement needed to accomplish the Work described herein, and is and will, always remain the sole personal property and responsibility of the

Contractor.

2. Building and Grounds

Work will include lawn mowing, weed whacking, weeding/mulching landscaped areas as designated for each area in Section 4.0 Work Specifications per Site for lawn maintenance in the spring, summer, and fall months to be billed on a monthly basis during the contract term.

Contractor will be given a key to unlock any gates and buildings at each site. It is the Contractor’s responsibility to contact the Owner and retrieve the key prior to the work being started on April 1st. One key will open the gate to the ten (10) locations that require a key. Those locations are: Valley Dale Pump station, Vanderburgh Cove Sewer, Greenfields Water and Sewer, Quaker Hill Water, Dalton

Farms Water and Sewer, Chelsea Cove Sewer, Shore Haven Water, and Birch Hill

Water. All other locations do not require a key to access the location.

Outside each location is a mailbox by each entry door with a log book that you must sign with the date that the contractor was there doing the work that month. If the book has not been signed by the Contractor for each visit, the

Owner is not responsible for compensating the Contractor as no proof is available that the Contractor has visited the site and has performed the work.

Contractor shall remove all grass clippings, debris, and rubbish from the site as fast as it accumulates during the progress of the work. On completion of the work, the premises shall be left in a clean, presentable condition and any trash found on the grounds picked up and disposed of.

Special precautions shall be taken to ensure safety of existing buildings and structures on the sites, including hydrants, fences, gates, lawn areas, trees, and other items in the vicinity of the Work site. The Contractor shall take special care to avoid driving in areas that will cause damage to lawn areas.

2.1 Weather Clause

If the Contractor’s ability to perform the Work in any given week is affected by the weather, the Contractor will make arrangements to complete the work on the next available day WITHIN THAT WEEK. If the Contractor has not made up the work within that week they will not be compensated for that week as the Authority cannot pay for services that were not performed. The Contractor’s invoice must be pro-rated to reflect the deletion of the site visits for each system outlined in

Attachment B, Contractor Bid Form, that no work was performed that week.

Weather delays such as rain or snow are understandably outside the control of both the Owner and the Contractor and are excusable, but non-compensable. If the vendor’s invoice does not reflect the pro-rated deletion of sites not serviced the DCWWA accounting department will short-pay the invoice to account for services not rendered.

3. Site Visit Schedule

An approximate amount of twenty-three (23) visits per each site location (*with the exception of the Main Office building on Lagrange Ave. as noted below for a total of 25 visits) is outlined in section 4.0. Each location will be mowed/weed whacked according to the anticipated monthly frequency (below), however, DCWWA reserves the right to adjust this schedule accordingly if need be due to weather and/or growth rate either adding or subtracting site visits:

April – 4 visits, weekly

May – 4 visits, weekly

June – 4 visits, weekly

July – 4 visits, weekly

August – 3 visits

September – 2 visits, bi-weekly

October – 2 visits, bi-weekly

November – Fall Clean-up of leaves – 2 visits – ONLY for the Main Office building

(Lagrange Ave.) and which should correlate with the Town of Poughkeepsie leaf pick-up schedule.

Total yearly visits for EACH of the fifteen (15) locations = *23 visits/site location

The Authority and the Contractor further agree as follows:

A. Work

The Contractor, at its sole cost and expense, shall furnish all materials, appliances, tools, and labor of every kind required for lawn maintenance per Exhibit A Scope of Services and perform all of the terms and conditions of this Contract on its part to be performed. The Scope of Services details a “Spring” and “Fall” clean-up of leaves and mulching of landscaped beds at the Lagrange facility that needs to be factored into the weekly cost for that facility rather than a separate stand-alone cost. Any mis-interpretation is the sole responsibility of the Contractor.

B. Examination of Documents and Work Sites

The Contractor represents that before making its proposal, the Contractor carefully examined all of the Contract Documents, together with the DCWWA Sites of the Work as noted in the Scope of Services and is fully informed regarding all of the conditions affecting the Work and the labor and materials to be furnished for the completion of this Contract.

Any mis-interpretation is the sole responsibility of the Contractor.

C. Term of Agreement

1. The period of service shall be from April 1, 2027 through November 30, 2027 (the "Contract Time"), unless the Contract Time is extended by one (1) year in writing by the Authority or terminated as set forth herein in Section G.

Within ten (10) business days of receipt of said notice, Contractor shall acknowledge in writing back to the Authority its consent or refusal to the term extension (renewal) for a second calendar year. The failure of the Contractor to acknowledge its consent or refusal to such extension shall constitute the Contractor’s consent to such one (1) year extension.

3. Should this Agreement be renewed for a second consecutive calendar year, a cost-of-living adjustment will be calculated by the Authority and the annual “not to exceed fee” and hourly rate amount be increased for the contracted year by the same percentage of increase as the Consumer Price Index reported by the US Bureau of Labor Statistics for “All Urban Consumers – US City Average” for the metropolitan statistical area in which the work is located, averaged for the year through the month of September of the contracted year, but in no case shall the “lump sum” or hourly rate amount be increased for the contracted year by more than three percent (3%). Only the “lump sum” and hourly rate portion of this Agreement shall be entitled to any adjustment as provided herein.
