About this file

This is a Notice of Intent to Seek a Protective Order filed by Health Management Systems, Inc. (HMS) with the Mississippi Division of Medicaid in response to a Public Records Act Request submitted by the New York Times. The request pertains to two existing contracts: contract 2013 (8200007283) and contract 2018 (8200041049). HMS contends that responsive information to the Public Records Act Request contains trade secrets and confidential commercial information protected under Mississippi Code Annotated § 25-61-9(1), including confidential business plans and strategies, pricing data, market information, performance data, internal policies, personnel data, and client information. The company filed this notice on June 8, 2026, through legal counsel at Watkins & Eager PLLC and requested that the Mississippi Division of Medicaid post the notice on the Mississippi procurement portal in accordance with state statute.

HMS indicates its intention to seek a protective order from the Chancery Court of Hinds County, Mississippi to prevent the disclosure of the protected information identified in the Public Records Act Request. The company asserts that this information is exempt from the presumption of accessibility under Mississippi's Public Records Act and therefore should not be released. The notice serves to inform both the requesting party and the Mississippi Division of Medicaid of HMS's intent to pursue legal remedies to protect its proprietary and confidential information related to the existing contracts.

After reviewing the PRR and the notice received from DOM that identified responsive information to the Requesting Party’s PRR, HMS has determined that the information contains trade secrets, confidential and proprietary commercial information, and confidential and proprietary information that is protected by the Mississippi Public Records Act. This information is exempt from the Mississippi Public Records Act's presumption of mailto:Public.Records@medicaid.ms.gov mailto:chris.hamby@nytimes.com accessibility and therefore may not be disclosed. See Miss. Code §§ 25-61-9(1), 79-23-1.

Accordingly, pursuant to Miss. Code Ann. § 25-61-9 (7), HMS hereby gives notice to the

Requesting Party and to DOM that HMS intends to seek a protective order from the Chancery

Court of Hinds County, Mississippi to prevent the release of its information protected by the

Mississippi Public Records Act.

HMS respectfully requests that DOM, upon receipt of this notice, post it on the

Mississippi procurement portal in accordance with Miss. Code Ann. § 25-61-9.

Best regards, /s/ Katie B. Lyons
