52.212-2 EVALUATION--COMMERCIAL PRODUCTS AND COMMERCIAL SERVICES (NOV 2021)

(a) The Government will award a contract resulting from this solicitation to the responsible vendor whose proposal, conforming to the solicitation, will be most advantageous to the Government, price and other factors considered. The following factors will be used to evaluate proposals:

1) Technical Approach

2) Past Performance

3) Price

The Government considers Factors 1 (Technical Approach) and 2 (Past Performance) to be of equal importance. When combined, Factors 1 and 2 are approximately equal to Factor 3 (Price).

The Government will employ a Best Value Trade-Off evaluation method for this requirement. The Government intends to award a single contract resulting from the solicitation to the vendor that is deemed compliant and awardable in accordance with the criteria of this provision, responsible in accordance with FAR Subpart 9.1, and whose submission, based on a comparative analysis of all eligible vendors, represents the best value to the Government. Therefore, the Government reserves the right to award to other than the lowest priced vendor.

(b) Submissions will be evaluated for compliance with the following requirements, detailed in the Addendum to FAR 52.212-1. Submissions that do not conform to the solicitation requirements may be determined ineligible for award:

1. Volume I – General & Contract Documentation

· A cover letter included in the submission, meeting the following requirements:

· Submitted on company letterhead, signed by an officer of the company, stating the authorized representative(s) (along with title, telephone number and other contact information such as e-mail) who can obligate the vendor contractually, negotiate, sign the proposal, and sign other contract actions.

· Acknowledges an extended acceptance period of 60 calendar days from the date specified for receipt of proposal.

· States the vendor’s DUNS number, CAGE Code, Tax-ID number, and address.

· Identifies and explains any exceptions or deviations the vendor takes with the solicitation. Additionally, any assumptions used in the proposal preparation were identified.

· The following representations and certifications included in the proposal, or a statement from the vendor that the representations and certifications are in SAM. If a vendor states that the representations and certifications are in SAM, the Government will check the SAM database to verify the claim. In the event that the certifications and/or representations are not in SAM, the submission will be considered non-conforming with the solicitation:

· 52.204-24

· 52.204-26

· 52.212-3 Alt I

2. Volume II – Technical Approach

· A Technical Approach Narrative included in the submission, no more than 12 pages.

3. Volume III – Past Performance

· No more than 3 Prior Contract Reference Forms included in the submission, each no more than 5 pages

· Organization Structure Change History included in the submission, if applicable

· List of Past Performance Questionnaire Recipients included in the submission

4. Volume IV – Price

· A completed pricing (CLIN) schedule included in the submission, meeting the following requirements:

· Unit and extended price identified for each CLIN

· A completed CLIN Totals Table included in the submission

(c) Submissions will be evaluated against the following requirements to determine if they are awardable and eligible to be included in the comparative analysis and final award decision. Submissions that do not meet the standards outlined below may be determined ineligible for award:

1. Factor 1 – Technical Approach. The Government will evaluate:

· The extent to which the vendor’s proposed methodology/approach would accomplish the PWS requirements

· The vendor’s compliance with the Special Qualification requirement of PWS paragraph 1.6.7

· The extent to which the vendor proposes a clearly defined management structure, to include teaming arrangements, subcontractor support, and corporate commitment and resources, to ensure flexibility, quality and timeliness

· The feasibility of the vendor’s approach in terms of ability to recruit, hire, retain, and manage personnel with the knowledge, skills, education, certifications, and experience necessary to perform the PWS requirements

· The ability of the proposed staffing plan to provide sufficient manpower and requisite skill sets necessary to support all task areas of the PWS

In order to be determined awardable, the vendor’s Technical Approach must adequately address each criteria above.

When conducting its comparative analysis of eligible vendors, the Government may give higher consideration to vendors whose technical approach has merits or exceeds specified performance or capability requirements in a way that will be advantageous to the Government during contract performance. The Government may also give less consideration to vendors whose technical approach has flaws that increase the risk of unsuccessful contract performance.

Table 1. Technical Ratings

Rating
Description
Outstanding
Proposal indicates an exceptional approach and understanding of the requirements and contains multiple strengths, and risk of unsuccessful performance is low.
Good
Proposal indicates a thorough approach and understanding of the requirements and contains at least one strength, and risk of unsuccessful performance is low to moderate.
Acceptable
Proposal meets requirements and indicates an adequate approach and understanding of the requirements, and risk of unsuccessful performance is no worse than moderate.
Marginal
Proposal has not demonstrated an adequate approach and understanding of the requirements, and/or risk of unsuccessful performance is high. Proposal is unawardable.
Unacceptable
Proposal does not meet requirements of the solicitation, and thus, contains one or more deficiencies, and/or risk of unsuccessful performance is unacceptable. Proposal is unawardable.

2. Factor 2 – Past Performance. The Government will only evaluate Prior Contract Reference Forms for work performed (in full or in part) within three years from the closing date of the solicitation. The Government will evaluate:

· How closely the services performed under those projects relate to this acquisition. Consideration will be given to criteria such as similarity, complexity, type of effort, scope, and value

· How well the vendors performed on referenced contracts. In conducting this evaluation, the Government reserves the right to use information provided in the vendor’s Past Performance Volume, past performance questionnaires received from contract references, and information obtained from other sources available to the Government to include, but not limited to, the Past Performance Information Retrieval System (PPIRS) or other databases, interviews with program manages and contracting officers, and other commercial sources.

Vendors are reminded that both independent data and data provided by vendors in their submissions may be used by the Government to evaluate past performance; however, the burden of providing thorough, complete, and current past performance information remains with the vendors.

In order to be determined awardable, the vendor’s evaluated past performance must provide the Government a reasonable expectation that the vendor will successfully perform the required effort.

Each offeror will receive a performance confidence assessment rating based on the Offeror’s recent and relevant record of performance in supplying services that meet the contract's requirements. There are three aspects to the past performance evaluation:

(1) Recency Assessment. An assessment of the past performance information will be made to determine if it is recent. To be recent, the effort must be ongoing or must have been performed during the past 3 years from the date of issuance of this solicitation. Past performance information that fails this condition will not be evaluated further.

(2) Relevancy Assessment. To be relevant, the effort must be of similar in nature of work, size, and complexity. The Government will conduct an evaluation of all recent performance information obtained to determine if it is the same or similar in nature, size, and complexity to the services/products being procured under this solicitation. A relevancy determination of the offeror’s (including joint venture partner(s) and major and critical subcontractor(s)) past performance will be made. In determining relevancy for individual contracts, consideration will be given to the effort, or portion of the effort, being proposed by the offeror, teaming partner, or subcontractor whose contract is being reviewed and evaluated. The past performance information provided in the proposal and obtained from other sources will be used to establish relevancy of the past performance. There are two levels of relevancy as shown below.

Table 2. Past Performance Relevancy Findings

Finding
Description
Relevant
Present/past performance effort involved similar scope and magnitude of effort and complexities this solicitation requires.
Not Relevant
Present/past performance effort involved little or none of the scope and magnitude of effort and complexities this solicitation requires.

(3) The final aspect of the past performance evaluation is to establish the overall quality of the offeror's past performance. The past performance evaluation performed in support of a current source selection does not establish, create, or change the existing record and history of the offeror’s past performance on past contracts; rather, the past performance evaluation process gathers information from customers on how well the offeror performed those past contracts. The Government will review all past performance information collected and determine the quality of the offeror's performance, general trends, and usefulness of the information and incorporate these into the performance confidence assessment. A separate quality assessment rating is not require; rather, the past performance confidence assessment rating is based on the offeror's overall record of recency, relevancy, and quality of performance.

Performance Confidence Assessment Rating for Factor 2. Each offeror shall be assigned one of the ratings in Table 3. Note: In the case of offerors for which there is no information on recent and relevant past contractor performance or where past contract performance information is not available, the offeror may not be evaluated favorably or unfavorably on the factor of past contract performance (see FAR 15.305(a)(2)(iv)). In this case, the offeror's past performance is unknown and assigned a performance confidence rating of "neutral". Although the Government may not rate an offeror that lacks recent, relevant past performance favorably or unfavorably with regard to past performance, the Source Selection Authority bay determine that a "Satisfactory Confidence" past performance rating is worth more than a "Neutral confidence" past performance rating in a best value tradeoff as long as the determination is consistent with stated solicitation criteria.

Table 3. Performance Confidence Assessment Ratings

Rating
Description
Satisfactory Confidence
Confidence Based on the offeror’s recent/relevant performance record, the Government has a reasonable expectation that the offeror will successfully perform the required effort.
Neutral Confidence
No recent/relevant performance record is available or the offeror’s performance record is so sparse that no meaningful confidence assessment rating can be reasonably assigned. The offeror may not be evaluated favorably or unfavorably on the factor of past performance.
Limited Confidence
Based on the offeror’s recent/relevant performance record, the Government has a low expectation that the offeror will successfully perform the required effort.
No Confidence
Based on the offeror’s recent/relevant performance record, the Government has no expectation that the offeror will be able to successfully perform the required effort.

3. Factor 3 – Price.

· Proposed prices will be evaluated for reasonableness and balance. Vendors are cautioned against submitting a proposal that contains unbalanced pricing. Unbalanced pricing exists when, despite an acceptable total evaluated price, the price of one or more contract line items (including base and option periods) is significantly overstated or understated as indicated by the application of price analysis techniques. Proposals that are determined to be unbalanced may be rejected if the lack of balance poses a significant risk to the government.

· Price analysis will be performed on the total proposed amount (base and option period). The existence of adequate price competition is expected to support a determination of reasonableness; however, other price analysis techniques may be used to further validate price reasonableness.

· The Government will evaluate its option to extend services (FAR Clause 52.217-8) by adding one-half of the vendor’s proposed price for the final option period to the total proposed amount. Thus, the vendor’s total price for the purpose of evaluation will include the 57 month contract term and one half of the last option period. Vendors shall not propose a price for the six-month period. The extension of services clause will be exercised only if necessary, utilizing the negotiated rates of the preceding period.

Evaluation of the option(s) shall not obligate the Government to exercise the option(s).

In order to be determined awardable, the total price proposed must be determined reasonable, and all CLINs must be determined balanced, unless the Government determines that the lack of balance does not pose an unacceptable risk to the Government.
