About this file

This is a project manual and contract document for the 2026 Sewage Sludge Disposal Contract issued by the Conewago Township Sewer Authority in York County, Pennsylvania. The contract seeks a qualified contractor to remove, transport, and process approximately 1,300,000 gallons per year of liquid aerobically digested sewage sludge (containing 1% to 4% solids) from the Conewago Township Wastewater Treatment Plant. Online sealed bids will be received via the PennBid program until 10:00 a.m. on Friday, June 19, 2026, at which time bids will be publicly opened and read aloud. Prospective bidders are required to examine the site and contract documents thoroughly, with site visits to be scheduled in advance with Lisa Kramer, Administrator, at (717) 266-5518, requiring a minimum of 48 hours' notice. The contract will be awarded to the lowest responsible bidder whose sludge disposal plan demonstrates feasibility, economics, reliability, and probable success. The contract term is two years, with an option for a one-year extension by mutual agreement and notice provided at least 60 days prior to the anniversary date. The Conewago Township Sewer Authority reserves the right to reject any or all bids and to award the contract only after the successful bidder provides evidence of obtaining all necessary permits.

Bidders must submit a bid bond or certified check equal to 10% of the estimated annual cost of disposal, which will be retained until the successful bidder furnishes the required performance bond and executes the contract agreement. The successful contractor must provide a performance bond in the amount of 100% of the estimated annual cost and must submit the contract agreement within ten days of receiving the Notice of Award. Contractors are responsible for obtaining all required permits and must include permit application costs in their bid prices; the Owner will not reimburse permit costs if permits are refused or applications are terminated. The contractor must comply with Federal Highway Administration regulations regarding controlled substance and alcohol testing for drivers with commercial driver's licenses and must comply with Pennsylvania's Public Works Employment Verification Act, utilizing the E-Verify program for all employees hired after January 1, 2013. Insurance requirements include worker's compensation (statutory), general liability ($1,000,000 combined single limit), automobile liability ($1,000,000), protective liability ($1,000,000), and pollution liability ($1,000,000 per occurrence and annual aggregate). The contract prioritizes beneficial reuse of sludge as an agricultural supplement or fertilizer base, with landfill disposal permitted only as an emergency backup procedure. Liquidated damages of $200 per calendar day apply if the contractor fails to provide contracted services, guaranteed by the performance bond.

The Contractor will use his best efforts to use the sludge or processed product as an agricultural supplement, fertilizer base or other use as may be appropriate.

Except as an emergency backup procedure, disposal of sludge in a landfill will not be considered acceptable to the Owner because of the potential for future cleanup liability.

The Contractor will process and dispose of the product in a manner that will comply with all environmental laws and regulations.

The Contractor will be responsible to obtain all required permits and to provide, construct and operate all facilities for transporting, storing and processing sludge during the period of the Contract.

13. BIDS TO REMAIN OPEN

The Owner will issue a Notice of Intent to Award to the Lowest Responsible Bidder within 60 days after the date of bid opening. After the Lowest Responsible Bidder provides evidence that he has obtained the necessary permits for the sludge disposal, the Owner will issue a Notice of Award. Failure of the Lowest Responsible Bidder to provide documentation of action to obtain required permits and facilities in a timely fashion in accordance with the times indicated in the Plan for Sludge Disposal will be cause for revocation of the Notice of Intent to Award.

Except as otherwise permitted by law, the Bid submitted by the Lowest Responsible Bidder, as designated in the Notice of Intent to Award, may not be withdrawn, canceled or modified for a period of one hundred eighty (180) days after the date of the Notice of Intent to Award.

The Lowest Responsible Bidder's procurement of the permits within the prescribed time shall obligate the Owner to issue Notice of Award.

The Owner shall take no actions inconsistent with the efforts of the Lowest Responsible Bidder to obtain the permits.

14. AWARD OF CONTRACT

The Owner will evaluate the feasibility, economics, reliability, safety, and probable success of Sludge Disposal Plans submitted by Bidders. The anticipated length of time to place the disposal system into full operation will be part of the evaluation. The Owner will issue Notice of Intent to Award to the Lowest Responsible Bidder, as identified by the Owner's evaluation, to be in the best interests of the Owner.

The Owner reserves the right to reject any or all bids, and to readvertise if the best interests of the Owner will thereby be promoted; to waive technical defects, if in its judgements the interest of the Owner shall so require.

No Bid will be considered from any person, firm, or corporation who has defaulted in the performance of

5/27/2026 00 21 13-5 INSTRUCTIONS TO BIDDERS

any contract or agreement made with the Conewago Township Sewer Authority or conclusively shown to have failed to perform satisfactorily such contractor agreement.

The Owner reserves the right to waive any informalities in the bids received, to award the Contract only to a Bidder whose Bid is deemed by the Owner to be most advantageous to the public interest and the Conewago Township Sewer Authority, and to reject any or all bids for any reason whatsoever.

The Owner may conduct such investigations as it deems necessary to assist in the evaluation of any Bid and to establish the responsibility, qualifications and financial ability of the Bidders, proposed subcontractors and other persons and organizations to do the work or furnish equipment in accordance with the Contract Documents to the Owner's satisfaction within the prescribed time.

If the Contract is to be awarded, it will be awarded to the Lowest Responsible Bidder whose evaluation by the Owner indicates that the award will be in the best interests of the Owner. The Contract will not be awarded until the Lowest Responsible Bidder provides evidence that he has been issued the necessary permits to perform the sludge disposal.

15. EXECUTION OF CONTRACT AGREEMENT

The Bidder to whom the Contract is to be awarded shall be required, within ten (10) days after receipt of the Notice of Award of the Contract, to attend, in person or by authorized representative, a meeting at the Owner's office and will then and there deliver the Contract Agreement to the Owner in the form aforesaid to be duly executed and its execution duly proved, and at the same time deliver to the Owner a Performance Bond in the amount of One Hundred percent (100%) of the Estimated Annual Cost of Sludge Disposal with an approved surety, as is more fully set forth in the General Conditions.

At this meeting, the Contractor shall also deliver the following documents to the Owner:

• Proof, satisfactory to the Owner, of the authority of the person or persons executing the Contract and bonds on behalf of the Contractor.

• Satisfactory evidence of all insurance coverage prescribed by the Contract Documents.

• Proof of current permits to transport and dispose of sewage sludges.

• Proof of right to utilize property if the Contractor does not own the property.

16. SALES AND USE TAX ACTS

Bidders will make their own independent analysis of Pennsylvania Sales and Use Taxes and the applicability or non-applicability thereof to the materials, supplies, and services to be provided and performed under and as part of the Contract work. All taxes are to be included in the unit or lump sum prices bid and the Owner will not make any separate payment of taxes.

17. PERMITS

The Bidder shall include in the Bid Price the cost to prepare applications and perform other such services as are necessary to obtain permits. The cost and the ability to obtain permits shall be at the risk of the Bidder.

In no case will the Owner pay for permit application costs if permits are refused or permit applications are terminated. On the thirtieth day after Notice of Intent to Award and each month thereafter, the Lowest

5/27/2026 00 21 13-6 INSTRUCTIONS TO BIDDERS

Responsible Bidder shall submit monthly reports of the progress of permit applications. These monthly reports shall include progress in the previous month, progress expected during the next month, and a projected schedule of required permit application procedures and receipt of permits. The Owner will issue Notice of Award to the Lowest Responsible Bidder after the Bidder provides evidence that he has obtained the necessary permits.

The Contractor's failure to obtain the necessary permits within six months of the date of the Notice of

Intent to Award may be considered by the Owner as sufficient evidence that permits will not be issued. In this case, the Owner may, at the Owner's option, elect not to proceed with the Contract award and no payments will be made to the Contractor.
