About this file

This is a Professional Services Agreement between Forsyth County, Georgia and an unnamed medical provider for firefighter physicals, effective from January 1, 2026, to December 31, 2030. The contract requires the medical provider to perform comprehensive annual medical evaluations for incumbent firefighters, typically conducted in two stages (laboratory testing and medical examination), and new hire physicals, with an anticipated 12 new hires per recruit class. The medical evaluations must comply with the current National Fire Protection Association (NFPA) 1582 Standard, including detailed physical examinations, laboratory testing, cancer screenings, cardiac assessments, and fit-for-duty evaluations.

The contract specifies specific insurance requirements, including professional liability/medical malpractice insurance with $1,000,000 per occurrence and $3,000,000 aggregate limits, along with other coverage types such as workers' compensation, general liability, automobile liability, and cyber liability. Billing will be structured with incumbent physicals billed annually, make-up physicals billed monthly, and new hire physicals billed monthly and separately. The medical provider must maintain medical records for a minimum of ten years, provide clearance determination letters for each firefighter, and submit summary reports at least twice per year. While the specific compensation amount is not detailed in the exhibited document, the agreement outlines comprehensive requirements for medical service delivery and documentation.

Such change orders shall specify the changes ordered and any necessary adjustment of compensation and completion time and shall be delivered to Provider. Provider must submit any claim regarding such adjustment in price or completion time in writing within thirty (30) days of receiving notice of the change order. If the Parties cannot reach an agreement on the terms for performing the changed work within a reasonable time, to avoid delay or other unfavorable impacts as determined by the County in its sole discretion, the County shall have the right to determine reasonable terms, and the Provider shall proceed with the changed Services. Provider recognizes that the County’s intention and purpose in entering into this Agreement is to engage an entity with the requisite capacity, experience, skill, and judgment to timely and competently complete the Services undertaken by Provider under this Agreement. The Provider shall employ only persons duly qualified in the appropriate area of expertise (as applicable) to perform the Services described in this Agreement.

The Provider covenants and declares that it is properly equipped, organized, and financed to perform the Services and that it has obtained all diplomas, certificates, licenses, permits, or the like (if any) required of the Provider by any and all national, state, regional, county, or local boards, agencies, commissions, committees, or other regulatory bodies in order to perform the Services contracted for under this Agreement. All Services performed by Provider under this Agreement shall be in accordance with all applicable federal, state, and local laws, regulations, rules, policies, guidelines, processes, and requirements, and in accordance with the standard of care, skill, ability, and quality ordinarily exercised by competent practitioners practicing under similar conditions and circumstances. Any additional work or costs incurred as a result of error or omission by Provider in not complying with this Section or any other part of this Agreement will be provided by Provider at no additional cost to the County. This provision shall survive termination of this

B. County’s Reliance on the Work.

The Provider acknowledges and agrees that the County does not undertake to approve or pass judgment upon matters of expertise of the Provider and that, therefore, the County bears no responsibility for Provider’s Services performed under this Agreement. The Provider acknowledges and agrees that the acceptance of reports, recommendations, specifications, or other work product by the County (if any) is limited to the function of determining whether there has been compliance with what is required to be produced under this Agreement. The County will not, and need not, inquire into adequacy, fitness, suitability, or correctness of Provider’s performance. Provider further agrees that no approval of reports, recommendations, specifications, or other work product (if any) by any person, body, or agency shall relieve Provider of the responsibility for adequacy, fitness, suitability, and correctness of Provider’s Services under professional and/or industry standards, or for performing services under this Agreement in accordance with sound and accepted professional and/or industry principals.

C. Assignment of Agreement.

The Provider covenants and agrees not to assign or transfer any interest in, or delegate any duties of this Agreement, without the prior express written consent of the County. As to any approved subcontractors, the Provider shall be solely responsible for reimbursing them, and the County shall have no obligation to them.

D. Responsibility of Provider and Indemnification of County.

Provider covenants and agrees to take and assume all responsibility for the Services rendered in connection with this Agreement. Provider shall bear all losses and damages directly or indirectly resulting to it and/or County on account of the performance or character of the Services rendered pursuant to this Agreement.

Provider shall indemnify, defend, and hold harmless County and County’s elected and appointed officials, officers, boards, commissions, employees, representatives, consultants, servants, agents, attorneys, and volunteers (each party individually, an “Indemnified Party”) for, from, and against any and all claims, suits, actions, judgments, injuries, damages, losses, costs, expenses, and liability of any kind whatsoever, including, but not limited to, attorney’s fees and costs of defense (“Liabilities”), which may arise from or be the result of an alleged willful, negligent, or tortious act or omission arising out of the Services, performance of contracted Services, or operations by Provider, any subcontractor, anyone directly or indirectly employed by Provider or subcontractor, or anyone for whose acts or omissions Provider or subcontractor may be liable, regardless of whether or not the act or omission is caused in part by an Indemnified Party (collectively, “Indemnity Obligation”). The Indemnity

Obligation shall not be construed to negate, abridge, or otherwise reduce any other right or obligation of indemnity which would otherwise exist as to any party or person described in this provision.

In any and all claims against an Indemnified Party by any employee of Provider, its subcontractor, anyone directly or indirectly employed by Provider or subcontractor, or anyone for whose acts Provider or subcontractor may be liable, the Indemnity Obligation shall not be limited in any way by any limitation on the amount or type of damages, compensation or benefits payable by or for Provider or any subcontractor under workers’ or workmen’s compensation acts, disability benefit acts, or other employee benefit acts. The Indemnity Obligation shall survive expiration or termination of this Agreement, provided that the claims are based upon or arise out of actions or omissions that occurred during the performance of this Agreement.

E. Independent Contractor.

Provider hereby covenants and declares that it is engaged in an independent business and agrees to perform the Services as an independent contractor and not as the agent or employee of the County. Nothing in this Agreement shall be construed to make the Provider or any of its employees, servants, or subcontractors an employee, servant, or agent of the County for any purpose. The Provider agrees to be solely responsible for its own matters relating to the time and place the Services are performed and the method used to perform such Services; the instrumentalities, tools, supplies and materials necessary to complete the Services; the hiring of consultants, agents or employees to complete the Services; and the payment of employees, including benefits and compliance with Social Security, withholding and all other regulations governing such matters. The Provider agrees to be solely responsible for its own acts and those of its subordinates, employees, and subcontractors during the life of this Agreement. There shall be no contractual relationship between any subcontractor or supplier and the County by virtue of this Agreement with Provider. Any provisions of this Agreement that may appear to give the County the right to direct Provider as to the details of the Services to be performed by Provider or to exercise a measure of control over such Services will be deemed to mean that Provider shall follow the directions of the County with regard to the results of such Services only. It is further understood that this Agreement is not exclusive, and the County may hire additional entities to perform the Services related to this Agreement.

F. Insurance.

The Provider shall have and maintain in full force and effect for the duration of this Agreement, insurance insuring against claims for injuries to persons or damages to property which may arise from or in connection with the performance of the Services by the Provider, its agents, representatives, employees, or subcontractors, including, but not limited to, commercial general liability coverage, professional liability coverage, and workers’ compensation coverage. Provider shall maintain insurance policies with coverage and limits no less than those specified in Exhibit “C”, attached hereto and incorporated herein by reference. All policies shall be subject to approval by the County. These requirements are subject to amendment or waiver if so approved in writing by the County Manager.

The County shall be named as an additional insured and loss payee on all policies required by this Agreement, except the County need not be named as an additional insured and loss payee on any professional liability policy or workers’ compensation policy. Any liability insurance coverage shall be primary noncontributing insurance as respects to any other insurance or self-insurance available to the County. The policies shall include a contractual liability coverage endorsement incorporating the insurable indemnification obligations of the Provider under this Agreement. The insurer providing workers’ compensation coverage will agree to waive all rights of subrogation against the insured parties for losses arising from Services performed by the Provider for the County. Further, each insurance policy required by this Agreement shall be endorsed to state that coverage shall not be canceled or materially reduced except after thirty (30) days prior written notice has been given to the County. The County reserves the right to accept alternate notice terms and provisions, provided they meet the minimum requirements under Georgia law.

Provider shall furnish the County with certificates of insurance and endorsements to the policies evidencing all coverage required by this Agreement. The certificates of insurance and endorsements for each insurance policy are to be signed by a person authorized by that insurer to bind coverage on its behalf unless alternate sufficient evidence of their validity and incorporation into the policy is provided. The certificates of insurance and required endorsements shall be furnished on a form utilized by Provider's insurer in its normal course of business. The County reserves the right to require complete, certified copies of all required insurance policies at any time. The Provider shall provide proof that any expiring coverage has been renewed or replaced prior to the expiration of the coverage.

Insurance companies must be licensed to do business in Georgia by the Georgia

Secretary of State, authorized by the Georgia Insurance Department, and have an AM Best policyholder’s rating of no less than “A-” and with a financial rating of class VII or greater.

The Provider hereby verifies that it has, prior to executing this Agreement, executed a notarized affidavit, the form of which is provided in Exhibit “D”, and submitted such affidavit to County or provided the County with evidence that it is an individual not required to provide such an affidavit because it is licensed and in good standing as noted in subsection

If a subcontractor affidavit is obtained, Provider agrees to provide a completed copy to the County within five (5) business days of receipt from any subcontractor.

Where Provider is required to provide an affidavit pursuant to O.C.G.A. § 13-10-91, the

County Manager or his/her designee shall be authorized to conduct an inspection of the Provider’s and Provider’s subcontractors’ verification process at any time to determine that the verification was correct and complete. The Provider and Provider’s subcontractors shall retain all documents and records of their respective verification process for a period of five

(5) years following completion of the contract. Further, where Provider is required to provide an affidavit pursuant to O.C.G.A. § 13-10-91, the County Manager or his/her designee shall further be authorized to conduct periodic inspections to ensure that no County Provider or Provider’s subcontractors employ unauthorized aliens on County contracts. Where a Provider or Provider’s subcontractors are found to have employed an unauthorized alien, the County Manager or his/her designee may report same to the Department of Homeland Security. The Provider’s failure to cooperate with the investigation may be sanctioned by termination of the contract, and the Provider shall be liable for all damages and delays occasioned by the County thereby.

Provider hereby agrees that, in the event Provider employs or contracts with any subcontractor(s) in connection with this Agreement and where the subcontractor is required to provide an affidavit pursuant to O.C.G.A. § 13-10-91, the Provider will secure from the subcontractor(s) such subcontractor(s’) indication of the employee-number category that is applicable to the subcontractor.

EXHIBIT “A”

Scope of Services

General Information: Forsyth County is seeking proposals from a qualified, licensed medical provider to perform firefighter physicals for the Forsyth County Fire Department (hereafter referred to as “FCFD”) that meet, at a minimum, the current National Fire Protection Association (NFPA) 1582 Standard for all current firefighters and for all new hire firefighters.

Incumbent Physicals

All incumbent physicals shall be performed annually. Historically, these have been performed in two stages during a set period each year:

• Stage 1 – Laboratory Testing: Blood draws and other lab work.

• Stage 2 – Medical Exam: A physical examination and review of lab results.

The medical provider shall coordinate scheduling of both stages with the FCFD FCFD Health & Safety Officer or their designee. After the first year of the contract, scheduling for subsequent years stages must be finalized no later than the end of the current year to allow adequate planning.

For Stage 1, the medical provider shall obtain all required bloodwork directly. If the provider does not have the capability to do so, the proposal must include an acceptable alternative process to ensure all required laboratory testing is completed in advance of Stage 2. If a firefighter cannot complete lab work during the scheduled timeframe, the provider must be able to complete the lab work during Stage 2 by:

• Offering a make-up option prior to Stage 2 (preferred), or

• Performing the lab work during Stage 2.

Stage 1 shall always be scheduled early enough to allow the provider to obtain and review all lab results before Stage 2 begins.

For Stage 2, the provider must have sufficient staff and resources to conduct physical exams, at a minimum, consistent with Chapter 7 of the current NFPA 1582 standard and as further detailed in this solicitation. Availability (days and times) will be negotiated with FCFD.

If the provider does not have mobile units, they must maintain a medical facility (or multiple facilities) within Forsyth County or at FCFD’s sole discretion and approval, within approximately 50 miles of Forsyth County. Facilities must have adequate staffing and resources to complete the required exams. Use of a County-provided facility will be at FCFD’s discretion.

New Hire Physicals

All new hire physicals shall be completed in a single stage and are generally required 1–2 times per year for each recruit class. Additional lateral hires may occur throughout the year outside of the recruit class process.

The medical provider shall meet one of the following requirements:

• Facility-Based Option: Maintain one (1) or more facilities within Forsyth County, or at FCFD’s sole discretion and approval, maintain a facility located within approximately 50 miles of Forsyth County, where new hires can complete both lab work and the physical exam at the same location. New hires, or an FCFD representative, will contact the provider directly to schedule appointments. The provider must be able to schedule each physical within five (5) business days of the request.

OR (at FCFD’s discretion)

• Onsite Option (at FCFD’s discretion): Provide onsite services at a County facility on a schedule pre-determined with FCFD, at a minimum once per month, for one (1) full day to conduct all lab work and physicals for new hires and/or make-up physicals. The provider shall coordinate with the FCFD Health & Safety Officer, or designee, during the week prior to confirm the scheduled date and time. If no new hire or make-up physicals are required, onsite service will not be necessary that month.

It is imperative that new hire physicals are completed in a timely manner. In addition to scheduling and completing the physicals within five (5) business days, the provider must furnish clearance determination letters (“cleared” or “not cleared”) and all supporting documentation to the FCFD Health & Safety Officer, or designee, within two to five (2–5) business days of completing the exam.

The number of new hire physicals may vary. FCFD typically hires approximately twelve (12) individuals per recruit class. The medical provider must demonstrate a practical process to accommodate both group recruit class new hires and individual new hires, recognizing that time is of the essence as no new hire is authorized to begin work until a physical has been completed and a clearance determination letter issued.
