STATEMENT OF WORK
DESCRIPTION OF WORK
The scope of this contract is to purchase in “as is” condition the existing Interim Contractor Support trailer complex, Building 4100T, currently leased under contract number N62473-19-C- 3204. The existing leased facility complex is located at NAS Fallon, shown in Figure 1. Building 4100T is 8,640 square feet.
The purchase includes the complete structure as-is, including all footings, skirting, anchors, gutters, downspouts, steps, decks, ramps and landscaping. Purchase includes all interior utilities (water, sewer, lighting, heating, air conditioning, comms/data, etc.) and all utilities to the buildings: plumbing service; sewer service; electrical service, including service, meter, panel, grounding; telephone/data; fire alarm, exit lights, emergency lights and smoke/heat detectors;
appliances; furniture and modular furniture; built-in work surfaces, shelves, task lights.
EXISTING CONDITIONS
The existing service trailers need to stay in operation while the new JSF hangar has not been completed.

(d) Comptroller General Examination of Record. The Contractor shall comply with the provisions of this paragraph
(d) if this contract was awarded using other than sealed bid, is in excess of the simplified acquisition threshold, as defined in FAR 2.101, on the date of award of this contract, and does not contain the clause at 52.215-2, Audit and Records--Negotiation.
(1) The Comptroller General of the United States, or an authorized representative of the Comptroller General, shall have access to and right to examine any of the Contractor's directly pertinent records involving transactions related to this contract.
(2) The Contractor shall make available at its offices at all reasonable times the records, materials, and other evidence for examination, audit, or reproduction, until 3 years after final payment under this contract or for any shorter period specified in FAR Subpart 4.7, Contractor Records Retention, of the other clauses of this contract. If this contract is completely or partially terminated, the records relating to the work terminated shall be made available for 3 years after any resulting final termination settlement. Records relating to appeals under the disputes clause or to litigation or the settlement of claims arising under or relating to this contract shall be made available until such appeals, litigation, or claims are finally resolved.
(3) As used in this clause, records include books, documents, accounting procedures and practices, and other data, regardless of type and regardless of form. This does not require the Contractor to create or maintain any record that the Contractor does not maintain in the ordinary course of business or pursuant to a provision of law.

252.232-7006 WIDE AREA WORKFLOW PAYMENT INSTRUCTIONS (JAN 2023)
(a) Definitions. As used in this clause—
“Department of Defense Activity Address Code (DoDAAC)” is a six position code that uniquely identifies a unit, activity, or organization.
“Document type” means the type of payment request or receiving report available for creation in Wide Area WorkFlow (WAWF).
“Local processing office (LPO)” is the office responsible for payment certification when payment certification is done external to the entitlement system.
“Payment request” and “receiving report” are defined in the clause at 252.232-7003, Electronic Submission of Payment Requests and Receiving Reports.
(b) Electronic invoicing. The WAWF system provides the method to electronically process vendor payment requests and receiving reports, as authorized by Defense Federal Acquisition Regulation Supplement (DFARS) 252.232- 7003, Electronic Submission of Payment Requests and Receiving Reports.
(c) WAWF access. To access WAWF, the Contractor shall—
(1) Have a designated electronic business point of contact in the System for Award Management at https://www.sam.gov; and
(2) Be registered to use WAWF at https://wawf.eb.mil/ following the step-by-step procedures for self-registration available at this web site.
(d) WAWF training. The Contractor should follow the training instructions of the WAWF Web-Based Training Course and use the Practice Training Site before submitting payment requests through WAWF. Both can be accessed by selecting the “Web Based Training” link on the WAWF home page at https://wawf.eb.mil/.
(e) WAWF methods of document submission. Document submissions may be via web entry, Electronic Data Interchange, or File Transfer Protocol.
(f) WAWF payment instructions. The Contractor shall use the following information when submitting payment requests and receiving reports in WAWF for this contract or task or delivery order:
(1) Document type. The Contractor shall submit payment requests using the following document type(s):

SOLE SOURCE JUSTIFICATION AND APPROVAL FOR USE OF OTHER THAN
FULL AND OPEN COMPETITION
1. Contracting Activity: Department of the Navy, Naval Facilities Engineering Systems Command Southwest (NAVFAC SW), San Diego, California.
2. Description of the Action Being Approved: Request approval to award a stand-alone contract without full and open competition, pursuant to the authority of 10 U.S.C. 2304(c)(1), one source or limited sources, as implemented by the Federal Acquisition Regulation (FAR) 6.302-1; Only one responsible source and no other supplies or services will satisfy agency requirements. The contractor is Modular Concepts, Inc., 6602 Plaza Parkway, Fort Worth, TX 76116-2400.
3. Description of Supplies/Services: The proposed contract (Solicitation N62473-24-R-0011) is for the procurement of the Joint Strike Fighter (JSF) temporary modular facility at Naval Air Station (NAS) Fallon, NV. The facility, which is currently on-site inside the airfield enclave, is under lease with Modular Concepts, Inc. The facility is pictured below.
The existing temporary modular facility lease was awarded 25 July 2019 and the final date for building occupancy is set to expire 22 December 2023. This facility is critical to F-35 maintenance operations at NAS Fallon. The estimated total cost for the procurement is $1.8M.
The appropriation is Operations and Maintenance, Navy (O&MN).
4. Statutory Authority and Permitting Other Thank Full and Open Competition: 10 U.S.C.
2304(c)(1), Use of procedures other than competitive procedures, and as implemented by the FAR 6.302-1, Only one responsible source and no other supplies or services will satisfy agency requirements.
5. Rationale Justifying Use of Cited Statutory Authority: This solicitation is to purchase the modular facilities that are on-site and currently under lease. The existing temporary modular facility complex is 8,640 square feet. The facility will be occupied until the construction of a new F-35 hangar at NAS Fallon is awarded and complete under military construction project P-429; F-35 Maintenance Hangar. Award of P-429 is expected in November 2024 with anticipated construction completion in June 2027, so the existing facilities are needed for at least three and a half (3.5) years beyond the end of the current lease. Given the unexpected events that occur during construction, it is quite possible that P-429 will experience delays, increasing the need to four (4)-to-five (5) years beyond the current lease.
Until P-429 is complete, F-35 aircraft maintenance personnel have no permanent office or equipment space. These personnel are currently using the temporary modular facility and continued use is critical to ensure required maintenance can be completed on the F-35 aircraft at NAS Fallon. The facility contains specialized equipment and materials designed for maintenance of the JSF aircraft, and there is no other place aboard NAS Fallon to house the personnel or equipment. This facility is currently existing and fully functional and the Government would be seriously injured if the relocatable facilities are removed.
An economic analysis was conducted to determine whether to extend the existing lease or outright buy the modular facilities. The net present value analysis determined that the cost of leasing over a five (5) year period at the current lease price of $765K per year would be $3.8M, compared to $1.3M if the facilities are purchased. Therefore, a decision was made to purchase the modular facilities.
As provided above, this facility is necessary for the mission-critical JSF program. The Government has determined that use of competitive means would result in substantial duplication of cost to the Government that is not expected to be recovered through competition.
The mobilization cost for the current facility was over $1.1M and the demobilization cost is over $277K. These costs are non-recoverable and would be duplicated if a new modular facility was brought on site. Further, the existing modular facilities on-site are over five (5) years old and depreciated, so the purchase cost is reduced. The estimated value of these facilities new in 2019 was $2.6M. Therefore, the Government would be needlessly spending nearly $1.4M for mobilization and demobilization and an additional $800K on the purchase of a new facility should the new contract not be awarded to Modular Concepts, Inc.
Furthermore, providing fair opportunity via the competitive contracting process would result in unacceptable delays resulting from time to develop the request for proposal, solicit proposals, evaluate the proposals, and document the award before the contractor could mobilize. It is estimated it would take a minimum of six (6) months for the procurement process and several more weeks for mobilization. Since the current lease is set to expire 22 December 2023, this would provide a gap in services of more than four (4) months and leave the maintenance personnel without any means of maintaining the aircraft.
Since Modular Concepts, Inc. owns the facility currently in use for JSF operations at NAS Fallon, it is reasonable and necessary to purchase the current facility from Modular Concepts, Inc., as there is not enough time for another contractor to mobilize a new temporary modular facility prior to the expiration of the contract and operations with the F-35 aircraft would need to cease until such time.
6. Description of Efforts Made to Solicit Offers from as Many Offerors as Practicable: As noted above and in accordance with FAR 5.202(a)(5), the proposed contract action has only one source available that will satisfy agency requirements. In accordance with FAR 6.305(b), this Justification and Approval (J&A) will be published, the justification shall be posted with the solicitation. No additional market research was conducted due to the rationale provided above.
7. Determination of Fair and Reasonable Cost: The Contracting Officer has determined the anticipated cost to the Government of the services covered by this J&A will be fair and reasonable.
8. Actions to Remove Barriers to Future Competition: For the reasons discussed in paragraph 5, NAVFAC SW does not intend to have a future contract action similar to this. This is a unique, isolated instance where the MILCON to support the F-35 aircraft is late to need, and several of the JSF aircraft are already on station. Once the hangar is complete, the Government will own the temporary modular facility complex, nullifying the reason for any future action. NAVFAC SW will continue to comply with all applicable statutes, regulations, and policies.
