About this file
This is a Participating Addendum template document for the Alliance for Innovation (AFI), a Texas nonprofit cooperative purchasing administrator, establishing the framework for participating entities to procure offerings from contractors through AFI's cooperative program. The document serves as an adoption mechanism whereby a Participating Entity (such as a local government agency) agrees to access a Contractor's offerings that have been pre-negotiated under AFI's Master Cooperative Participation Agreement. The Participating Addendum does not specify particular products, services, quantities, response dates, site visits, or bidder conferences, as it functions as a standard template for cooperative purchasing arrangements rather than a specific solicitation for defined deliverables.
The addendum establishes that Participating Entities issue Orders directly to Contractors and pay them directly, with AFI receiving administrative fees from Contractors rather than from Participating Entities. The document incorporates a hierarchy of document precedence in case of conflicts: the Participating Addendum takes priority, followed by the Master Agreement, the original solicitation and Contractor's response, the applicable Order or Statement of Work, and finally the Contractor's standard terms. Participating Entities retain all sovereign immunities and may incorporate mandatory provisions required by their applicable state and local laws, including appropriation and fiscal funding restrictions. The Participating Addendum remains effective until the earlier of the Master Agreement's expiration or written termination by the Participating Entity, and termination does not automatically terminate existing Orders unless specified in the Order or required by law. Governing law is determined by the Participating Entity's state jurisdiction.
