This is a Professional Services Agreement template document between the San Antonio River Authority and a consultant for providing engineering services, specifically Mechanical, Electrical, Plumbing (MEP), and Structural Engineering. The contract will provide professional consultation and design services to support troubleshooting, repairs, and upgrades across the River Authority's existing buildings, facilities, and parks, with anticipated tasks including load calculations, energy audits, HVAC diagnostics, irrigation and plumbing improvements, and life-safety assessments. The agreement commences on the effective date when signed by the River Authority and continues for the project duration. For construction projects, the term extends no later than sixty calendar days after final project completion. For manual renewal contracts, the agreement runs for one year with options to renew for up to two additional consecutive one-year terms, plus an optional six-month extension. For automatic renewal contracts, the initial term runs for a specified period with the same renewal and extension options, with automatic renewal unless either party provides ninety days' written notice of non-renewal intent. Billing rates remain firm for the first full calendar year from the effective date and may be renegotiated once per successive 365-day period, with increases capped at three percent and subject to River Authority approval.

Compensation is structured flexibly based on the specific task order, including options for firm-fixed lump sum payments, milestone-based payments, all-inclusive monthly fees, or time-and-material rates billed at fully-burdened hourly rates per personnel classification, all subject to a defined not-to-exceed agreement price. Reimbursable expenses may be authorized by written amendment and include transportation, subsistence, telephone, and reproduction costs, with travel reimbursed per GSA per diem rates. The contract requires comprehensive insurance coverage including Commercial General Liability ($2,000,000), Professional Liability ($1,000,000 per claim/$2,000,000 annual aggregate), Worker's Compensation, Commercial Auto Liability ($1,000,000), and Employer Liability coverage, with additional insured endorsements favoring the River Authority. The consultant must provide evidence of insurance prior to commencing services and maintain coverage for 60 months following project completion for claims-made policies. The agreement includes M/WBE participation goals and reporting requirements through the River Authority's Supplier Diversity Management System, with specific documentation and payment tracking obligations. Additional requirements include compliance with Texas Government Code provisions regarding Iran, Sudan, terrorism lists, nondiscrimination certifications, Israel boycott certifications, firearm entity non-discrimination, and energy company boycott prohibitions, along with conflict-of-interest disclosures.
