About this file
This is a Blanket Purchase Agreement (BPA) solicitation for residential furniture supplies issued by the U.S. Embassy Wellington for use in New Zealand.
The solicitation seeks to establish multiple BPAs with responsible vendors for the recurring purchase, delivery, assembly, and warranty support of residential furniture for leased and Government-owned residences. The BPA number is 19NZ9526Q0012, with an ordering period of five years from establishment. Quoters may bid on all 26 furniture categories or only those they can furnish, including coffee tables, floor lamps, lounge chairs, sofas, dining furniture, bedroom items, outdoor furniture, and related accessories. The Government intends to establish BPAs by furniture category and is not required to award to every quoter. No single purchase will exceed NZD $45,000, and the total amount ordered under the agreement will not exceed USD $350,000 or equivalent in NZD. BPA holders must provide new, unused furniture meeting specifications in Attachment 1, with pricing including delivery, assembly, placement, packaging removal, warranty support (minimum 12 months from Government acceptance), and replacement of defective items. Quoters must demonstrate legal authority to conduct business in New Zealand, reliable physical inspection access in the Greater Wellington region, and adequate delivery, assembly, warranty, and replacement capabilities. Evaluation will assess technical acceptability on a pass/fail basis, fair and reasonable pricing, responsibility, and past performance. BPA calls will be competed among capable holders, with award based on best value considering price, specification compliance, product suitability, delivery, warranty, and past performance. The solicitation requires completion of SF-1449, pricing submission via Attachment 2, commercial catalogs, discount methodology, business registration information, equipment inspection location details, and references. Invoicing should be submitted monthly to wellington.invoices@state.gov, and the Contracting Officer is John Langer.

SECTION 1 - THE SCHEDULE
BLANKET PURCHASE AGREEMENT
1. BPA Number 19NZ9526Q0012 The U.S. Embassy Wellington invites qualified vendors to submit quotations for consideration to enter into a Blanket Purchase Agreement (BPA) that establishes the terms and conditions applicable to future purchases of residential furniture.
2. Requirements
The U.S. Embassy Wellington intends to establish multiple Blanket Purchase Agreements with responsible vendors for the recurring and unpredictable purchase, delivery, assembly, and warranty support of residential furniture for leased and Government-owned residences.
A BPA is not a contract and does not obligate the Government to purchase any supplies. A binding obligation will arise only when an authorized Government employee issues a funded BPA call and the BPA holder accepts the call in accordance with its terms.
Vendors may quote on all furniture categories or only those categories they are capable of furnishing. The quotation shall clearly identify each category offered.
The BPA holder shall provide new, unused furniture meeting the specifications and salient characteristics contained in Attachment 1. Unless otherwise stated in an individual call, pricing shall include delivery, assembly, placement at the designated location, removal of packaging material, warranty support, replacement of defective or nonconforming items, and all other associated charges.
The BPA holder shall maintain the ability to provide physical inspection of proposed or representative furniture within the Greater Wellington region, either directly or through an authorized New Zealand representative. The BPA holder remains fully responsible for all performance by dealers, distributors, subcontractors, or other local partners.
3. BPA Ordering Period
The BPA ordering period shall begin on the date of establishment and continue for five years, unless canceled earlier by either party.
The Government will review the BPA at least annually to determine whether:
• the BPA holder remains capable of meeting the Government’s requirements;
• prices, discounts, and terms remain fair and reasonable;
• ordering procedures continue to provide adequate competition;
• the BPA holder has maintained satisfactory delivery, quality, warranty, and replacement performance; and
• continued use of the BPA is in the Government’s interest.
Continuation of the BPA following an annual review does not guarantee any purchases.
4. Terms and Conditions
• The Embassy is not obligated to purchase any definite amount under this agreement.
• No single purchase will exceed NZD $45,000.
• The total amount ordered under this agreement will not exceed USD $350,000 or the equivalent in NZD.
5. BPA Call Competition and Placement
a. Establishment of a BPA does not guarantee that the holder will receive any individual purchase.
b. For each requirement, the Government will request quotations from BPA holders capable of satisfying the requirement. The Government may also obtain quotations from non-BPA sources when necessary to ensure maximum practicable competition.
c. Requests for call quotations may be made electronically and will identify the required item, quantity, specifications, delivery location, required delivery date, and quotation due date.
d. BPA holders shall respond with:
• manufacturer and model;
• description and confirmation of compliance with the required specifications;
• unit and total price in New Zealand dollars, or USD;
• GST amount or GST-inclusive price;
• delivery and assembly charges, if not included;
• warranty terms;
• confirmed delivery date; and
• quotation validity period.
e. The Government will place each call with the vendor whose quotation represents the best value considering price, compliance with the required specifications, product suitability, delivery, warranty, and past performance under the BPA.
f. No person other than a Contracting Officer or an employee specifically identified in writing as an authorized BPA caller may place an order or direct the BPA holder to perform.
g. Oral requests, informal discussions, showroom visits, or communications from residence occupants do not authorize performance and do not obligate the
Government.
h. A BPA call becomes binding only after it is issued by an authorized Government employee and accepted by the BPA holder in writing or through performance, as specified in the call.
6. Authorized Employees
The Contracting Officer will provide each BPA holder with a written list of employees authorized to place BPA calls, including any dollar limitations applicable to each employee.
The BPA holder shall not accept an order from an individual who is not included on the current authorized-caller list. The Contracting Officer may revise the list at any time by written notice.
Only the Contracting Officer may modify the terms of the BPA, increase the BPA ceiling, change the ordering period, or authorize a change affecting price, quantity, quality, delivery, or other terms and conditions.
7. Delivery and Assembly
a. Unless a different schedule is stated in an individual BPA call, delivery shall be completed within four weeks after the BPA holder accepts the call.
b. Before a call is issued, the BPA holder shall confirm in writing that the required items are available and that the delivery date can be met.
c. Deliveries shall be made by appointment to the location identified in the call. The
BPA holder shall coordinate access with the Government point of contact identified in the call.
d. Unless otherwise stated in the call, delivery includes transportation, unloading, assembly, placement in the designated room, and removal of all packaging and debris.
e. Partial deliveries are not authorized unless approved in writing by the authorized ordering official.
f. The BPA holder shall notify the authorized ordering official immediately upon learning of any actual or anticipated delay. Notification does not excuse late delivery.
g. The Government may cancel an accepted call, obtain replacement items from another source, or pursue other available remedies if the BPA holder fails to meet the required delivery date.
h. Each delivery shall be accompanied by a delivery ticket containing:
• vendor name;
• BPA number;
• BPA call number;
• delivery date;
• delivery location;
• item description;
• manufacturer and model;
• quantity;
• unit price;
• total amount;
• applicable discount;
• GST;
• name of the authorized caller; and
• space for the Government receiving official’s printed name, signature, and date.
8. Invoices
The BPA holder shall submit a summary invoice to wellington.invoices@state.gov at least monthly or upon expiration of this BPA, whichever occurs first, for all deliveries made during a billing period. The invoice shall identify the delivery tickets covered therein, stating the total dollar value, and supported by recent copies of the delivery tickets.
9. FAR and DOSAR Clauses
The FAR and DOSAR clauses attached to this BPA shall apply to all purchases made under this BPA. In the event of an inconsistency between the provisions of this BPA and your invoice, the provisions of the BPA shall take precedence.
10. Warranty, Defects, and Replacement
a. All furniture shall be new, unused, merchantable, and free from defects in materials and workmanship.
b. The BPA holder shall provide the manufacturer’s standard commercial warranty, but in no event less than 12 months from Government acceptance, unless a longer period is stated in the individual call.
c. The BPA holder shall acknowledge a warranty claim within two business days.
d. Within five business days after notification, the BPA holder shall provide a written repair or replacement plan acceptable to the Government.
e. Defective, damaged, incorrectly delivered, or nonconforming furniture shall be repaired or replaced at no additional cost to the Government, including pickup, transportation, reassembly, redelivery, and removal of the defective item.
f. Government inspection before purchase does not waive warranty rights or constitute final acceptance.
11. Product Substitutions and Discontinued Items
The BPA holder shall not substitute a manufacturer, model, material, finish, dimension, or other product characteristic without prior written approval from the authorized ordering official.
When an identified product is discontinued or unavailable, the BPA holder may propose an equivalent or superior replacement. The proposal shall include specifications, photographs, dimensions, warranty information, price, and an explanation of how the proposed substitute meets or exceeds all required salient characteristics.
The Government is not obligated to accept a proposed substitute.
12. Cancellation
Either party may cancel this BPA upon 30 calendar days’ written notice. The Contracting
Officer may cancel the BPA immediately for repeated late delivery, failure to honor pricing or warranty commitments, loss of required business authorization, failure to maintain local support capability, unsatisfactory performance, or other reasons determined to be in the
Government’s interest.
Cancellation of the BPA does not cancel any properly issued and accepted BPA call unless the call is separately terminated or canceled by the Contracting Officer.
