About this file
This document is a Questions and Answers (Q&A) file for Solicitation Number 19MX3025Q0003, focusing on legal services for a real estate property acquisition in Guadalajara, Mexico. The Q&A addresses seven key inquiries from a potential vendor, primarily concerning the property details, acquisition process, and documentation requirements. Key points include: the property is an unselected single-family residence in Guadalajara, the government needs to execute a conditional purchase agreement by September 30 to obligate funding, and all deliverables must be in English. The government will work with local counsel to ensure proper documentation, conduct due diligence, and complete the property acquisition, including obtaining a new boundary survey prior to closing.
The document reveals that the Department of State is seeking legal services to support the property acquisition, with specific requirements around documentation, translation, and transaction processes. Vendors are expected to provide a due diligence checklist, work with local counsel, and be prepared to assist in appointing a notary public and trustee bank. The solicitation requires electronic proposal submission to GDLGSOProcurement@state.gov by April 11, 2025, at 12:00 CST, with questions accepted until April 01, 2025, at 12:00 CST. Proposals must be in English, and incomplete submissions will not be considered.

Number Question Answer
We understand that the real estate property intended for acquisition is located in the Municipality of Guadalajara, Jalisco. Please confirm and, if possible, share the address or location.
Yes, we will. Once we have identified and selected the property, we will provide the address. I think for now it’s a to-be-identified single-family residence located in Guadalajara.
Please confirm the intended use for this property; we understand is a Residence for housing purpose.
We haven’t selected a property, so we don’t have the boundary survey. Once selected, we can ask the Seller if he/she has a boundary survey or plot plan. As part of our due diligence requirements, we will need a new boundary survey prior to closing.
Please confirm the expected timing for this acquisition (e.g., estimated date of acquisition), if any.
We need to execute the conditional purchase agreement prior to the end of the fiscal year (Sept 30) to obligate the purchase funding. Then, we will need to determine the commissioning work, complete our due diligence, close, and take possession.
Is the translation into Spanish of the final Conditional Purchase Agreement draft provided in Exhibit A part of task 2.5 and the proposed fees, or are these types of translations into Spanish required to be quoted separately? We have in-house official translators.
All deliverables sent to the USG or its stakeholders, should be in English. If it is something that needs to be in Spanish and given to the host government for processing/registration, that’s fine. We will just need a copy in English.

We will provide a Due Diligence Checklist for the Seller to supply the required information for a Title Search and Due Diligence process.
Please confirm whether this is acceptable.
Yes, we have a due diligence checklist that we can provide to local counsel. They will then work with the Seller to ensure the proper documentation is provided for our review and allows conveyance of the property. Yes, this is acceptable.
We assume that we will have the authority appoint the notary public and bank to be acting as trustee. Please confirm.
Yes, granted and confirmed. We can discuss this a little later when we have local counsel on board and identify a property.
We have not received a copy of the PROPERTY
(BOUNDARY SURVEY OR
PLOT PLAN), nor a response to our request for the expected purchase price of the property. This information is necessary to make an informed and accurate bid.
We haven’t selected a property, so we don’t have the boundary survey. Once selected, we can ask the Seller if he/she has a boundary survey or plot plan. As part of our due diligence requirements, we will need a new boundary survey prior to closing.
