SCHEDULE OF SUPPLIES/SERVICES, BLOCK 20

DESCRIPTION/SPECIFICATIONS/WORK STATEMENT

INTRODUCTION

The Government of the United States of America, represented by the U.S. Mission in Greece, requires legal advice and assistance with non-litigation labor and employment matters under local law (i.e.

interpreting local labor law, revising post’s Locally Employed Staff Handbook or Local Compensation

Plan, determining how best to terminate an employee, drafting a notification to host government authorities).

Pursuant to the Vienna Convention on Diplomatic Relations (VCDR) and other applicable legal instruments, the Government of the United States of America (Mission) may be exempted from a number of provisions and procedures that apply to the private and public sectors.

Following successive changes in the Greek labor law, and other related alterations, the Mission would like to be up-to-date with the Greek legal framework and compensation practices, and be able to comply with it to the extent consistent with the U.S. public interest and regulations.

1. PURPOSE

1.1 The purpose and intent of this Request for Quotation is to enter into a contract with a qualified law firm (hereinafter called the “contractor”), with expertise in the Greek labor law, and the modus operandi of Diplomatic Missions and their diplomatic immunities within the host country (e.g. VCDR), to provide advice on legal rights and obligations, interpretation of laws, rulings and regulations, and on other non-litigation issues.

2. SCOPE OF WORK TO BE PERFORMED

2.1 The nature of the services to be rendered by the contractor will primarily relate to Locally Employed

(LE) Staff of the Mission and domestic staff (i.e. private servants of a member of the Mission), and shall include, but not be limited to the following:

2.2 The contractor shall provide legal advice, counseling, and/or clarifications regarding all local labor, social security, and other employment laws in plain speak which provides clear and actionable guidance.

In providing legal service, the contractor shall take into account the established rules, procedures, and guidelines and their applicability to the Mission. The contractor shall clearly identify instances where certain aspects of local labor law do not apply to the Mission and/or its staff that would generally apply to the private and/or public sector. In those instances, the contractor shall provide justification for that determination and specify what laws would apply and how if the employer weren’t a diplomatic mission.

Special consideration shall be given to legislation on workers’ compensation, employees’ severance, settlement agreements, disciplinary proceedings, dismissals, pensions, benefits, or to any other laws that may be relevant within a determined framework, as well as to all local social security legal aspects affecting the LE Staff, the Mission, domestic staff, and their employers.

2.3 The contractor shall take the initiative of informing the Mission of forthcoming updates on new labor related legislation, regulations, or court decisions that may impact its operations so that the COR can initiate, if considered pertinent by the Mission, the procedures specified in paragraph 2.8 and 2.9. Such services may include translation of the new law, regulation, or court decision and recommendation on best practices or strategies for implementation into the Local Compensation Plan, handbook, or personal services agreement of the LE Staff.

2.4. The contractor shall also translate other types of documents including but not limited to diplomatic notes, court related documents, or other legal paperwork as appropriate.

2.5 The contractor shall interpret laws, regulations, court decisions; provide legal solutions and/or recommendations in plain speak that provides clear and actionable guidance on how to proceed when the

U.S. Government issues new regulations to be implemented worldwide by U.S. Missions, which may not be in compliance with the local labor law.

2.6 The contractor may be required to contact the Department of State’s Office of the Legal Advisor only to provide legal details on a given case or on other legal matters if deemed necessary; however, the contractor shall not handle litigation.

2.7 The contractor shall prepare and draft documents, such as those relating to Disciplinary Proceedings, in English and Greek, for delivery to the Mission’s staff and provide clear and actionable legal guidance on counseling, admonishing, or on other needed disciplinary measures applicable to Locally Employed

Staff.

2.8 The contractor shall receive a request for estimated hours prior to providing any legal advice. The request includes a description of the case or service to be rendered. Upon receipt of said estimated hours, the Mission will issue a Task Order or, alternatively, the legal advice to be provided will be covered by a general Task Order issued to account for a number of hours and for various legal services under this scope of work.

2.9 The contractor shall provide requested advice within a prescribed timeframe, not to exceed five working days from the date the Task Order is issued, or from the date the legal service is accepted in the case where the legal service is to be covered under a general Task Order as described in 2.8 above. In complex cases, if advice cannot be provided within the established timeframe, the contractor shall provide an estimated time frame of completion with its estimate.

2.10 All correspondence and communications under this contract shall be considered attorney-client privileged and must not be divulged to any third parties without prior written consent of the Mission.

3. DELIVERABLES

3.1. Based on the legal service performed, the contractor must issue the following reports:

3.1.1 Reports on a case-by-case basis: The contractor shall deliver a report, in English, not to exceed five business days after receiving a Task Order to proceed with work. In urgent cases or situations, the

Mission may require the delivery of a report in a shorter but realistic timeframe according to the nature of the issue. In complex cases, if a report cannot be provided within the established period, the contractor shall follow the procedures in paragraph 2.9 above. The reports shall be delivered to the COR of the contract.

3.1.2 The reports in paragraph 3.1.1 must provide:

3.1.2.1 Legal advice to keep the Mission abreast of the legal changes in the labor laws affecting the

Mission and/or it’s LE Staff, and members of the mission and/or their domestic staff.

3.1.2.2 Translations of legal or legal related documents including but not limited to court letters, court documentation, and diplomatic notes.

3.1.2.3 Counseling on the various employment laws as necessary and sound legal opinion on how they affect the Mission’s employment practices and procedures.

3.1.2.4 Legal instruction or suggestions, in a clear and easily understandable vernacular, on how the

Mission shall proceed to comply with the legal obligations and rights enforced by Greek Labor Laws to the utmost extent possible. Assist the Mission with drafting of proposed policies and procedures.

3.1.2.5 In a clear and easily understandable vernacular, provide written legal interpretation of the case under consideration and analysis, ranging from common employment law topics to more complex or critical issues, such as how to handle employees’ terminations and lay-offs, severance payments, workers’ compensation, and other specific issues.

3.1.2.6 The nature of some of the reports mentioned in paragraph 3.1.2.4 may include, but are not limited to, drafting admonishment/warning letters, letters of dismissal, response to grievances, and writing agreement proposals to resolve employer/employee disputes in the workplace.

3.1.2.7 In a clear and easily understandable vernacular, provide written legal counsel on the risks, best practices, and legal guidance on the most appropriate course of action, in order to avoid or reduce unreasonable exposure to liability, drawbacks, sanctions, and litigations against the Mission.

3.1.2.8 In a clear and easily understandable vernacular, provide written legal direction on how to incorporate, adapt, or modify provisions of the Local Compensation Plan, LE Staff Handbook, and personal services agreement to ensure they are based on prevailing practices to the extent consistent with the U.S. public interest and regulations.

3.1.3 Prepare or assist in the preparation of any other legal materials or writings, which, within a broad range of legal issues that may arise, and within the scope of the labor relationship between the employer and employee, may be requested to the contractor upon submission of a task order.

3.1.4 All reports are subject to issuance of a specific Task Order relating to a particular legal issue or to a general Task Order as indicated under 2.8 and 2.9 above.

3.1.5 For the purpose of this contract, reports, translations, and any type of communication in English with the Mission must be clear, concise, and actionable.
