B.4 USE OF INDEXES IN PRICE REVISION

Prices for line items under this contract shall be revised in accordance with laws applicable to the performance of warehousing services in France. Prices shall be based on the index rates for labor and for storage rental services (ILAT or Indice des Loyers des Activités Tertiaires meaning Tertiary Activities Rent Index) released every year in January by the French Government through the official French National Institute of Statistics and Economic Studies (INSEE) as follows:

Price (Pn) represents the contract prices for labor and for storage rental services for the base year and for each of the option years when they have expired and prices for a new option year shall be revised using indexes.

Price (Pn+1) is the revised and adjusted price for labor and for storage rental services in year n + 1 for each of the option years when they are implemented.

B.4.1 Labor

For the labor hours (CLINs 0007; 0008; 009), the labor index rates released by INSEE shall apply as follows:

The labor index rate (In) assessed by the INSEE for the base year of the contract and each of the option years when they have expired and prices for a new option year shall be revised using indexes.

The labor index rate (In+1) assessed by the INSEE for year n + 1 for each of the option years when they are implemented.

P a g e 4 | 73

B.4.2 Storage rental services

For the storage rental services (CLINs 0003; 0004; 0005; 0006) ILAT index released by INSEE shall apply as follows:

The storage rental services rate (In) assessed by the INSEE for the base year of the contract.

The storage rental services rate (In+1) assessed by the INSEE for year n + 1 for each of the option years when implemented when they have expired and prices for a new option year shall be revised using indexes.

The storage rental services rate of 124.53 issued in December 2022 shall apply for the base year prices for line items for storage rental services.

B.4.3 Calculation with formula

The prices and the index rates shall form the basis of the formula governing the revision of contract prices for all four-option years. The same formula shall apply for both labor and storage rental services only when the contract is modified to exercise an option year extension. Fixed prices for each option year (subject to a contract modification duly signed by both vendor and Contracting Officer and starting the day after expiration date of the contract year in progress and continuing for a period of 12 months) for all labor services and storage rental services as defined in C.2 (TYPES OF SERVICES) shall be the same as for the base year subject to revision only in accordance with the formula.

The effective date for the change of the index rates may occur prior to the expiration date of the contractual year in progress but this shall have no bearing on the modification to follow and no retroactive adjustment shall be considered. The contractor shall submit his request for revision for each option year using the index rates in effect 30 days prior to the expiration date of the contractual year in progress. The formula is as follows:

P n+1 = Pn x In+1 In The line items relating to material, equipment, consumable and transportation (CLINs 0010 to 0014) are not subject to index revision and their prices shall remain the same throughout the life of the contract.

B.4.4 Adjustment Ceiling

Regardless of the percentage increases applied by the French Government for the above referenced index rates, no adjustement shall be applied that exceeds 10% of the line item prices applicable at the time of the request for adjustment.

B.5 PRICING

P a g e 5 | 73

(b) The Government will make payment in local currency.

(c) The Government shall also reimburse the Contractor at the purchase price for any materials or equipment ordered by the Government for Temporary Addditional Services.

Local law dictates the portion of the contract price that is subject to VAT; this percentage is multiplied only against that portion. It is reflected for each performance period.
