C.2 SITE SPECIFIC INFORMATION
The Gerald R. Ford Job Corps Center is located near/in the city of Grand Rapids, Kent County, in the state of Michigan. The property and site are described in the Facility Survey, Vol. 1 and 2, dated April 2018, which is available as an electronic attachment to this RFP in Section J. List of Attachments, Attachment J-9.
A. Youth screened for the Job Corps program shall come from workforce development areas in the state of Michigan as follows:
MIRZ03
The Contractor shall be expected to recruit and screen enough applicants to generate arrivals in accordance with the delivery schedule in Section F. Note: This could include recruiting and screening arrivals for more than one Job Corps Center.
The Contractor will perform recruitment activities only within the designated Recruitment Zone.
Prospective applicants who reside within the Recruitment Zone will be automatically referred to the appropriate admissions office. A digital map of Job Corps recruitment zones is available at https://neapmap.com.
I. Failure to maintain staffing levels
The contractor shall have a maximum staff vacancy rate not exceeding 4% of the total number of staff positions. The contractor shall complete and submit the vacancy information section in the attached Wage Comparability tool by 10th day of every month.
Beginning the first month of center operations, if the contractor’s vacancy rate exceeds 4% (as reported in the monthly Wage Comparability Tool submitted during the following month), the contractor shall reduce its invoiced price by an amount equal to the sum of the monthly salary(ies) for all vacant positions over the permitted 4%. The positions subject to the reduction shall be the oldest vacancies, as determined by the contractor’s vacancy section of the Wage Comparability tool. If any of the vacancies subject to the reduction occurred (were separated) during the month for which the report applies, the position will not be subject to the reduction, but shall be used in the contractor’s calculation of total vacancies and total percentage of vacancies.
Please see table below detailing 4% vacancy allowance. The value of the salary for a vacant position shall be determined by the value listed for that position in attachment J.28. Upon the first day of the first month of center operations, the contractor shall submit to the Contracting Officer and the Contracting Officer’s Representative, an updated J.28 that includes employee numbers for hired staff. G&A, Management fee, https://neapmap.com/ and any other profit shall not be included in the reduction. Reductions in pricing must be shown in the contractor’s invoice. See attached invoice template attachment J.20.
At the end of each contract year, the Government will adjust via modification (as appropriate), the contract price for the contract year, to reflect the total price paid during the contract period, including reductions for vacancies described above.
The contractor acknowledges that this reduction in price does not absolve the contractor from responsibility to perform the contract with a vacancy rate not exceeding 4%.
Total Number of Staff Positions
Total Number of Vacancies Permitted within the 4%
(rounded up to the nearest whole number)
Example #1: If the total number of staff positions under the contract is 100, the contractor is permitted to have four vacancies. If the contractor reports that the total number of vacant positions on was 10, then the contractor shall reduce its invoice for the six positions over the contractually permitted four. The six positions whose salary is subject to the reduction are the six oldest vacancies according to the report. If one of the six vacancies became vacant during the month for which the report is submitted, then the contractor will only have to subject the five oldest vacant positions to the reduction.
Example #2: If the total number of staff positions is 260, the contractor is permitted to have 11 vacancies. If the contractor reports during its monthly Wage Comparability tool submission that the number of vacant positions is 30, the contractor shall compensate DOL for the 19 vacant positions over its contractually permitted 11 vacancies. If five of the 19 positions over the 4% became vacant during the month for which the report is submitted, then the contractor will be subject to a reduction for the 14 positions oldest positions.
The contractor shall complete the vacancy information section in the attached Wage Comparability Tool/2110S (Attachment J-27) by the 10th day of every month.
G.9 PRICE ADJUSTMENT FOR LESS-THAN-100% ON BOARD STRENGTH
The total contract value at the time of award will be based on Section B.2, Pricing Schedule, which is based on attaining and maintaining an average monthly OBS of 100% of the planned OBS. The Contract requires the Contractor to undertake every effort necessary to attain and/or maintain 100% average monthly OBS.
(The contractor will be permitted a grace period of three (3) months, for which the contractor can bill at the 100% OBS price, regardless of the actual average OBS for the month billed. The three month period shall begin during the first full month of center operation). Does not apply to incumbent contractor.
After the three month grace period, should the average monthly OBS level be less than 100% in any month, the Contractor’s price for the month will be adjusted downward based on the actual average OBS during that month. “Average OBS” means the OBS as established for the (CIS- >Accountability->Reports->Center Reports->Center On Board Strength Report->Select Reporting Period).
The reduction of the price pursuant to this clause is in addition to, and does not constitute a waiver by the Government of, other remedies available under the contract for the contractor’s failure to achieve 100% OBS.
The adjusted monthly price for less than 100% OBS shall computed based on the following formula:
Adjusted Monthly Price = CLIN XX02 Monthly Price x Adjustment Percentage Adjustment Percentage = 100 – [(100 – “Average OBS”) / 100 x 15]
The following hypothetical examples are provided solely for the purpose of illustrating how the formula operates. Suppose that for the base period of the contract, the CLIN 0002 unit price per month is $1 million. In the fifth month of contract performance, the Average OBS for the Center was reported to be 64%. In that case, the Adjusted Monthly Price for that month, which is the amount that the Contractor would be entitled to receive is $955,460, calculated as follows:
Adjustment Percentage = 100 – [(100 – “Average OBS”) / 100 x 15] 100 – [(100 – 64) / 100 x 15] 100 – [(36 / 100 x 15] 100 – 5.4%
Adjusted Monthly price = $1,000,000 x 94.6% $946,000
At the end of each contract period, the Government will adjust via modification, the contract value for that period, to reflect the total price paid during the contract period.

L.7, Factor 2 The requirement for Past Performance states “The Offeror’s work under the identified projects should be similar in scope and complexity to the requirements of this solicitation and should include information to demonstrate such similarity.” Size is not included here nor in RFP Section M.1 Factor 2. Will the Government please confirm size (e.g., contract value, OBS) is not a consideration for relevance in the evaluation process? See Amendment 0001
L.7, Factor 4.a.4 Offerors are to submit Attachment J.28. Is only the J.28 required or is an associated Staff Compensation Plan narrative also required for submission? A Staff Compensation Plan narrative is not required.
L.7, Factor 4.a.10 The requirement in the Business Management Proposal (BMP) to provide assurance of compliance with basic health and safety codes, including disciplinary measures is similar to the requirement for Technical Approach, Safety and Security. Will the Government clarify their expectations for this requirement in the BMP? What is required in the BMP response that is not provided in the Technical Approach? What constitutes “assurance” that will satisfy the requirement? This section of the BMP shall acknowledge compliance with the basic health and safety codes in accordance with the disciplinary measures described in section 152(b) of the Workforce Innovation and Opportunity Act of 2014.
L.7, Factor 4.d For this section of the Business Management Proposal, the requirement states “Offeror’s should provide a listing of any major subcontracts that are anticipated.” Will the Government define what constitutes a “major” subcontract? Attachments J-4, Attachment J-28 Can unused positions on the Attachment J-4 and Attachment J-28 be deleted? No.
For the various forms or documents requiring signature such as the Transmittal Letter, SF33/30, ETA 8554 (Atch J-2), SF 1413 (Atch J-8), and Statement from the Lending Institution, will the Government accept electronic signatures? Yes.
C.2 Please confirm that the standard 3-month grace period for staff vacancy reductions will be applied to invoicing at contract start. There is not a 90 day grace period regarding vacancies.
n/a Please confirm that attachment J-8 is not required to be submitted as the information would not be determinable at the time of the proposal. The J-8 is required to be completed and submitted with proposal.
n/a Should the offeror omit substitutes and paid student interns from the J-28? Yes.
G.2 Please confirm that Equitable adjustments resulting from new wage determinations or increases to the federal minimum wage will include a 1% management fee. No. G&A and fee are not permitted in REAs resulting from Minimum Wage increases or new SCA wage determination.
n/a Should the offeror include NTC’s on the J-4? No.
G.9 Please confirm that the OBS adjustment calculation example is correct. Since the Management Fee is already included in CLIN 0002 unit price, it appears incorrect to apply the management fee in addition to the adjustment. See Amendment 0001 n/a Please update to WD No. 2015-4847 v.22 dated 12/27/22 See Amendment 0001
FAR 16.3203-2 In DOD’s guidance memorandum dated May 25th, 2022, the agency confirmed a willingness to include EPA clauses in new contracts to combat inflation risk in firm fixed price contracts stating “an EPA clause may be an appropriate tool to equitably balance the risk of inflation between the Government and contractor”. Will DOL consider including FAR 16.3203-2 and consider the following 4 factors:
1. considerations for selecting an index to measure inflation that is linked to cost components that are most unstable;
2. limitations on the scope of the EPA to exclude costs that are unlikely to be affected by inflation;
3. allowance for both upward and downward adjustments in price; and
4. establishing formulas for calculating the new pricing instead of merely reopening price negotiations. The Government will not be including any type of economic price adjustment clause in the solicitation at this time.
Attachment J-16: The wage determination is 2015-4847, revision 21, dated 6/27/2022. According to SAM.gov, the latest SCA Wage Determination 2015-4847 Rev 22 12/27/2022. Should offerors use the latest version or the version provided in the RFP? See Amendment 0001
Attachments J-1 and B.2 Pricing Schedule Attachments J-1 and B.2 Pricing schedule do not break out CLINS for Center Operations and 1% Management Fee. The 1% Management Fee is reduced by the OBS payback but is not reduced by the vacancies in excess of 4%. The invoice template, however, does break out the CLINs for Center Operations and 1% Management Fee. Is it the Government’s intention to combine the CLINS for center operations and 1% management fee?” See Amendment 0001
Attachment J-1: CLINs XXX5-XXX8 do not include the NTE amounts as reflected on the B.2 Pricing Schedule. Should the Offeror add the NTE amounts to mirror the Pricing Schedule? Yes.
Contract Award Tab: The cell for the Total for CLIN 0001 (G12) does not include a formula. Can the offeror update the cell to calculate accurately? See Amendment 0001
Attachment J-28 Can offerors eliminate position rows as instructed in the J-4 Attachment? Positions not being proposed may not be deleted.
| Currently, when a contract is awarded to a non-incumbent, the incumbent contractor pays the employee vacation time earned but unused as part of the final paycheck received. Title 29, Part 4 of the Code of Federal Regulations, Section 4.173 indicates that the vacation time continues if there is no break in service. The contractor by whom a worker is employed at the time the vacation right vests (i.e., on the employee's anniversary date of employment) must provide the full benefit required by the wage determination which is applicable on that date, whether or not it is the predecessor or the successor contractor. | |||
| o | Will the successor contractor be entitled to this information in the list of incumbent service employees required to be provided by the CO/incumbent contractor at the time of transition (along with names, date of hire and position)? | ||
| o | Will DOL modify new contracts that are awarded to the non-incumbent with funding to absorb the unknown vacation balances to be assumed and paid out under the new contract? | Under 29 CFR 4.173(c)(2), any accrued unused vacation must be paid out by the earliest of the worker’s anniversary date, the date the employee terminates employment, or the completion of the contract. The first sentence of the question thus correctly recognizes that when one contract ends and another begins, the outgoing/predecessor contractor is responsible for paying its service employees for their accrued, unused vacation. Thus, accrued, unused vacation time does not carry over from one contract to another, even if there is no break in service, and as a result there are no “unknown vacation balances” to be “absorbed.” However, and importantly, a service employee’s entire period of service (i.e., the employee’s seniority) is used to determine the amount of vacation time that the employee will accrue while working on the new contract. This is explained in the response to question 2(b) above and in the regulations at 29 C.F.R. 4.173(a). |
DOL intends to provide the awarded contractor with the seniority list at the beginning of the phase-in period. For the purpose of proposal development and submission only, offerors shall assume that all incumbent employees are entitled to two weeks of vacation. If the awarded contractor, upon receipt of the seniority list during phase-in, determines that any retained incumbent employee is entitled to more than two weeks of vacation based on their period of service, the contractor may submit an REA for the additional vacation time to which the employee is entitled.
C.2.I Failure to maintain staffing levels states damages will begin on the first month of operations. Will the Government consider revising this language to state “Beginning the fourth month of operations” which is similar to other FFP contracts awarded? The Government will not revise this language at this time.
There have been significant, unprecedented shifts in inflation over the past two years. To equitably balance the risk of inflation between the Government and contractor, and in accordance with FAR 16.203-3 and 4, will the government consider including FAR 52.216-4, Economic Price Adjustment- Labor and Material Clause in the clauses incorporated by reference? The Government will not be including any type of economic price adjustment clause in the solicitation at this time.
G.9 The Executive Order and SCA requirement has significantly increased wages. The OBS payback calculation assumes 15% of the contract value is a group of select non-personnel lines. There has been no consideration for increases in personnel expenses and the dilution of non-personnel expenses. Will the Government consider a CLIN structure that breaks out personnel, non-personnel and non-personnel expenses subject to the 15% OBS price adjustment? The Government will not consider a revision to the CLIN structure.
Attachment J-4, Staffing Chart Will the Government determine the SCA occupation for the designated SCA positions? The contractor is responsbile for determining.
C2.I. Failure to Maintain Staffing Levels There is a table that indicates Total Number of Staff Positions is 99.27, Total Number of Vacancies Permitted w/in the 4% is 4. See Amendment 0001
J-16 Wage Determination Please confirm we should utilize Service Contract Act latest wage determination. The RFP provides wage determination dated 6/27/22. However, the most recent wage determination is dated 12/27/22. See Amendment 0001
G.15.C.6 DOL 2018-03 RFP page 34 #6 indicates all subcontracts require Contracting Officer’s approval. Does this include CRA subcontracts in addition to Center operations such as medical subcontract providers? Doesn’t the contract modification suffice as a subcontract approval as the contract modification is signed by the Contracting Officer with providing funding for the referenced CRA project which generally implies a subcontracted service? The Contracting Officer's approval is required prior to engaging in any contractual relationship (sub-contractor) support when the the disclosure of information, documentary material and/or records generated under, or relating to, contracts is required.
J-25 FAQs (G.3) Please confirm that this contract will allow small businesses to invoice for the government for CLINS twice per month (15th and 30th/31st) of each month as indicated in FAQs G.3. However, FAQ G.4 indicates CLINSxx02 and xx03 are to be billed monthly as reliant upon OBS status and may affect billing penalties which is understandable. All operators are required to invoice monthly.
P. 44, H.18 Closeout Package RFP Page 44 H.18 indicates there will be a close out package. However, FAQs (Attachment J-25) indicates H.19 that the Contractor will not be responsible to submit a closeout package with cost breakdowns for FFP CLINs. Please elaborate for clarify A closeout package is required in accordance with Section H.18; but Contractors will NOT be responsible for submitting cost breakdowns for FFP CLINs.
P. 44, H.18 Closeout Package RFP Page 44 H.18 indicates close our package forms will require final direct cost rate agreements (as applicable). FAQs J-25 indicates Indirect cost rate agreements are still required and may be utilized when determining and negotiating equitable adjustments. Please provide additional clarification as through correspondence of Indirect rate departments in Washington D.C. It was understood that under a Firm Fixed Price Contract, there is no indirect cost rate agreement with a cognizant agency – as the Indirect Costs are fixed and final. Doesn’t this process only apply to cost reimbursable contracts and not Firm Fixed Price Contract? Under a FFP contract indirect cost rate agreements are not needed.
B.1 Will the successful operator be required to do an OBS Build-Up Plan? The government anticiaptes the center to be at full OBS. However, if the center is not at full OBS, the operators will be requested to submit a build up plan.
C.2C Will the successful operator be required to submit a plan per PR PIN 21-12? A 21-04? The Plan per PIN 21-12 will be required.
F.5 Will the government please provide the Wage Determinations for all the counties identified in the NEAP for the Ford JCC. The WD for the center is identified. DOL will not provide the wage determination for all counties within a recruitment zone, because it is not DOL's requirement that an OA office be located in every county. It is up to the offeror to identify the location of each OA office and to provide the list to the CO, if the offeror so chooses.
H.6 From reading, Reg. 29 CFR 4.173., for vacation accrual purposes, contractors are required to recognize previous hire dates for work performed on the contract regardless of which contractor operated the center. In addition, the WD states 2 weeks paid vacation after 1 year of service with a contractor or successor.
(a) Is this regulation applicable to this implementation and (b) should the hire/vacation accrual date be when the employee originally was hired on the contract (regardless of which contractor operated the center) or should the hire/vacation accrual date be when the employee was hired with the current contractor?
(c) If this does apply, for contractors who did not recognize time with the contract during the transition, how should this date be obtained? We want to obtain the proper date to avoid our employees missing out on a higher vacation amount, were applicable. (d) For proposal purposes, with no historical data available, will the government provide a list of anniversary dates for use in proposing proper vacation hours or (e) will the government permit an REA after award once these anniversary dates are made available should the costs be greater than proposed? a) Yes, 29 C.F.R. 4.173, Meeting Requirements for Vacation Fringe Benefits, is applicable to SCA-covered contracts, including Job Corps contracts.
b) You are correct that, as explained in 29 C.F.R. 4.173, a service employee’s eligibility for vacation benefits is based on the total length of time the employee has been in the contractor’s service (commercial work and federal contract) and, where applicable, the total length of time the employee has been employed in any capacity in the continuous service of any predecessor contractor and has been carrying out similar contract functions at the same facility. Thus, where a WD specifies, for instance, 2 weeks of paid vacation after 1 year of service, an employee becomes eligible for 2 weeks of vacation after 1 year of continuous service with either the contractor or any predecessor contractor while carrying out similar contract functions at the same facility.
c) In a typical scenario (such as where SCA requirements are included in the predecessor contract), the predecessor contractor, in accordance with 29 C.F.R. 4.6(l)(2), provides the contracting agency with a certified list of the names of all service employees on the predecessor contractor’s payroll during the last month of contract performance, including anniversary dates of employment, and the contracting agency then provides the certified list to the successor contractor. The certified list is sometimes referred to as a “seniority list.” Where such a seniority list is not prepared andtransmitted to the successor contractor in accordance with this regulatory provision, the successor contractor will need to determine seniority for purposes of eligibility for vacation benefits from other sources, including by obtaining any relevant information from the contracting agency or from the predecessor contractor, and/or by obtaining seniority information (including proof of service such as pay stubs or W-2 forms) from the service employees themselves.
d) Please see the above response for information relevant to this question. DOL intends to provide the awarded contractor with the seniority list at the beginning of the phase-in period. For the purpose of proposal development and submission only, offerors shall assume that all incumbent employees are entitled to two weeks of vacation.
e) Accrued, unused vacation must not carry over from one contract to the other, as any unused vacation must be paid out by no later than the completion of the contract; however, a service employee’s entire period of service (including with a predecessor contractor while carrying out similar contract functions at the same facility) is used to determine the amount of vacation time that the employee will accrue while working on the new contract. For the purpose of proposal development and submission only, offerors shall assume that all incumbent employees are entitled to two weeks of vacation. If the awarded contractor, upon receipt of the seniority list during phase-in, determines that any retained incumbent employee is entitled to more than two weeks of vacation based on their period of service, the contractor may submit a request for equitable adjustment (REA) for the additional vacation time that the employee is entitled.
J-1 On the J-1, the Management Fee CLIN is missing. Would the government please provide the missing information? The Attachment J-1, without the Management Fee CLIN is correct.
J-4 To be consistent with Attachment J-4 staffing chart, can unused positions be deleted from Attachment J-28? No.
Section J Would the government please clarify if the DBA WDs are the correct ones for this solicitation? On Sam.gov there are more recent WDs issued in 2023 for the respective DBA WDs. See Amendment 0001
Section J Would the government please clarify that the SCA WD is the correct one for this solicitation? On Sam.gov there is a more recent WD issued in December 2022. See Amendment 0001
Section J In regard to SCA, what if the position fits within a position on the wage determination, but also supervises student workers, is the position required by the SCA to be paid more? The SCA Wage Determination identifies the minimum wages/fringe benefits for covered positions. It is the offeror's responsibility to ensure that all covered positions are paid at least the minimum amounts identified.
Will the government please confirm that SCA wages and H&W rates should increase by a minimum of 3% every year of the proposal? All offerors shall use an escalation factor of not less than 3% when increasing their salaries from one year to the next.
There is uncertainty about future costs to FFP contracts, especially in the current environment where inflation or CPI is 8.5%. Offerors try to include risk premiums in their bids to ensure viability through these unprecedented circumstances, causing overall higher bid prices. In accordance with FAR 16.203-1, will the government consider adding an Economic Price Adjustment (EPA) or Price Adjustment Clause to the contract? By minimizing long-term unknown inflationary risks factors from the contractor, the need for inflationary risk contingency costs is eliminated, resulting in a more realistic and competitive overall bid price. The Government will not be including any type of economic price adjustment clause in the solicitation at this time.
In our experience, some states do not fully recognize the sales tax exemption that should be available to DOL contractors. Should Offerors include sales taxes in their pricing or will DOL allow an REA in the event the State of Michigan requires the winning Offeror to pay sales tax on purchases made in the course of contract performance? Sales tax should not be included in proposed pricing. A Government Tax Exempt letter will be issued to the awarded operator.
