About this file

This document is a Justification and Approval (J&A) for Other Than Full and Open Competition prepared by the Federal Bureau of Investigation's Finance and Facilities Division, Procurement Section, for a sole source acquisition with Albireo Energy.

The FBI is procuring a 5-year comprehensive maintenance contract for the Alerton Building Automation System (BAS) located at the J. Edgar Hoover Building in Washington, D.C. The contract is a Firm Fixed Price arrangement with a base period of one year beginning August 1, 2026, followed by four optional one-year renewal periods through July 31, 2031. The required services include parts, labor, 24/7 technical support, emergency onsite response, software maintenance, data protection, preventive maintenance, repair, hardware replacement, network maintenance, system performance updates and upgrades, and operator training. The BAS is a mission-critical facility-wide control system that monitors and regulates heating, ventilation, air conditioning, life-safety systems, energy management, and building infrastructure. The sole source justification is based on the proprietary nature of the Alerton system; access to proprietary software, diagnostic tools, firmware updates, and technical documentation is restricted to authorized manufacturers' representatives. Albireo Energy is the exclusive authorized Alerton service provider for the Washington, D.C. metropolitan area and the only contractor capable of providing factory-supported services. Market research confirmed that other Alerton-authorized service providers cannot cross assigned territorial boundaries to conduct business outside their geographic areas. Additionally, personnel must possess Top Secret security clearances and DD-254 eligibility to operate within the FBI's secure environment, which Albireo Energy currently maintains. The J&A notes that future system replacement on a building-wide or campus-wide basis would present an opportunity for full and open competition.

FEDERAL BUREAU OF INVESTIGATION

FINANCE AND FACILITIES DIVISION | PROCUREMENT SECTION

JUSTIFICATION AND APPROVAL (J&A) FOR OTHER THAN

FULL AND OPEN COMPETITION GUIDE AND TEMPLATE

JUSTIFICATION FOR OTHER THAN FULL AND OPEN COMPETITION IN ACCORDANCE WITH 41 U.S.C. 3304 (A) (X)

1. Identification of the agency and contracting activity.

The U.S. Department of Justice, Federal Bureau of Investigation (FBI), Facilities Acquisition Unit (FAU) has prepared this Justification for other than full and open competition for brand name specific for the purpose of providing support services for the Building Automation System located at the J Edgar Hoover (JEH) FBI Building in Washington, D.C. on behalf of the Facilities Operations Unit, Facilities and Finance Division.

2. The nature and/or description of the action being approved, i.e., sole source, limited competition, establishment of a new source, etc.

Firm Fixed Price contract issued to Albireo Energy. This requisition is for a 5-year proprietary comprehensive maintenance contract that provides parts, labor, 24/7 technical support and training for the JEH FBI Building Alerton Building Automation System. This is a sole source acquisition due to the proprietary nature of (the manufacturer) Alerton Building Automation Systems. Specialized software, diagnostic tools, technical support, and training are available only from the original equipment manufacturer of the system Alerton. No other vendors have the capabilities to meet the technical requirement of this acquisition. Albireo is the sole authorized Alerton service provider in the Washington DC area.

3. A description of the supplies or services required to meet the agency’s needs.

This requirement is to provide all parts, labor, technical support, and training necessary to support the FBI JEH Building Automation System. This system has been specifically designed for use at the FBI JEH facility and supported solely by Albireo Energy with their proprietary hardware and software. It requires 24/7 regulation and support. Support for this system is necessary to avoid critical component failure causing serious Life/Safety issues and business interruptions detrimental to the FBI Mission. Albireo Energy will provide Building Automation Systems support which includes 24/7 account management services, technical support services (including emergency onsite response) software maintenance, data protection, preventive maintenance, repair, and hardware replacement services. The Building Automation System also requires periodic network maintenance and system performance updates and upgrades which can only be provided by Albireo Energy as they are the sole provider of the proprietary software and programming by Alerton. Albireo Energy will also provide all training and Operator coaching necessary for systems to remain up to date with new upgrades.

4. The statutory authority permitting other than full and open competition

The statutory authority permitting other than full and open competition is 41 U.S.C.253(a)(l)(or 10 USC 2304(c) (1)) as implemented by the Federal Acquisition Regulation (FAR) Subpart 6.302-l entitled; "Only One Responsible Source and No Other Supplies or Services Will Satisfy Agency Requirements.

5. Demonstrate the unique qualifications of the proposed contractor or the nature of the action requiring the use of the authority.

The FBI JEH facility utilizes an Alerton Building Automation System (BAS) that serves as a critical component of facility operations by monitoring and controlling heating, ventilation, air conditioning (HVAC), life-safety related environmental systems, energy management functions, and other building infrastructure. The BAS is integrated throughout the facility and relies upon proprietary Alerton software, programming tools, firmware, databases, and diagnostic applications for operation, maintenance, troubleshooting, and system updates.

Albireo Energy is the exclusive authorized Alerton service provider for the Washington, DC metropolitan service territory and is the only contractor authorized by Alerton to provide factory-supported maintenance, programming, software upgrades, firmware updates, and warranty-compliant repair services for the installed system. Access to proprietary software, source-level programming capabilities, factory technical support, and manufacturer-issued updates is restricted to authorized Alerton representatives.

The Government has made a substantial investment in the existing BAS infrastructure.

Transitioning to another contractor would not provide access to the proprietary software, licensing rights, programming tools, or manufacturer support necessary to fully maintain and support the system. As a result, any alternative source would be unable to provide comprehensive maintenance, emergency response, software support, upgrades, and training required to ensure continued operation of the system.

In addition, personnel supporting this requirement must possess the appropriate security clearances (Top Secret and DD-254) and be eligible to operate within the FBI's secure environment. Albireo Energy currently maintains personnel capable of meeting these requirements.

6. A description of efforts made to ensure that offers are solicited from as many potential sources as is practicable, including whether a notice was or will be publicized as required by Subpart 5.1 and, if not, which exception under 5.101 applies.

Albireo Energy is the sole source provider. An in-depth market analysis was conducted on 13 May 2026 between interested BAS systems parties. Of the companies contacted that support Alerton systems none could cross assigned territory lines to conduct business.

7. The anticipated dollar value of the proposed acquisition, including options if applicable, and a determination by the Contracting Officer that the anticipated cost to the Government will be fair and reasonable.

This requirement is two parts, labor, 24/7 technical support and training for the FBI JEH Building Automation System for a period of performance of one (1) base year of twelve (12) months beginning 1 August 2026 with the option of an additional four (4) one (1) year option periods through 31 July 2031. This is a Firm Fixed Price contract therefore the Contracting Officer will use historical data, escalation, and current market research to determine whether the Government receives a fair and reasonable price.

8. A description of the market research conducted and the results.

Market research was conducted to identify potential sources capable of providing comprehensive maintenance and support services for the Alerton Building Automation System installed at the FBI JEH facility. Research included outreach to firms known to support Alerton BAS products and a review of manufacturer-authorized service providers.

The research confirmed that Alerton utilizes an authorized territorial service model. Firms contacted indicated they were not authorized to perform factory-supported services outside of their assigned geographic territories and therefore could not provide the required services at the FBI JEH facility. Furthermore, non-authorized firms do not possess access to the proprietary software licenses, programming tools, firmware updates, manufacturer technical support, and factory training necessary to provide full lifecycle support of the installed system.

Market research also confirmed that Albireo Energy is the exclusive Alerton-authorized service provider for the Washington, DC area and is therefore the only responsible source capable of meeting the Government's minimum requirements without substantial duplication of cost, unacceptable technical risk, or disruption to mission-critical facility operations.

9. Any other facts supporting the use of other than full and open competition

Award to any source other than Albireo Energy would present significant technical, operational, and mission risks to the Government. The Alerton Building Automation System is a proprietary, facility-wide control system that supports critical building operations at FBI Headquarters.

Effective maintenance of the system requires unrestricted access to proprietary software applications, programming tools, system databases, firmware updates, technical documentation, and manufacturer engineering support.

A contractor lacking authorized Alerton support capabilities would be unable to perform all required maintenance, troubleshooting, software updates, programming modifications, and emergency restoration services. Additionally, replacement of the existing BAS infrastructure to facilitate competition would require substantial capital investment, extensive system redesign, operational disruption, retraining of personnel, and potential interruption of critical building functions. Such costs and risks would be unreasonable and not in the Government's best interest.

Based on the market research conducted, Albireo Energy is the only responsible source capable of providing the required comprehensive support services for the existing Alerton Building Automation System while ensuring operational continuity, life-safety support, cybersecurity compliance, and uninterrupted mission execution at the FBI JEH facility.

10. A listing of any sources that expressed a written interest in the acquisition.

Of the companies contacted that support Alerton systems none could cross assigned territory lines to conduct business. The J&A will be updated if any written responses are received.

11. A statement of any actions the agency may take to remove or overcome any barriers to competition, if subsequent acquisitions are anticipated.

The FBI will evaluate future procurements to determine whether system conversion and full and open competition is appropriate and in the best interest of the Government. In the event that the BAS control system is ever replaced on a building wide and/or campus wide basis, the Agency will then have the opportunity to compete this requirement on a full and open basis.
