PERFORMANCE WORK STATEMENT (PWS)

Royalty IP and Services Database 2025

Internal Revenue Service

C.1 INTRODUCTION/OVERVIEW

The Internal Revenue Service (IRS), Large Business and International’s (LB&I) mission includes auditing the pricing of a taxpayer’s intangible property (IP) and services transactions with related entities. A critical step in LBI’s IRC Section 482 analysis in determining an arm’s length price is the identification of comparable IP and service transactions in the marketplace and the retrieval of third-party agreements that contain sufficiently detailed information about such transactions. LB&I is responsible for providing its employees with the data and tools that IRS employees will use to evaluate taxpayer’s intercompany transactions. The transactions and data identified in this repository, downloaded documents, and the IRS’ analysis on such data and documents will be shared with third parties, including but not limited to taxpayers and other tax authorities to support IRS positions.

C.2 BACKGROUND

The IRS requires the purchase of a royalty and services database subscription capable of meeting all the Government’s requirements for the search of IP and service transactions in the marketplace. The database will be available to all IRS employees.

The database vendor will provide access to all IP and service transactions and supporting search process information, benchmarking tools, the use of the related software, support and training for the database in accordance with the specifications in the related contract.

C.3 DESCRIPTION OF SERVICES

The database vendor (“vendor”) will be evaluated as follows:

1) The database should contain publicly available IP and services transactions gathered from US and foreign sources, including company filings, regulatory filings, Freedom of Information Act (FOIA) requests and FOIA-like requests. The term IP refers to intangible property that includes but is not limited to sales or licenses of patents, trademarks, copyrights, trade secrets and other know-how, software and technical information, customer lists, and similar assets. In relation to services, the database must include agency, management, support and other service categories. The information in this database should be updated periodically.

2) The database application’s user interface (UI) must provide clear definitions for all search and screening filters. The search process should be documented and clear and be able to be replicated. The UI should offer an intuitive format, and variable definitions should be obvious. A new user with knowledge of IP contracts and service agreements must be able to specify a basic search with minimal, and ideally no training.

3) The database must be searchable using a word search on key characteristics of the transaction under examination to derive an appropriate pool of potential comparable transactions from the vendor’s database. This word search should be able to be conducted in the full text of the agreements, the summaries or in the title.

4) The repository must allow screening for effective date, time period or term, parties to the transaction, party-relationship (related or unrelated entities), agreement type, industry, geographic territory, degree of exclusivity, and royalty rates/service fee detail, including the base used for the royalty rate or service fee calculation. The transaction summary must also identify amendments to the agreement.

5) The interface between the search software and all IP and Services Agreement database(s), including ancillary databases that contain information on the broader aspects of the parties to the transaction, should be seamless and user-friendly.

6) The database should provide analytical tools used in standard transfer pricing analyses such as the interquartile range based on IRC Section 482 definitions.

Additional features such as clear graphical representations of the population and sample range, and the capability to conduct sensitivity analyses of the range to the analyst’s choice of various search filters would result in higher ratings.

7) The database must have an efficient search engine that can handle multiple users and search simultaneously. The IRS anticipates that the number of users will be less than 500 but multiple users may be accessing the database simultaneously. The repository should allow each user to save and edit prior searches.

8) The IRS must be able to easily export the documents identified in the search as well as any analytic information related to the search results, as Adobe PDF or MS Word and MS Excel files.

9) The IRS will have unlimited access to database transactions and database functionality with a daily cap per user that is at least 300 agreements.

10) The IRS requires timely access to experienced analysts and helpdesk customer support. See C.6. below for details.

11) The vendor must provide training of IRS employees upon request. See C.7 below for details.

C.4 REQUIRED DATA

The vendor shall provide full access to the database to each user, including all analytical tools and ancillary databases and associated tools offered by the vendor. The vendor will also allow users to easily export all relevant information, save agreement sets, and search steps for future use in a secure manner.

PERFORMANCE STANDARD – REQUIRED DATA

The vendor shall provide access to the data specified above during 8 am to 6 pm EST. The data shall be updated with the same frequency as available to normal commercial customers.

C.5 INFORMATION ACCESS

2. Website access is by use of ID and password.

C.6. HELP/SUPPORT IN USE OF DATABASE

The vendor shall:

1. Provide unlimited telephone Help Desk/Support to database users. Users must have access to the vendor during IRS normal business hours for assistance for product use questions. These include but are not limited to questions concerning the database’s underlying data, use of the UI for conducting searches, compiling information, and downloading and exporting information in report or other forms. The vendor’s helpdesk/support team must have reasonable expertise in the categorization of transaction terms and other aspects of the IP and Services Agreements contained in their database. For questions beyond the expertise and ability of the help desk support personnel, the vendor’s experts must be available to answer questions within 48 hours.

2. Provide this help/support beginning on Period of Performance start date.

PERFORMANCE STANDARD – HELP/SUPPORT IN USE OF DATABASE

52.209-5 Certification Regarding Responsibility Matters (Aug 2020)

(a)(1) The Offeror certifies, to the best of its knowledge and belief, that—

(i) The Offeror and/or any of its Principals—

(A) Are ( ) are not ( ) presently debarred, suspended, proposed for debarment, or declared ineligible for the award of contracts by any Federal agency;

(B) Have ( ) have not ( ), within a three-year period preceding this offer, been convicted of or had a civil judgment rendered against them for: commission of fraud or a criminal offense in connection with obtaining, attempting to obtain, or performing a public (Federal, State, or local) contract or subcontract;

violation of Federal or State antitrust statutes relating to the submission of offers; or commission of embezzlement, theft, forgery, bribery, falsification or destruction of records, making false statements, tax evasion, violating Federal criminal tax laws, or receiving stolen property (if offeror checks “have”, the offeror shall also see 52.209-7, if included in this solicitation);

(C) Are ( ) are not ( ) presently indicted for, or otherwise criminally or civilly charged by a governmental entity with, commission of any of the offenses enumerated in subdivision (a)(1)(i)(B) of this provision;

and

(D) Have □ , have not □ ,within a three-year period preceding this offer, been notified of any delinquent Federal taxes in an amount that exceeds the threshold at 9.104-5(a)(2) for which the liability remains unsatisfied.

(1) Federal taxes are considered delinquent if both of the following criteria apply:

(i) The tax liability is finally determined. The liability is finally determined if it has been assessed. A liability is not finally determined if there is a pending administrative or judicial challenge. In the case of a judicial challenge to the liability, the liability is not finally determined until all judicial appeal rights have been exhausted.

(ii) The taxpayer is delinquent in making payment. A taxpayer is delinquent if the taxpayer has failed to pay the tax liability when full payment was due and required. A taxpayer is not delinquent in cases where enforced collection action is precluded.

(2) Examples. (i) The taxpayer has received a statutory notice of deficiency, under I.R.C. § 6212, which entitles the taxpayer to seek Tax Court review of a proposed tax deficiency. This is not a delinquent tax because it is not a final tax liability. Should the taxpayer seek Tax Court review, this will not be a final tax liability until the taxpayer has exercised all judicial appeal rights.

(ii) The IRS has filed a notice of Federal tax lien with respect to an assessed tax liability, and the taxpayer has been issued a notice under I.R.C. § 6320 entitling the taxpayer to request a hearing with the IRS Office of Appeals contesting the lien filing, and to further appeal to the Tax Court if the IRS determines to sustain the lien filing. In the course of the hearing, the taxpayer is entitled to contest the underlying tax liability because the taxpayer has had no prior opportunity to contest the liability. This is not a delinquent tax because it is not a final tax liability. Should the taxpayer seek tax court review, this will not be a final tax liability until the taxpayer has exercised all judicial appeal rights.

(iii) The taxpayer has entered into an installment agreement pursuant to I.R.C. § 6159. The taxpayer is making timely payments and is in full compliance with the agreement terms. The taxpayer is not delinquent because the taxpayer is not currently required to make full payment.

(iv) The taxpayer has filed for bankruptcy protection. The taxpayer is not delinquent because enforced collection action is stayed under 11 U.S.C. 362 (the Bankruptcy Code).

(ii) The Offeror has ( ) has not ( ), within a 3-year period preceding this offer, had one or more contracts terminated for default by any Federal agency.

(2) Principal, for the purposes of this certification, means an officer, director, owner, partner, or a person having primary management or supervisory responsibilities within a business entity (e.g., general manager; plant manager; head of a division or business segment; and similar positions).

(b) The Offeror shall provide immediate written notice to the Contracting Officer if, at any time prior to contract award, the Offeror learns that its certification was erroneous when submitted or has become erroneous by reason of changed circumstances.

(c) A certification that any of the items in paragraph (a) of this provision exists will not necessarily result in withholding of an award under this solicitation. However, the certification will be considered in connection with a determination of the Offeror's responsibility. Failure of the Offeror to furnish a certification or provide such additional information as requested by the Contracting Officer may render the Offeror non-responsible.

(d) Nothing contained in the foregoing shall be construed to require establishment of a system of records in order to render, in good faith, the certification required by paragraph (a) of this provision. The knowledge and information of an Offeror is not required to exceed that which is normally possessed by a prudent person in the ordinary course of business dealings.

(e) The certification in paragraph (a) of this provision is a material representation of fact upon which reliance was placed when making award. If it is later determined that the Offeror knowingly rendered an erroneous certification, in addition to other remedies available to the Government, the Contracting Officer may terminate the contract resulting from this solicitation for default.
