DOI-ITAP Administrative Support for Ukraine Project Team

Statement of Work

I. BACKGROUND

Ukraine continues to face immediate, medium, and long-term challenges in its efforts to institutionalize and implement reforms to its hydrocarbon sectors. A critical outcome of this reform is improved energy security through a secure and steady supply of domestic oil and natural gas. This requires increases in Ukraine’s domestic production. Over the last six years, the U.S. Department of State (DOS), Bureau of Energy Resources (ENR), has provided technical assistance to Ukrainian energy counterparts such as the upstream gas producer UkrGasVydobuvannya (UGV) to increase domestic gas production by providing technical strategic planning recommendations on critical sub-surface and aboveground technical, organizational, and governance issues that impact their core business functions. The objective of this assistance is to bring Ukrainian counterparts, such as UGV, in alignment with international leading practices to attract investment and realize continued increases in domestic gas production.

Upstream Technical Background

Although Ukraine has maintained conventional gas production at around 20 billion cubic meters per annum (bcma) during the past two decades, the upstream sector is considered mature, as the country’s most important fields were developed and depleted during the 1970s and 1980s. Soviet-era production was typically managed under a production quota system that directly or indirectly resulted in maximizing production at the expense of ultimate recovery of the resource. This system frequently led to extensive and premature depletion, poor reservoir pressure maintenance, unpredictable and irregular drainage within a reservoir, retrograde condensate reservoir behavior in deeper wet gas pay zones, and premature and excessive water encroachment. Drilling capability was also limited with respect to speed, effective depth, and ability to handle high-pressure reservoirs.

Larger and more easily drilled geological targets were prioritized for development, leaving satellite fields and deeper pay zones untouched. As a result, many of Ukraine’s existing gas fields are currently considered to be 80 to 90 percent depleted.

Ukrainian counterparts, such as UGV, would benefit from continued advice by technical and managerial experts to assist the company in meeting its goal of continuing domestic gas production increases. UGV leadership has indicated ongoing technical assistance and support is instrumental to these increases.

UGV and its integrated E&P business unit have requested additional assistance based on international best practices, including recommendations, diagnostics, and snapshots of current systems and potential for development of new systems that do not yet exist. Technical assistance for Ukrainian counterparts would serve as a model for reform and enable them to undertake essential measures designed to reduce corruption, improve corporate governance, and support the ability of these counterparts to conform with European and international standards.

U.S. Government Engagement Background

Since September 2021, DOI-ITAP has collaborated with the State Department and commercial partners to provide technical assistance to UGV in the areas of:

1. De-carbonization and operational efficiency

2. Upstream operations optimization and business process improvements

3. Upstream operations, strategy, and planning

4. Technical operations and management for production and drilling

5. Technical trainings

While DOI-ITAP’s previous contract ended at the end of Fiscal Year 2025, DOI-ITAP continues to provide targeted support to the Department of State and its affiliated project teams in fulfillment of its interagency agreement. These project teams are currently working with UGV to deliver critical operation and production assessments that will enable UGV to capitalize on new exploration opportunities, improve its marketing strategies, and make greater use of cost-effective drilling methods.

II. SCOPE OF WORK

The purpose of the contract is to acquire necessary administrative services to make the planned assessments more efficient and ensure the analysis is as useful as possible for our Ukrainian counterparts, specifically through the use the Petrel Exploration and Production (Petrel E&P) subsurface software platform.

TASK 1: Work with the project team to acquire required Petrel E&P software licenses

Petrel E&P is a one-of-a-kind comprehensive subsurface software platform by SLB for the oil and gas industry, used to integrate geological, geophysical, and reservoir engineering workflows. It helps asset teams collaborate on reservoir management by providing tools for seismic interpretation, modeling, simulation, and production analysis within a single environment. It is the only tool compatible with the Petrel data collected and managed by our Ukrainian counterparts.

The team has multiple assessments planned for FY26 that require administrative support, using data only accessible through Petrel E&P, which DOI-ITAP has no experience in using. Specifically, the team requires access to tools within the Petrel Data and Results (PD&R) and Geophysical cores. The PD&R core will allow users to view all data contained within a Petrel project, regardless of which specific modules generated the information. Team members would therefore have comprehensive visibility across projects and the ability to download files. Because PD&R does not allow users to manipulate the data, the team also requires access to the Geophysical core, which enables users to interpret and modify seismic and well data directly within Petrel. Full module access for Petrel E&P is not required, but annual core licenses that would cover the performance period of the project are acceptable where shorter licenses are either unavailable or less cost-effective.

Having the appropriate Petrel licenses will enable the project team to integrate, analyze, and model geological and reservoir data, which is essential to provide recommendations on optimizing field production, develop cost-effective drilling strategies, and improve resource estimates. This capability is particularly vital for exploration and development and asset marketing preparation, where advanced modeling and integration of complex datasets directly impact project outcomes. Without this data access, the project team will face significant limitations in data handling and analysis efficiency, ultimately impacting the value delivered to UGV and its stakeholders.

As part of this contract, the Contractor shall:

1. Facilitate the team’s access to the two above-mentioned Petrel E&P PD&R and Geophysical core tools from December 31, 2025, and August 30, 2026.

TASK 2: Provide administrative services to support the team’s continued use of Petrel tools for duration of program activities

The project team will be developing a series of reports from December 31, 2025, to August 30, 2026, that will require the use of the Petrel tools.

As part of this contract, the Contractor shall:

1. Provide ongoing administrative support to the project team and liaise between them and the Petrel tool vendor to address any technical difficulties, questions about the licenses, or other issues as they arise.

2. Inform DOI-ITAP about any roadblocks or obstacles encountered with the tool, and any potential need to extend the licenses beyond the original term.

3. Ensure licenses are used only by appropriate project staff.

4. Perform any close-out obligations with the license provider.

III. KEY QUALIFICATIONS:

The success of this program is highly dependent on the Contractor’s knowledge of previous U.S.

government cooperation with Ukraine, specifically in hydrocarbon resource planning and assessment.

Project Lead

Criteria listed below are required unless otherwise indicated. Vendor should propose a single person to fulfill this role across both tasks.

1. Minimum of fifteen years’ work experience in management of oil and gas producers (potentially including long-term consultancies) (required)

2. Experience working with change management and restructuring of oil and gas sector state-owned enterprises (SOEs) (required)

3. Experience working on energy issues in Eastern Europe or the former Soviet Union. Specific experience in Ukraine is optional.

4. Familiarity with international best practice and European Union standards for corporate governance, change management, and restructuring of state-owned enterprises (required)

5. Demonstrated ability to succeed in an interdisciplinary environment, and to work in challenging political and security situations requiring good judgment, discretion, and political savvy (required)

6. Russian and/or Ukrainian language fluency optional

IV. ADDITIONAL INFORMATION:

Place of Performance: Virtual

Period of Performance: The period of performance for this contract is December 31, 2025 to August 30, 2026.

Travel Expectations: No travel expected.

Security Clearance: Not required.

Standard Information Protection: The Contractor shall exercise the utmost discretion about all matters relating to their duties and functions. They shall not communicate to any person any information known to them by reason of their performance of services under this contract which has not been made public, except in the necessary performance of their duties or upon written authorization of the Contracting Officer. All documents and records (including photographs) generated during the performance of work under this contract shall be for the sole use of and become the exclusive property of the U.S. Government. Furthermore, no article, book, pamphlet, recording, broadcast, speech, television appearance, film or photograph concerning any aspect of work performed under this contract shall be published or disseminated through any media without the prior written authorization of the Contracting Officer. These obligations do not cease upon the expiration or termination of this contract. The contractor shall include the substance of this provision in all contracts of employment and in all subcontracts hereunder.
