52.212-1 Instructions to Offerors—Commercial Items.
INSTRUCTIONS TO OFFERORS—COMMERCIAL ITEMS (AUG 2018)
(a) North American Industry Classification System (NAICS) code and small business size standard. The NAICS code and small business size standard for this acquisition appear in Block 10 of the solicitation cover sheet ( SF 1449 ). However, the small business size standard for a concern which submits an offer in its own name, but which proposes to furnish an item which it did not itself manufacture, is 500 employees.
(b) Submission of offers. Submit signed and dated offers to the office specified in this solicitation at or before the exact time specified in this solicitation. Offers may be submitted on the SF 1449 , letterhead stationery, or as otherwise specified in the solicitation. As a minimum, offers must show—
(1) The solicitation number;
(2) The time specified in the solicitation for receipt of offers;
(3) The name, address, and telephone number of the offeror;
(4) A technical description of the items being offered in sufficient detail to evaluate compliance with the requirements in the solicitation. This may include product literature, or other documents, if necessary;
(5) Terms of any express warranty;
(6) Price and any discount terms;
(7) “Remit to” address, if different than mailing address;
(8) A completed copy of the representations and certifications at FAR 52.212-3
(see FAR 52.212-3(b) for those representations and certifications that the offeror shall complete electronically);
(9) Acknowledgment of Solicitation Amendments;
(10) Past performance information, when included as an evaluation factor, to include recent and relevant contracts for the same or similar items and other references (including contract numbers, points of contact with telephone numbers and other relevant information); and
(11) If the offer is not submitted on the SF 1449 , include a statement specifying the extent of agreement with all terms, conditions, and provisions included in the solicitation. Offers that fail to furnish required representations or information, or reject the terms and conditions of the solicitation may be excluded from consideration.
(c) Period for acceptance of offers. The offeror agrees to hold the prices in its offer firm for 30 calendar days from the date specified for receipt of offers, unless another time period is specified in an addendum to the solicitation.
(d) Product samples. When required by the solicitation, product samples shall be submitted at or prior to the time specified for receipt of offers. Unless otherwise
PAGE 7 OF 87 1333ND18RNB100015
specified in this solicitation, these samples shall be submitted at no expense to the Government, and returned at the sender’s request and expense, unless they are destroyed during preaward testing.
(e) Multiple offers. Offerors are encouraged to submit multiple offers presenting alternative terms and conditions, including alternative line items (provided that the alternative line items are consistent with subpart 4.10 of the Federal Acquisition Regulation), or alternative commercial items for satisfying the requirements of this solicitation. Each offer submitted will be evaluated separately.
(f) Late submissions, modifications, revisions, and withdrawals of offers.
(1) Offerors are responsible for submitting offers, and any modifications, revisions, or withdrawals, so as to reach the Government office designated in the solicitation by the time specified in the solicitation. If no time is specified in the solicitation, the time for receipt is 4:30 p.m., local time, for the designated Government office on the date that offers or revisions are due.
(2)(i) Any offer, modification, revision, or withdrawal of an offer received at the Government office designated in the solicitation after the exact time specified for receipt of offers is “late” and will not be considered unless it is received before award is made, the Contracting Officer determines that accepting the late offer would not unduly delay the acquisition; and—
(A) If it was transmitted through an electronic commerce method authorized by the solicitation, it was received at the initial point of entry to the Government infrastructure not later than 5:00 p.m. one working day prior to the date specified for receipt of offers; or
(B) There is acceptable evidence to establish that it was received at the Government installation designated for receipt of offers and was under the Government’s control prior to the time set for receipt of offers; or
(C) If this solicitation is a request for proposals, it was the only proposal received.
(ii) However, a late modification of an otherwise successful offer, that makes its terms more favorable to the Government, will be considered at any time it is received and may be accepted.
(3) Acceptable evidence to establish the time of receipt at the Government installation includes the time/date stamp of that installation on the offer wrapper, other documentary evidence of receipt maintained by the installation, or oral testimony or statements of Government personnel.
(4) If an emergency or unanticipated event interrupts normal Government processes so that offers cannot be received at the Government office designated for receipt of offers by the exact time specified in the solicitation, and urgent Government requirements preclude amendment of the solicitation or other notice of an extension of
PAGE 8 OF 87 1333ND18RNB100015
the closing date, the time specified for receipt of offers will be deemed to be extended to the same time of day specified in the solicitation on the first work day on which normal Government processes resume.
(5) Offers may be withdrawn by written notice received at any time before the exact time set for receipt of offers. Oral offers in response to oral solicitations may be withdrawn orally. If the solicitation authorizes facsimile offers, offers may be withdrawn via facsimile received at any time before the exact time set for receipt of offers, subject to the conditions specified in the solicitation concerning facsimile offers. An offer may be withdrawn in person by an offeror or its authorized representative if, before the exact time set for receipt of offers, the identity of the person requesting withdrawal is established and the person signs a receipt for the offer.
(g) Contract award (not applicable to Invitation for Bids). The Government intends to evaluate offers and award a contract without discussions with offerors. Therefore, the offeror’s initial offer should contain the offeror’s best terms from a price and technical standpoint. However, the Government reserves the right to conduct discussions if later determined by the Contracting Officer to be necessary. The Government may reject any or all offers if such action is in the public interest; accept other than the lowest offer; and waive informalities and minor irregularities in offers received.
(h) Multiple awards. The Government may accept any item or group of items of an offer, unless the offeror qualifies the offer by specific limitations. Unless otherwise provided in the Schedule, offers may not be submitted for quantities less than those specified. The Government reserves the right to make an award on any item for a quantity less than the quantity offered, at the unit prices offered, unless the offeror specifies otherwise in the offer.
(i) Availability of requirements documents cited in the solicitation.
(1)(i) The GSA Index of Federal Specifications, Standards and Commercial Item
Descriptions, FPMR Part 101-29, and copies of specifications, standards, and commercial item descriptions cited in this solicitation may be obtained for a fee by submitting a request to—

(4) Nongovernment (voluntary) standards must be obtained from the organization responsible for their preparation, publication, or maintenance.
(j) Unique entity identifier. (Applies to all offers exceeding $3,500, and offers of $3,500 or less if the solicitation requires the Contractor to be registered in the System for Award Management (SAM) database.) The Offeror shall enter, in the block with its name and address on the cover page of its offer, the annotation “Unique Entity Identifier” followed by the unique entity identifier that identifies the Offeror’s name and address. The Offeror also shall enter its Electronic Funds Transfer (EFT) indicator, if applicable. The EFT indicator is a four-character suffix to the unique entity identifier.
The suffix is assigned at the discretion of the Offeror to establish additional SAM records for identifying alternative EFT accounts (see subpart 32.11) for the same entity.
If the Offeror does not have a unique entity identifier, it should contact the entity designated at www.sam.gov for unique entity identifier establishment directly to obtain one. The Offeror should indicate that it is an offeror for a Government contract when contacting the entity designated at www.sam.gov for establishing the unique entity identifier.
(k) System for Award Management. Unless exempted by an addendum to this solicitation, by submission of an offer, the offeror acknowledges the requirement that a prospective awardee shall be registered in the SAM database prior to award, during performance and through final payment of any contract resulting from this solicitation. If the Offeror does not become registered in the SAM database in the time prescribed by the Contracting Officer, the Contracting Officer will proceed to award to the next otherwise successful registered Offeror. Offerors may obtain information on registration
PAGE 10 OF 87 1333ND18RNB100015
and annual confirmation requirements via the SAM database accessed through https://www.acquisition.gov.
(l) Debriefing. If a post-award debriefing is given to requesting offerors, the Government shall disclose the following information, if applicable:

(3) The overall ranking of all offerors, when any ranking was developed by the agency during source selection.
(4) A summary of the rationale for award;
(5) For acquisitions of commercial items, the make and model of the item to be delivered by the successful offeror.
(6) Reasonable responses to relevant questions posed by the debriefed offeror as to whether source-selection procedures set forth in the solicitation, applicable regulations, and other applicable authorities were followed by the agency.

The degree (percent) and methodology for annual rate escalation must be shown.
Escalation increases should reflect recent experience or established personnel policy.
Types of salary increases given – merit, cost of living, etc. should be discussed.
OTHER DIRECT COSTS: for task orders will be negotiated on a case-by-case basis and may include general and administrative burden to other direct costs, but shall not include profit. The prices will be negotiated for each task order. The ceiling price for other direct costs will be negotiated on each applicable task order. The Contractor shall not make expenditures nor incur obligations during performance of each task order which exceeds the ceiling price for other direct costs specified on the task order, except at the Contractor’s own risk.
AV/VTC GEAR: Pricing for AV/VTC hardware/software and incidental componentry shall include a ____% (Offeror Fill-in) discount from MSRP to be applied to individual task orders. A copy of the MSRP price list should be included with the Contractor’s proposal when pricing individual task orders.
(4) VOLUME IV MOCK TASK ORDERS
Two mock task orders are included as part of this RFP for which offerors shall provide a technical proposal and a firm fixed-price proposal.
The mock task orders do NOT constitute actual orders for which work will commence after award. These orders are for evaluation purposes only.
Technical Proposals for the Mock Task Orders
PAGE 20 OF 87 1333ND18RNB100015
A technical proposal must be submitted for each mock task order. The proposal must include the offeror’s technical approach to complete the required work. The technical proposal for each Mock Task Order shall be limited to ten (10) pages each.
The technical proposal for Mock Task Order No. 1 must include a discussion of how the offeror plans to handle the on-site field support in both Gaithersburg, MD and Boulder, CO and the labor category(ies) and employer (e.g., prime or identified subcontractors, teaming/partnering entities, or joint venture partnerships) of the field support staff.
The technical proposal for Mock Task Order No. 1 must include the types and no. of CCNA certified individuals that will staff the help desk and the labor category(ies) and employer of the staff.
The technical proposal for Mock Task Order No. 2 must include a discussion that provides a rationale for the design and/or gear choices in best meeting NIST’s requirements for quality and system integrity and also has some consideration for “future-proofing”.
Price Proposal for the Mock Task Orders
The price proposal for Mock Task Order No. 1 must include: a) fixed monthly rates for Cisco Prime Call Support and Remote Help Desk Support + the calculated value to provide 120-hrs. of on-site field support and remote/virtual support and the calculated value to provide 20-hrs. of Project Manager support.
The price proposal for Mock Task Order No. 2 must be firm fixed and provide full itemization delineating how the firm fixed price was derived (e.g., price of hardware, componentry, furnishings; labor categories proposed to design/integrate/install + level(s) of effort per labor category and proposed labor rates; and, warranty).
Pricing for the mock task orders must be based on the offerors own technical proposals, the Government's specifications, and the requirements within the mock task order Statements of Work.
FAR 52.212-2 EVALUATION
PAGE 21 OF 87 1333ND18RNB100015
52.212-2 EVALUATION--COMMERCIAL ITEMS (OCT 2014)
The Government intends to award one or more indefinite delivery/indefinite quantity (ID/IQ) contracts resulting from this solicitation, to the responsible offeror(s) whose proposals, conforming to the solicitation, result in the best value to the Government, price and other factors considered.
In order to facilitate the award process, ALL proposals shall include a statement regarding the terms and conditions herein as follows:
The Offeror shall state “the terms and conditions in the solicitation are acceptable to be included in the award document without modification, deletion, or addition” or the Offeror shall state “the terms and conditions in the solicitation are acceptable to be included in the award document with the exception, deletion, or addition of the following”: Offeror shall list exception(s) and rationale for the exception(s).
Please note that this procurement is not being conducted under the GSA Federal Supply Schedule (FSS) program or another Government-Wide Area Contract (GWAC).
If an offeror submits a proposal based upon an FSS or GWAC contract, the Government will accept the proposed rates. However, the terms and conditions stated herein will be included in any resultant IDIQ contract, not the terms and conditions of the Offeror’s FSS or GWAC contract, and the statement required above shall be included in the proposal.
The Government intends to evaluate proposals without discussions with offerors and anticipates up to three (3) ID/IQ contracts will be awarded. Therefore, the offeror's initial proposal should contain the offeror's best terms from a price and technical standpoint.
However, the Government reserves the right to conduct discussions if later determined by the Contracting Officer to be necessary.
The Government will evaluate the offeror’s proposal against the requirements in the solicitation and the evaluation factors listed below. The offeror shall clearly address each factor in their proposal. Failure to address any factor may be considered indicative of the offeror’s lack of understanding of the Government’s requirements and may not be considered for an award.
Proposals received will first be evaluated from a technical standpoint without regard to proposed costs. Those proposals considered to be technically acceptable will then be evaluated from a financial standpoint.
The following criteria will be used to evaluate proposals:
A) Technical Capability B) Corporate Experience C) Key Personnel/Support Personnel Resources D) Management Plan
PAGE 22 OF 87 1333ND18RNB100015
E) Past Performance F) Price
A-E shall be equal in importance to each other. A-E when combined shall be equal in importance to price.
In determining best value, stronger consideration shall be given to offerors who have a sustained history performing the same or similar work with proposed subcontractors, teaming partners, and/or consultants and should be documented through past teaming/partnering agreements.
A) TECHNICAL CAPABILITY
Technical capability shall be evaluated to determine the degree to which the offeror possesses the ability to: a) meet all requirements of the ID/IQ Umbrella Statement of Work displayed on pages 25-57 (Each element shall be addressed separately with discussion elaborating the offerors ability to meet the element); b) manage multiple concurrent projects with different and competing deadlines; and, c) formulate strategies to communicate with resellers, distributors, OEMs to obtain best possible pricing.
Technical proposals for mock task orders shall be evaluated to further confirm the offeror’s technical capability and the overall feasibility of the proposed technical approach.
B) CORPORATE EXPERIENCE
Corporate experience is an additional confidence indicator that the offeror has the capability to marshal the necessary resources and expertise to conduct projects of similar, size, and complexity.
Corporate experience shall be evaluated on assessed strengths, weaknesses, and deficiencies, to determine the degree of and relevance of experience the offeror (including all subcontractors) possesses pursuant to the elements defined in the ID/IQ Umbrella Statement of Work on pages 25-27, with special emphasis on AV/VTC design/integration and digital signage acquisition/installation.
C) KEY PERSONNEL/SUPPORT PERSONNEL RESOURCES
Key personnel/support personnel resources shall be evaluated to determine the degree of and relevance of experience the proposed key personnel (Project Manager and Level II AV Systems Design Engineer) and any proposed support personnel possess with respect to the required qualifications defined in the Statement of Work.
D) MANAGEMENT PLAN
PAGE 23 OF 87 1333ND18RNB100015
The management plan shall be evaluated to determine the soundness and feasibility of the offerors proposed: i) organizational chart; ii) method for recruitment and staffing; iii) outline of how task orders will be executed, monitored, and controlled; and, iv) method for effectively managing Contractor personnel.
E) PAST PERFORMANCE
Evaluation of past performance shall be based on the references provided and/or the offerors recent and relevant procurement history with NIST, its affiliates, and/or other relevant references. Past performance evaluation shall determine the overall quality of the services and end products provided by the offeror.
Offerors with no relevant past performance shall be rated as neutral.
F) PRICE
The proposed labor rates shall be evaluated but not scored. The price evaluation will determine whether the proposed prices are complete and fair and reasonable in relation to the labor categories proposed and the solicitation requirements. Proposed prices must be entirely compatible with the technical proposal.
The offerors proposed rates will also be considered in the context of price risk and affordability. In this context, price risk is the Government’s level of confidence of the offerors ability to perform as proposed based on:
a) The rate information provided by the offeror and gathered from other sources
b) The completeness of the offerors rate documentation and traceability to the offerors proposal
c) The reasonableness and realism of the offerors proposed rates
d) The degree of stated or implied cost risk passed to the Government
e) The offerors financial capability to execute the contract
While the pricing for the mock task orders will not constitute actual task orders, the proposed prices will be evaluated for reasonableness, and to further determine the offerors understanding of the work required. Proposed prices must be entirely compatible with the technical portion of the proposal for each mock task order.
OPTIONS: the Government will evaluate offers for award purposes inclusive of labor rates proposed for option periods. The Government may determine that an offer is unacceptable if the option period labor rates are significantly unbalanced. Evaluation of options shall not obligate the Government to exercise the option(s).
