THIS IS A COMBINED SYNOPSIS/SOLICITATION FOR COMMERCIAL ITEMS PREPARED IN ACCORDANCE WITH THE FORMAT IN FAR SUBPART 12.6, AS SUPPLEMENTED WITH ADDITIONAL INFORMATION INCLUDED IN THIS NOTICE. THIS ANNOUNCEMENT CONSTITUTES THE ONLY SOLICITATION; QUOTES ARE BEING REQUESTED AND A WRITTEN SOLICITATION WILL NOT BE ISSUED.
This synopsis/solicitation 1305M219QNCNL00295 constitutes a Request for Quotation (RFQ) and incorporates provisions and clauses in effect through Federal Acquisition Circular 2005-101.
The National Oceanic Atmospheric Administration (NOAA), National Ocean Service, Geodetic Services Division, requires the services necessary to create captions and transcripts to video content (mp4 files) that will be posted on geodesy.noaa.gov to educate the public about geodesy, coastal mapping and other National Geodetic Survey (NGS) activities to become 508 Compliant. The Period of Performance is seven weeks from date of access/delivery of videos.
The Government will award a Firm Fixed Price Contract based on the responsible offeror whose offer conforming to the solicitation is the lowest price technically acceptable (LPTA) offer.
This RFQ is being issued as a 100% small business set-aside. The associated NAICS code is 512191, Teleproduction and Other Post Production Services with a business size standard of $32 million. The Product Service Code Class is R799.
Please see Statement of Work/Requirement/Schedule for details. Additionally, each offeror must provide the following information with the quote:
1. The Request for Quote (RFQ) number;
2. The Name, Address, Telephone Number, and DUNS Number of the Offeror;
3. Include a statement specifying the extent of agreement with all terms, conditions, and provisions included in the RFQ. Quotes that reject the terms and conditions of the RFQ may be excluded from consideration;
4. Acknowledgment of Solicitation Amendments (SF-30), if any.
5. A completed copy of the representations and certifications at FAR 52.212-3 starting on page 14 of this solicitation
6. Submit no more than three past performance references similar in size and scope and completed or in progress within the last three years for meeting this requirement
7. Address the ability of meeting the requirements per the Statement of Work/Schedule/Requirement.
All responsible sources may submit a quotation which shall be considered by the agency. Quotes must be submitted via electronic means (e-mail) by 5:00 P.M. Eastern on January 4, 2019 (Extended to 11 February 2019); any award resulting from this RFQ will be made based on the lowest priced technically acceptable offer considering technical capability, past performance, and price. Offers must be submitted to the Contract Specialist, Wendy Culbreth at Wendy.Culbreth@noaa.gov.
All questions must be submitted in writing to Wendy.Culbreth@noaa.gov by10:00 A.M. Eastern on January 2, 2019. Telephonic requests will not be honored. The anticipated award date is on or about January 10, 2019. All interested parties wishing to submit a quote (Quoters) must be registered in the SAM database at the time of submission to be considered for award. Registration is free and can be completed on-line at http://www.sam.gov/.
Per FAR 52.222-49 - This Contract is subject to the Service Contract Labor Standards, and the place of performance is unknown when the solicitation was issued. Awarded contractor must comply with the Department of Labor, Wage Determinations for the area in which contract is performed. Computer Operator I has been determined to be the Occupational Code Title with an $18.92 wage rate in the Silver Spring, MD area. Wage determination for the area of contract award will be attached at the time of award.

Statement of Work
Video Captioning Purpose: Create captions and transcripts to video content (mp4 files) Video Captions for 94 videos containing 3,847 minutes that will be posted on geodesy.noaa.gov to educate the public about geodesy, coastal mapping and other National Geodetic Survey (NGS) activities.
Justification: NGS must provide information about its products and services in order to meet its mission of providing access to the National Spatial Reference System. It is expensive for both end-users and NGS employees to travel to meetings and conferences, so the NGS public website geodesy.noaa.gov is often the most efficient way to distribute information. Additionally, video content (mp4 files) posted to the website has added value because the combination of text or images with narration can assist in explaining technical and complex material. However, the mp4 files posted to the website should be captioned or posted with a transcript in order to comply with Section 508 of the National Rehabilitation Act.
Section 508 states that, “When developing, procuring, maintaining, or using electronic and information technology, each Federal department or agency […] shall ensure, unless an undue burden would be imposed on the department or agency, that the electronic and information technology allows, regardless of the type of medium of the technology, individuals with disabilities […] to have access to and use of information and data that is comparable to the access of [those] who are not individuals with disabilities.”
NGS has hosted numerous webinars and now manages a monthly Webinar Series. The current library of recorded webinars (each about 1 hour in length) needs to be captioned and posted online in conjunction with a transcript to ensure all users can benefit from these educational materials. To ensure the successful completion of this task, NGS requires the assistance of professionals to create captions based on existing mp4 files and provide:
· Contractor will have access to the mp4 videos through an FTP site (NOS) that will be provided upon award.
· The contractor will deliver a “perfected” caption file in the .SRT format. Perfected means:
· 99% accuracy of the words spoken by the moderator and speaker;
· 99% accuracy with respect to the timing of mp4 versus timestamping in the caption file;
· Text edited for grammar and spelling.
· The .SRT file must include:
· A number showing the subtitle's order in the series, starting with 1.
· The time that the subtitle starts, followed by --> and the time it ends.
· The subtitle text.
· A blank line to show where the next subtitle begins.
· The contractor will provide a separate “perfected” transcript file, removing all numbers, timestamps and unnecessary spacing from the caption file. The transcript will be an editable text document.
· NGS will provide the unedited mp4 file with the video and audio recording. NGS will also provide the accompanying slide decks (e.g. powerpoint slides) that were used in the webinar to assist with “perfecting” the content because a lot of the words are technical in nature.
· Minimum of 600 minutes per week each QA/QC within a week of delivery.
IT Security Requirements
The Assessment and Authorization (A&A) requirements of Clause 48 CFR 1352.239-72 do not apply, and a Security Accreditation Package is not required.
The contractor will not access, store, process or transmit any government privileged information. The contractor will not have access to any non-public government information, systems and/or networks.
1) The contractor must ensure all NOAA information and contractor solution resides within the United States.
2) All electronic provided information by the contractor must undergo malicious software scanning using a commercial anti-virus and anti-spyware software to ensure the information is free of known malicious software. The contractor must work with the COR prior to sending the information to establish a secure method for transfer (see NOS-ftp in previous section).
3) The contractor agrees, in the performance of this contract, to keep the information furnished by the Government and designated by the Contracting Officer or Contracting Officer’s Technical Representative in the strictest confidence. The contractor also agree not to publish or otherwise divulge such information in whole or part, in any manner or form, nor to authorize or permit others to do so, taking such reasonable measures as are necessary to restrict access to such information while in the contractor’s possession, to those employees needing such information to perform the work provided herein, i.e., on a “need to know” basis. The contractor agrees to immediately notify the Contracting Officer in writing in the event that the contractor determines or has reason to suspect a breach of this requirement. Upon request of the Contracting Officer, the contractor must securely remove all copies of the files developed for this acquisition.

(d) Comptroller General Examination of Record The Contractor shall comply with the provisions of this paragraph (d) if this contract was awarded using other than sealed bid, is in excess of the simplified acquisition threshold, and does not contain the clause at 52.215-2, Audit and Records -- Negotiation.
(1) The Comptroller General of the United States, or an authorized representative of the Comptroller General, shall have access to and right to examine any of the Contractor’s directly pertinent records involving transactions related to this contract.
(2) The Contractor shall make available at its offices at all reasonable times the records, materials, and other evidence for examination, audit, or reproduction, until 3 years after final payment under this contract or for any shorter period specified in FAR Subpart 4.7, Contractor Records Retention, of the other clauses of this contract. If this contract is completely or partially terminated, the records relating to the work terminated shall be made available for 3 years after any resulting final termination settlement. Records relating to appeals under the disputes clause or to litigation or the settlement of claims arising under or relating to this contract shall be made available until such appeals, litigation, or claims are finally resolved.
(3) As used in this clause, records include books, documents, accounting procedures and practices, and other data, regardless of type and regardless of form. This does not require the Contractor to create or maintain any record that the Contractor does not maintain in the ordinary course of business or pursuant to a provision of law.
(e)
(1) Notwithstanding the requirements of the clauses in paragraphs (a), (b), (c) and (d) of this clause, the Contractor is not required to flow down any FAR clause, other than those in this paragraph (e)(1) in a subcontract for commercial items. (a) The amount of any request for equitable adjustment to contract terms shall accurately reflect the contract adjustment for which the contractor believes the Government is liable. The request shall include only costs for performing the change. All indirect costs included in the request shall be properly allocable to the change in accordance with applicable acquisition regulations.
(b) Any request for equitable adjustment to contract terms that exceeds the simplified acquisition threshold shall bear, at the time of submission, the following certificate executed by an individual authorized to certify the request on behalf of the Contractor:

(d) The Contractor will submit invoices to the designated Government official stating the hours worked, the task and/or equipment purchases made. A final invoice should be submitted with the final report, and will be paid when the final report and all tasks are reviewed and deemed to be complete by the Agency.
(e) The Government will return invoices that do not comply with these requirements. If the invoice does not comply with FAR 52.212-4(g), “Invoices”, the COR will return it to contractor within seven days after the date the designated office received the invoice along with a statement as to the reasons why it is not a proper invoice.

NAM 1330-52.270-304, NOAA ACQUISITION AND GRANTS OFFICE OMBUDSMAN (OCT 2016)
a. The NOAA Acquisition and Grants Office (AGO) Ombudsman is available to organizations to promote responsible and meaningful exchanges of information. Generally, the purpose of these exchanges will be to:
1. Allow contractors to better prepare for and propose on business opportunities.
2. Advise as to technologies and solutions within the marketplace that the Government may not be aware of, or is not fully benefiting from.
3. Identify constraints in transparency and process.
b. The AGO Ombudsman will objectively, reasonably, and responsibly collaborate with parties and recommend fair, impartial, and constructive solutions to the matters presented to him/her. Further, the AGO Ombudsman will maintain the reasonable and responsible confidentiality of the source of a concern, when such a request has been formally made by an authorized officer of an organization seeking to do business with, or already doing business with NOAA.
c. Before consulting with the AGO Ombudsman, interested parties must first address their concerns, issues, disagreements, and/or recommendations with the respective contracting officer for resolution. However, direct access to the AGO Ombudsman may be sought when an interested party questions the objectivity or equity of a contracting officer’s decision, or when there is a bona fide reason to believe that reasonable, responsible, and objective consideration will not be received from an assigned contracting officer.
d. There are several constraints to the scope of the AGO Ombudsman’s authority, for instance:
1. Consulting with the AGO Ombudsman does not alter or postpone the timelines of any formal process (e.g., protests, claims, debriefings, employee employer actions, activities involving A76 competition performance decisions, judicial or congressional hearings, or proposal, amendment, modification or deliverable due dates, etc.).
2. The AGO Ombudsman cannot participate in the evaluation of proposals, source selection processes, or the adjudication of protests or formal contract disputes.
3. The AGO Ombudsman is not authorized to generate or alter laws, judicial decisions, rules, policies, or formal guidance.
4. The AGO Ombudsman is not authorized to develop or alter opportunity announcements, solicitations, contracts, or their terms or conditions.
5. The AGO Ombudsman cannot overrule the authorized decisions or determinations of the contracting officer.
6. The AGO Ombudsman has no authority to render a decision that binds AGO, NOAA, the Department of Commerce, or the U.S. Government.
7. The AGO Ombudsman is not NOAA’s agent relative to the service of magistrate or judicial process and cannot be used to extend service of process to another party (whether federal, public, or a private entity).
e. After review and analysis of a filed concern or recommendation, the AGO Ombudsman may refer the interested party to another more suitable federal official for consideration. Moreover, concerns, disagreements, and/or recommendations that cannot be resolved by the AGO Ombudsman will need to be pursued through more formal venues.
f. The AGO Ombudsman is not to be contacted to request copies of forms and/or documents under the purview of a contracting officer. Such documents include Requests for Information, solicitations, amendments, contracts, modifications, or conference materials.

SOLICITATION PROVISIONS
FAR 52.212-2, EVALUATION--COMMERCIAL ITEMS (OCT 2014)
(a) The Government will award a contract resulting from this solicitation to the responsible offeror whose offer conforming to the solicitation is the lowest price technically acceptable (LPTA) offer.
Technically acceptable is defined as the offeror’s ability to meet all the requirements/salient characteristics identified in the Statement of Work/Specification and the offeror’s demonstrated ability to perform the contract successfully through past performance. Only the lowest priced offer will be evaluated for technical acceptability. If the lowest priced offer is not found to be technically acceptable, then the next lowest price offer will be evaluated. This process will continue until a technically acceptable offer is identified; not all offers will be evaluated. The following factors shall be used to evaluate offers (1) Technical, (2) Past Performance, (3) Price.
(1) Technical (Pass/Fail)
The Government will evaluate the offeror’s ability to provide the service to create captions and transcripts to video content (mp4 files) Video Captions for 94 videos containing 3,847 minutes that will be posted on geodesy.noaa.gov to educate the public about geodesy, costal mapping and other National Geodetic Survey (NGS) activities. Offers that cannot specifically address their ability to provide the service IAW the statement of work or that do not submit a Technical Section with their offer may be rejected without further consideration.
(2) Past Performance (Pass/Fail)
The Government may use a variety of sources, data, and/or information available about the offeror’s current or past performance, not just the information identified by an offeror to evaluate past performance.
(3) The Government will evaluate price for reasonableness and award a contract to the offeror with the lowest price technically acceptable offer.
(b) A written notice of award or acceptance of an offer, mailed or otherwise furnished to the successful offeror within the time for acceptance specified in the offer, shall result in a binding contract without further action by either party. Before the offer's specified expiration time, the Government may accept an offer (or part of an offer), whether or not there are negotiations after its receipt, unless a written notice of withdrawal is received before award.

FAR 52.212-3, Offeror Representations and Certifications -- Commercial Items. (OCT 2018)
The Offeror shall complete only paragraph (b) of this provision if the Offeror has completed the annual representations and certification electronically in the System for Award Management (SAM) accessed through https://www.sam.gov. If the Offeror has not completed the annual representations and certifications electronically, the Offeror shall complete only paragraphs (c) through (u)) of this provision.
1. (a) Definitions. As used in this provision—
“Economically disadvantaged women-owned small business (EDWOSB) concern” means a small business concern that is at least 51 percent directly and unconditionally owned by, and the management and daily business operations of which are controlled by, one or more women who are citizens of the United States and who are economically disadvantaged in accordance with 13 CFR part 127. It automatically qualifies as a women-owned small business eligible under the WOSB Program.
“Highest-level owner” means the entity that owns or controls an immediate owner of the offeror, or that owns or controls one or more entities that control an immediate owner of the offeror. No entity owns or exercises control of the highest level owner.
“Immediate owner” means an entity, other than the offeror, that has direct control of the offeror. Indicators of control include, but are not limited to, one or more of the following: ownership or interlocking management, identity of interests among family members, shared facilities and equipment, and the common use of employees.
“Inverted domestic corporation”, means a foreign incorporated entity that meets the definition of an inverted domestic corporation under 6 U.S.C. 395(b), applied in accordance with the rules and definitions of 6 U.S.C. 395(c).
“Manufactured end product” means any end product in product and service codes (PSCs) 1000-9999, except—
a. (1) PSC 5510, Lumber and Related Basic Wood Materials;
b. (2) Product or Service Group (PSG) 87, Agricultural Supplies;
c. (3) PSG 88, Live Animals;
d. (4) PSG 89, Subsistence;
e. (5) PSC 9410, Crude Grades of Plant Materials;
f. (6) PSC 9430, Miscellaneous Crude Animal Products, Inedible;
g. (7) PSC 9440, Miscellaneous Crude Agricultural and Forestry Products;
h. (8) PSC 9610, Ores;
i. (9) PSC 9620, Minerals, Natural and Synthetic; and
j. (10) PSC 9630, Additive Metal Materials.
“Place of manufacture” means the place where an end product is assembled out of components, or otherwise made or processed from raw materials into the finished product that is to be provided to the Government. If a product is disassembled and reassembled, the place of reassembly is not the place of manufacture.
“Predecessor” means an entity that is replaced by a successor and includes any predecessors of the predecessor.
“Restricted business operations” means business operations in Sudan that include power production activities, mineral extraction activities, oil-related activities, or the production of military equipment, as those terms are defined in the Sudan Accountability and Divestment Act of 2007 (Pub. L. 110-174). Restricted business operations do not include business operations that the person (as that term is defined in Section 2 of the Sudan Accountability and Divestment Act of 2007) conducting the business can demonstrate—
k. (1) Are conducted under contract directly and exclusively with the regional government of southern Sudan;
l. (2) Are conducted pursuant to specific authorization from the Office of Foreign Assets Control in the Department of the Treasury, or are expressly exempted under Federal law from the requirement to be conducted under such authorization;
m. (3) Consist of providing goods or services to marginalized populations of Sudan;
n. (4) Consist of providing goods or services to an internationally recognized peacekeeping force or humanitarian organization;
o. (5) Consist of providing goods or services that are used only to promote health or education; or
p. (6) Have been voluntarily suspended.“Sensitive technology”—
q. (1) Means hardware, software, telecommunications equipment, or any other technology that is to be used specifically—
i. (i) To restrict the free flow of unbiased information in Iran; or
ii. (ii) To disrupt, monitor, or otherwise restrict speech of the people of Iran; and
r. (2) Does not include information or informational materials the export of which the President does not have the authority to regulate or prohibit pursuant to section 203(b)(3)of the International Emergency Economic Powers Act (50 U.S.C. 1702(b)(3)).
“Service-disabled veteran-owned small business concern”—
s. (1) Means a small business concern—
i. (i) Not less than 51 percent of which is owned by one or more service-disabled veterans or, in the case of any publicly owned business, not less than 51 percent of the stock of which is owned by one or more service-disabled veterans; and
ii. (ii) The management and daily business operations of which are controlled by one or more service-disabled veteransor, in the case of a service-disabled veteran with permanent and severe disability, the spouse or permanent caregiver of such veteran.
t. (2) Service-disabled veteran means a veteran, as defined in 38 U.S.C. 101(2), with a disability that is service connected, as defined in 38 U.S.C. 101(16).
“Small business concern” means a concern, including its affiliates, that is independently owned and operated, not dominant in the field of operation in which it is bidding on Government contracts, and qualified as a small business under the criteria in 13 CFR Part 121 and size standards in this solicitation.
“Small disadvantaged business concern”, consistent with13 CFR 124.1002, means a small business concern under the size standard applicable to the acquisition, that—
u. (1) Is at least 51 percent unconditionally and directly owned (as defined at 13 CFR 124.105) by—
i. (i) One or more socially disadvantaged (as defined at13 CFR 124.103) and economically disadvantaged (as defined at 13 CFR 124.104) individuals who are citizens of the United States; and
ii. (ii) Each individual claiming economic disadvantage has a net worth not exceeding $750,000 after taking into account the applicable exclusions set forth at 13 CFR124.104(c)(2); and
v. (2) The management and daily business operations of which are controlled (as defined at 13.CFR 124.106) by individuals, who meet the criteria in paragraphs (1)(i) and (ii) of this definition.
“Subsidiary” means an entity in which more than 50 percent of the entity is owned—
w. (1) Directly by a parent corporation; or
x. (2) Through another subsidiary of a parent corporation.“Veteran-owned small business concern” means a small business concern—(1) Not less than 51 percent of which is owned by one or more veterans (as defined at 38 U.S.C. 101(2)) or, in the case of any publicly owned business, not less than 51 percent of the stock of which is owned by one or more veterans; and(2) The management and daily business operations of which are controlled by one or more veterans.“Successor” means an entity that has replaced a predecessor by acquiring the assets and carrying out the affairs of the predecessor under a new name (often through acquisition or merger). The term “successor” does not include new offices/divisions of the same company or a company that only changes its name. The extent of the responsibility of the successor for the liabilities of the predecessor may vary, depending on State law and specific circumstances.“Women-owned business concern” means a concern which is at least 51 percent owned by one or more women; or in the case of any publicly owned business, at least 51 percent of its stock is owned by one or more women; and whose management and daily business operations are controlled by one or more women.“Women-owned small business concern” means a small business concern—
y. (1) That is at least 51 percent owned by one or more women; or, in the case of any publicly owned business, at least51 percent of the stock of which is owned by one or more women; and
z. (2) Whose management and daily business operations are controlled by one or more women.
“Women-owned small business (WOSB) concern eligible under the WOSB Program” (in accordance with 13 CFR part127), means a small business concern that is at least 51 percent directly and unconditionally owned by, and the management and daily business operations of which are controlled by, one or more women who are citizens of the United States.
