FOR USE OF OTHER THAN FULL AND OPEN COMPETITION
JUSTIFICATION
1. Contracting Activity

2. Description of the Action Being Approved
This is a justification to award a Small Business Innovation Research (SBIR)
Phase III Indefinite Delivery, Indefinite Quantity (ID/IQ) Contract to
System Engineering Associates Corporation (SEA CORP). SEA CORP was awarded
SBIR Phase I contract in 1995, resulting from SBIR Program Solicitation 95.1, topic number
SEA CORP was subsequently awarded several SBIR Phase II contracts, most recently on 02 January
2019.
This Phase III effort is to support the continued development, upgrade, and application of the
Description of Supplies/Services needs to continue the evolutionary development of the CSA-PI Data Interface (CDI) to address new capabilities on the horizon for integration into the submarine CCS. The CDI technology needs to be modified to work with the newest modernizations of the tactical payload control system (PCS) baselines. These baselines are established as part of the Advance Processor Build (APB) process. Every two years, a new PCS baseline with new and improved capabilities is released. Implementation of these capabilities affects underlying software architecture and infrastructure. The CDI is built on this architecture and accordingly needs to be modified in order to enable payload integration prototypes. Utilization of the CDI is the most cost effective means to meet advance development requirements within program schedule constraints.
This requirement includes the following tasking: architecture development, software development, software integration and testing and software Capstone J&A #:
demonstration to further develop PCS Technology and CSA-PI Data Interface (CDI) software to enable payload integration prototypes. The scope of the effort includes modifications of and CDI software, for each
Advanced Processor Build (APB) and the quantity and type of payloads being integrated with PCS.
The Government intends to try to purchase the CDI data rights as part of this requirement.
The Government’s minimum needs are verified by the certifying technical and requirements personnel.
4. Statutory Authority Permitting Other Than Full and Open Competition
10 U.S.C. 2304(c)(5), as implemented by FAR 6.302-5: Authorized or Required by Statute.
5. Rationale Justifying Use of Cited Statutory Authority
Per 15 U.S.C. 638(r)(1), in the case of a small business concern that is awarded a funding agreement for Phase II of an SBIR or STTR program, a Federal agency may enter into a Phase III agreement with that business concern for additional work to be performed during or after the Phase II period. urthermore, per 15 U.S.C. 638(r)(4), to the greatest extent practicable, Federal agencies and Federal prime contractors shall issue Phase III awards relating to technology, including sole source awards, to the SBIR and STTR award recipients that developed the technology.
The nature of the acquisition requires the use of the authority cited. The SBIR Programs are structured in three phases. Phase I (project feasibility) determines the scientific, technical and commercial merit and feasibility of the ideas submitted. Phase II (project development to prototype) is the major research and development effort, funding the prototyping and demonstration of the most promising Phase I projects. Phase III
(commercialization) is the ultimate goal of the SBIR/STTR Programs. Because the Phase III work derives from, extends, or completes efforts performed under Phase I and Phase II, use of the authority cited is required.
6. Description of Efforts Made to Solicit Offers from as Many Offerors as

No efforts were made to solicit offers from other Offerors, as SEA CORP is the only company being considered for this Phase III award due their proprietary SBIR data rights. In accordance with FAR 5.202(a)(7), this proposed contract action does not require public notification to the GPE.
7. Determination of Fair and Reasonable Costs
The Contracting Officer will determine prior to award that the negotiated cost plus fixed fee price of the contract executed under this justification is fair and reasonable pursuant to FAR Subpart 15.4. This determination will be documented in the Business Clearance Memorandum, which will be included in the contract file.
8. Actions to Remove Barriers to Competition
For any future requirement that derives from, extends, or completes efforts related to the SBIR data rights to the
CDI technology, the Government anticipates a sole source action to SEA CORP. However, as discussed above, the Government intends to try to purchase data rights as part of this requirement in an effort to remove barriers to competition for future requirements, if at all possible.
