Amendment 0001
SOLICITATION: 12FPC424Q0217
DESCRIPTION: Updated Title Services for Shades and Oak Mountains and closing services
QUESTIONS AND ANSWERS
1. The solicitation states that title searches have been completed for all four (4) parcels in question.
a. When were these searches completed? Please provide completion dates for each search.
Q1A. ANSWER: March 2024
b. Will the government provide copies of the reports/commitments that were completed in advance of the award so that an offeror can evaluate them for pricing purposes for this quote?
Q1B. ANSWER: If it’s a different vendor, no. They would do a full title search/commitment themselves.
c. Typically, a title insurance underwriter will not allow an agent to issue a policy on a parcel where it did not perform the initial title search.
i. Should the government reconsider its requirements and include the possibility of a new search needing to be performed?
Q1C. ANSWER: A new search will need to be performed by the vendor, the verbiage “updated” is just for NRCS.
2. Please provide the easement acquisition values so that the pricing schedule can reflect the appropriate premium cost in the quote for each acquisition.
Q2. ANSWER:
Shades Mountain - $6,800,000.00 Oak Mountain North - $2,150,000.00 Oak Mountain Middle - $4,730,000.00 Oak Mountain South - $3,650,000.00
These values are subject to change.
3. Typically, a Closing Protection Letter (CPL) is requested between the time the title commitment is submitted and the closing instructions are issued.
a. Will a CPL be required on this contract as it must be priced and included in the quote?
Q3. ANSWER: Yes, a CPL will be required, please see the closing instructions as it outlines the
CPL.
4. The statement of work addresses subordination agreements.
a. Typically, NRCS prepares the subordination agreements and sends them to the seller to obtain the proper signatures. Who prepares the subordination agreements for this contract?
Q4. ANSWER: Subordination form will be provided to the landowner from NRCS, and landowner will have it completed with their institution. It will be returned to closing attorney to be recorded.
Amendment 1
5. The statement of work states that the contractor must obtain the NRCS signatures on the WED. Typically, the government sends the original WED to the contractor with the Acceptance by Grantee page already executed by the State Conservationist.
a. What is the procedure/logistics for a contractor to obtain the NRCS signature on the WED in this contract?
Q5A. ANSWER: The WED will be overnighted to the landowner for their signature, they will send it back to the closing attorney, the closing attorney will then provide a photocopy to NRCS AND overnight the WED to NRCS for the State Conservationist to sign, and NRCS will overnight WED back to closing attorney to file.
6. Section G.2 outlines the payment process and states that two payments are to be made. Section J.1 Attachment A - Pricing Schedule shows only one price per easement acquisition.
a. Can the Pricing Schedule be modified to reflect the two payments to be made?
Q6A. ANSWER: Payments can be made per line item as items are completed.
b. What if more than one update is needed? How is that to be priced?
Q6B. ANSWER: NRCS will work with Contracting for modifications, however, vendor can put an “Updated title commitment” on the pricing table.
