Solicitation 12FPC424Q0095 Questions and Answers

SOLICITATION # 12FPC424Q0095

TITLE AND CLOSING SERVICES

STATE OF VERMONT

QUESTIONS AND ANSWERS

Q1. Provide more detail on what the line items under the Schedule of Supplies/Services column mean or what they stand for? Are these the actual properties or locations? Are these lots that will be broken up into smaller parcels later, will more properties be added later or is the work complete once these line items have been fulfilled?

A1. The line items begin with the agreement name and number reference. These are actual properties to which conservation easements will be acquired. Lots will not be broken up into smaller parcels as part of these work requirements and no additional properties will be added to this work request after these line items have been completed.

Q2. How many title requests/closings do you anticipate every month?

A2. The agency anticipates closing on these four (4) properties within the next six (6) months. The agreements to purchase with landowners expire on February 15, 2025. At most we anticipate about one (1) closing per month

Q3. What will be your method of communicating updated title requests and closings?

A3. The agency technical point of contact will provide the surveyed boundary legal descriptions when requesting the updated title commitments needed for closing. After title updates are provided the agency will provide detailed closing instructions. Landowners generally provide draft corrective documents to address closing requirements and title exceptions.

Q4. Will you (or any applicable party) provide a quality review checklist for title and closing services? In other words, what information to double check for accuracy to avoid having to submit corrected documentation later?

A4. The agency technical point of contact will issue detailed closing instructions and closing agent requirements for the successful awardee to follow.

Q5. How are invoices paid? Net 30, per file, at closing, weekly, monthly, scheduled?

A5. Vendor invoices for these services are paid Net 30. The Government utilizes the Invoice Processing Platform (IPP) for payment of goods and services. The awardee must possess an active SAMS registration and register for the IPP at www.ipp.gov.

Solicitation 12FPC424Q0095 Questions and Answers

Q6. Is subcontractor liability insurance sufficient to fulfill the requirements of the solicitation since they are the ones that will be performing the title searches and generating the closing protection letters, or should the prime contractor carry liability insurance as well?

A6. The prime contractor i.e. the contractor must carry the required insurance as per the Statement of Work. The contractor must provide evidence of liability insurance coverage or indemnification in an amount equal to the amount of Federal funds for each easement satisfactory to NRCS, acting on behalf of the Commodity Credit Corporation, providing for reimbursement to NRCS for any loss of Federal funds caused by errors, omissions, fraud, dishonesty, negligence, or failure by the attorneys, agents, or closing agent employees to comply with NRCS’s written closing instructions. The ALTA closing protection letter, revised 4/2/2014, is satisfactory to meet this condition of responsibility. Evidence of liability insurance must be provided prior to award.

Q7. How long does it take for these types of transactions to close?

A7. The transactions require 12-18 months or longer to close. These agreements are already within 2nd option year extensions with the landowners. Agreements can be extended beyond the 2nd option year by policy waiver with landowner concurrence.

Q8. Does the subcontractor need their own SAM.gov registration and DUNS number, or will the prime contractor's information be sufficient to fulfill the requirements of the solicitation?

A8. The Government’s contractual relationship is with the Prime contractor. The prime contractor must possess an active SAMS account which remains active throughout the contract period.

Q9. Will the Past Performance report of the subcontractor (title and closing agent) work to fulfill the requirements of this solicitation? Does the prime need a past performance report as well?

A9. The Government’s contractual relationship is with the Prime contractor. Past performance will be evaluated and cannot be replaced by the Past Performance of intended subcontractors.

Q10. What is the government's budget for this solicitation?

A10. It is expected that the actual cost will range between $25,000 - $40,000 for completion of these services.

Q11. How long will this contract be effective?

A11. A minimum of 12 months from date of award.
