PART I - CONTINUATION OF SF 1449

I. Type of Contract: This firm-fixed priced Indefinite Quantity Indefinite Quantity (IDIQ) contract is for the acquisition of Temporary Services for multiple Job Corps Civilian Conservation Centers (“Centers”) on an as needed basis. The exact quantity and delivery of vacant positions that may require temporary services cannot be pre-determined due to the nature of workforce stability.

II. Purpose The purpose of this contract is to provide the Centers with a simplified method of obtaining

Temporary Services for vacant federal positions. The contract is intended to provide a temporary staffing solution which will allow the Centers to quickly respond to changing staff requirements that arise when critical needs temporarily warrant more assistance, or when key members are unavailable for work due to emergency, accident, illness, family responsibilities, jury services, position vacancies, etc.

III. Coefficient Rate: The firm-fixed Coefficient Rate will be applied to each position. The employee hourly rate will be multiplied by the coefficient rate for every Task Order to determine the total billing rate for each position.

The Health and Welfare (H&W), as determined by the Department of Labor Wage Determination rates, will also be added to each position, as applicable, in compliance with the Service Contract Act.

For instance: hourly rate * coefficient rate + hourly rate + H&W = total billing rate

IV. Period of Performance: The Period of Performance for this IDIQ contract is for one (1) year from the date of award. One (1) three (3) month Option Period may be exercised at the discretion of the government.

V. Task Orders: Upon issuance of a Task Order placed by an Authorized Individual (see Para. XII), the Contractor shall provide services in accordance with the term and conditions of this contract.

Task Orders made under this contract are considered binding upon issuance by the Contracting Officer (CO). Task Orders will be funded and issued per position for each Center, on an as needed basis. The period of performance for each position will be specified on each Task Order.

VI. IDIQ Minimum And Maximum Limitations::

A. The minimum quantity the government will acquire via this contract is $100,000.00.

B. The maximum quantity the government will acquire via this contract is $5,000,000.00.

C. The minimum quantity per Task Order the government will acquire via this contract is $2,500.00.

D. The maximum quantity per task Order the government will acquire via this contract is $250,000.00

E. There is no minimum requirement or maximum limitation with regard to the number of Task Orders which may be placed against this contract.

VII. Non-Personal Services: This contract is to be used to provide non-personal services contracts as defined in

FAR 2.101 and as detailed in FAR 37.101 and FAR 37.104. As such, there is no employee/employer relationship between the Contractor, or the Contract’s employees who may provide the actual services, and the government.

Job Corps personnel should not assume a supervisory relationship with the Contractor, or Contractor’s employees; nor assume any role within the CO’s sole authority.

**All performance issues should be directed the CO immediately so the appropriate resolution actions can be taken.

Services furnished by temporary staffing firms shall be performed by their employees, or independent contractors. They shall not be considered or treated as federal employees for any purpose, shall not be regarded

The vendor is the legally responsible employer and maintains that relationship during the time the employees are assigned to a position.

VIII. Non-Personal Health Care Services. This contract includes non-personal healthcare services as defined in 37.101, under which the Contractor is an independent contractor.

A. The Government may evaluate the quality of professional and administrative services provided, but retains no control over the medical, professional aspects of services rendered (e.g., professional judgements, diagnosis for specific medical treatment).

B. The contractor indemnifies the Government for any liability producing act or omission by the Contractor, its employees and agents occurring during contract performance.

C. The contractor shall maintain medical liability insurance, in accordance with the limitation coverage stated herein.

As stated in Block 27 of the SF 1449, the provision at 52.212-4 – Contract Terms and Conditions – Commercial Items is hereby incorporated by reference, and any addendum to the provision applies to this acquisition, however, in accordance with FAR 12.302, the following paragraphs of this clause have been tailored, all other paragraphs remain unchanged.)

(c) Changes (tailored). Changes in the terms and conditions of this contract may be made only by written agreement of the parties. NOTE: Modifications to exercise option years are issued unilaterally, as it’s at the Government’s sole discretion to invoke additional performance periods.

(1) The Comptroller General of the United States, or an authorized representative of the Comptroller General, shall have access to and right to examine any of the Contractor’s directly pertinent records involving transactions related to this contract.

(2) The Contractor shall make available at its offices at all reasonable times the records, materials, and other evidence for examination, audit, or reproduction, until 3 years after final payment under this contract or for any shorter period specified in FAR subpart 4.7, Contractor Records Retention, of the other clauses of this contract. If this contract is completely or partially terminated, the records relating to the work terminated shall be made available for 3 years after any resulting final termination settlement. Records relating to appeals under the disputes clause or to litigation or the settlement of claims arising under or relating to this contract shall be made available until such appeals, litigation, or claims are finally resolved.

(b) All delivery orders or task orders are subject to the terms and conditions of this contract. In the event of conflict between a delivery order or task order and this contract, the contract shall control.

(c) A delivery order or task order is considered "issued" when—

(1) If sent by mail (includes transmittal by U.S. mail or private delivery service), the Government deposits the order in the mail;

(2) If sent by fax, the Government transmits the order to the Contractor's fax number;

or

(3) If sent electronically, the Government either—

(i) Posts a copy of the delivery order or task order to a Government document access system, and notice is sent to the Contractor; or

(ii) Distributes the delivery order or task order via email to the Contractor's email address.

(d) Orders may be issued by methods other than those enumerated in this clause only if authorized in the contract.

52.216-19 Order Limitations (Oct 1995)

(a) Minimum order. When the Government requires supplies or services covered by this contract in an amount of less than $2,500.00, the Government is not obligated to purchase, nor is the Contractor obligated to furnish, those supplies or services under the contract.

(b) Maximum order. The Contractor is not obligated to honor-

(1) Any order for a single item in excess of $250,000.00;

(2) Any order for a combination of items in excess of $250,000.00; or

(3) A series of orders from the same ordering office within 5 days that together call for quantities exceeding the limitation in paragraph (b)(1) or (2) of this section.

(c) If this is a requirements contract (i.e., includes the Requirements clause at subsection 52.216-21 of the Federal Acquisition Regulation (FAR)), the Government is not required to order a part of any one requirement from the Contractor if that requirement exceeds the maximum-order limitations in paragraph (b) of this section.

(d) Notwithstanding paragraphs (b) and (c) of this section, the Contractor shall honor any order exceeding the maximum order limitations in paragraph (b), unless that order (or orders) is returned to the ordering office within 10 days after issuance, with written notice stating the Contractor’s intent not to ship the item (or items) called for and the reasons.

Upon receiving this notice, the Government may acquire the supplies or services from another source.

52.216-22 Indefinite Quantity (Oct 1995)

(a) This is an indefinite-quantity contract for the supplies or services specified and effective for the period stated, in the Schedule. The quantities of supplies and services specified in the Schedule are estimates only and are not purchased by this contract.

(b) Delivery or performance shall be made only as authorized by orders issued in accordance with the Ordering clause. The Contractor shall furnish to the Government, when and if ordered, the supplies or services specified in the Schedule up to and including the quantity designated in the Schedule as the “maximum.” The Government shall order at least the quantity of supplies or services designated in the Schedule as the “minimum.”

(c) Except for any limitations on quantities in the Order Limitations clause or in the Schedule, there is no limit on the number of orders that may be issued. The Government may issue orders requiring delivery to multiple destinations or performance at multiple locations.

52.217-8 Option to Extend Services (NOV 1999) The Government may require continued performance of any services within the limits and at the rates specified in the contract. These rates may be adjusted only as a result of revisions to prevailing labor rates provided by the Secretary of Labor. The option provision may be exercised more than once, but the total extension of performance hereunder shall not exceed 6 months. The Contracting Officer may exercise the option by written notice to the Contractor within 30 days.

52.217-9 Option to Extend the Term of the Contract (MAR 2000)

(a) The Government may extend the term of this contract by written notice to the

Contractor within 30 days; provided that the Government gives the Contractor a preliminary written notice of its intent to extend at least 60 days before the contract expires. The preliminary notice does not commit the Government to an extension.

(b) If the Government exercises this option, the extended contract shall be considered to include this option clause.

(c) The total duration of this contract, including the exercise of any options under this clause, shall not exceed 1 years and 3 months.

PART III – CONTRACT DOCUMENTS

Performance Work Statement

I. Background: The USDA Forest Service Job Corps Civilian Conservation Centers (JCCCC) provide academic, vocational, and life-learning skills to at-risk youth and young adults at 24 Job Corps Centers across the United States (US). Job Corps is a U.S. Department of Labor (DOL), Employment and Training Administration (ETA) program. Job Corps is designed to assist young people who need and can benefit from the wide-range of services provided at a Job Corps center. Services include the following: basic education, High School Diploma (HSD) program; General Educational Development (GED); vocational skills training; residential living program;

healthcare; and related support services. The comprehensive combination of training and support services is designed to help each student become a responsible and productive citizen.

Student populations range from 100 to over 300 enrollments depending on the Center’s On Board Strength (OBS).

Job Corps is a self-paced program: therefore, a student’s length of enrollment varies. Students may remain in the program for up to two years, but the average length of enrollment is approximately eight months.

Federal vacancies result in the need for temporary support services upon request for 120 days, with another 120 day extension available with approval. Services shall be in accordance with all Federal, State, and local laws, Job Corps policies and procedures, and applicable supplemental regulations and policies.

II. Basic Description: The Contractor shall provide all management, supervision, labor, supplies, materials, transportation, and equipment (except as otherwise specified herein), and plan, schedule, and coordinate, as necessary, to ensure effective performance of Temporary Services in accordance with the Terms and Conditions of this contract for the position listed in Exhibit A.

Contractor shall be capable and willing to communicate professionally with male and female Job Corps students.

Contractors must have the interest, desire, and ability to work effectively with unemployed and disadvantaged youth from various economic and social backgrounds without regard to race, creed, color, sexual orientation, or national origin.

A. The vendor is required to track the number of days each position is filled. A position cannot be filled with a temporary employee for more than 120 days without an “Extension” issued via a bilateral modification to the individual Task Order. Extensions cannot exceed 120 days, and the total period of performance for each position cannot exceed 240 days.

B. “Days” are equal to any hours worked in one 24-hour day that an individual reports for duty, regardless of the number of hours worked. (i.e., a 4 hour shift would count as 1 “day” when calculating the 120 day maximum.)

C. The Centers may recommend or request known, qualified individuals for a position, but this does not remove the legal responsibilities of the Contractor. The Contractor is under no obligation to comply with the Center’s recommendation if they are unable to determine them qualified for the position, or for other reasons deemed reasonable to the Contractor.

D. Overtime (OT) is permitted, on an “as needed” basis, by mutual agreement between the Center and the Contractor. The hourly rate for OT has been calculated into the “Coefficient Rate”, detailed herein, and no increase to the quoted hourly rate is applicable to OT hours.

E. The Contractor will identify the type of labor category the individual is assigned to work at the center. Upon request, the Contractor shall provide any documentation required by the client that is appropriate for demonstrating the individual’s qualifications for the position.
