Schedule Notes:

A. This will be a Requirements contract for NOW Moth transport. The pricing is firm-fixed price per pound with economic price adjustment for airline fuel and security surcharges.

B. All price proposals must show a cost breakdown of the amount of the price which is for air cargo freight forwarding handling/administrative costs and the amount of the price which is for air freight costs (actual cost paid to air carrier per pound).

1. The air cargo handling costs portion of the price will be a Firm-fixed price amount and will not change during the base year or any option year exercised.

2. The air freight costs (actual amount paid to air carrier) portion of the price will be adjusted upwards or downwards based on the actual price fluctuations in the air carrier prices charged to the contractor. The offeror’s proposal must include the amount of current price included in pricing as well as applicable airline cargo price list which will be used to establish the baseline amount of the contract price that is subject to the price adjustment.

C. The air cargo price list (including any surcharges) is needed to establish the baseline amount of the contract price.

Adjustments will be made (up or down) based on price changes instituted by the airlines. Contractor will be required to submit invoices and new price lists substantiating price changes whenever a contract price increase is requested. In addition, the Government may request invoices at any time to document accuracy of pricing to prevent overpayment in case the air cargo price decreases. Adjustments to contract price will be made on a dollar for dollar basis based on actual documented price increases or decreases in airline freight costs incurred by contractor.

D. Government requires that the Next Flight Guarantee freight class is used on all outbound flights from Phoenix (if available) to assure that moths arrive at Bakersfield in a timely manner. Price proposal must stipulate whether pricing is for Next Flight Guarantee rate or Priority rate.

E. Priority freight class, or ground transportation, is acceptable and preferred (since this would represent a cost savings) on all returns of the empty shipping boxes back to Phoenix. Price proposals must stipulate the transportation method.

F. Proposals should stipulate air carrier and flight times (for all flights outbound from Phoenix) to be used during the course of this contract.

G. Invoicing: Invoices will submitted via the IPP (Invoice Processing Platform) system at www.ipp.gov.

H. If the direct flight from Phoenix to Bakersfield is eliminated or changed to an unacceptable time during the course of this contract period of performance (a time outside the preferred times in the Statement of Work) the contract will be terminated for convenience.

III. Statement of Work:

NOW Moth shipments

Background:

This request is for the procurement of an air carrier service to provide transportation of up to 1 million sterile navel orangeworm (NOW) moths in shipping containers from Phoenix, AZ, to Bakersfield, CA, up to 7 days per week. PPQ has agreed to participate in a cooperative area-wide trial and developmental project to assist the nut industry in California in evaluation of sterile insect technique (SIT) as a tool to combat the significant damage caused by the navel orangeworm. Without this means of transportation the multimillion dollar project would fail.

The PBWRF/NOWRF mass-rears NOW on artificial diet to the adult stage, which requires 30 – 40 days. The moths are collected and inactivated in a walk-in refrigerator held at ~38 degrees F, and placed in canisters for sterilization of the moths through breakage of chromosomes. Following sterilization the moths are placed in a shipping box called a Drop Box Shipping Container (DBSC). The capacity of this box is around 750,000 sterile insects. The box is fitted with a passive cooling system composed of plastic cylinders filled with blue ice that keeps moth temperatures in the box at ~38 degrees F. Once the moths and cooling tubes are loaded in the box it is ready for commercial shipping. The box dimensions are 30”L x 24”W x 24”H. A full box will weigh approximately 86 to 104 pounds. Return (empty) box weight will be between 46 to 54 pounds. Daily, as many as 2 shipping boxes may be sent to Bakersfield, dependent upon the level of production attained on any particular day.

Once the moths are packaged for shipment it is critical that they be delivered to their destinations and the box be opened in a cold room within 5 hours or less, to allow oxygen levels to return to ambient. At times longer than 5 hours, the air in the containers becomes depleted of oxygen, and carbon dioxide proportionately increases. The resulting anoxia detrimentally impacts the quality of the moth by significantly reducing the frequency of mating. It is for this reason that airline schedules, in effect, must fit into our schedule and it is critical that deliveries be timely and without delays. Delivery is to the destination airport cargo or baggage area where the shipment is picked up by our cooperators.

Purpose and Objectives:

APHIS requires an air carrier service to deliver up to ~7 million sterile moths per week to Bakersfield, California. It also requires the timely return of the empty NOW shipping boxes for continued use. The length of this service will be no more than 44 weeks total, with up to 7 shipping days per week. This long time duration exists due to the long flight season of the wild moths, the crops’ active growing seasons, and the needs of the area-wide trial and developmental project.

This contract will allow APHIS to successfully provide sterile moths to its cooperators in California.

Period of Performance:

The period of performance will be approximately 1 February through 30 November 2018. The contractor will supply up to daily flights to Bakersfield. A daily statement of freight charges will be made available but a monthly invoice is to be submitted.

Requirements and Deliverables:

The carrier will throughout the period of performance transport sterile moths, packaged in corrugated plastic containers chilled with blue ice refrigerant, to their designated destination. Depending on the type and number of shipping boxes used and the number of moths actually shipped, the total daily weight of shipping boxes may be as much as 208 lbs. Shipping boxes will be immediately returned to the air carrier the same or following day for transport back to Phoenix. A limited number of shipping boxes presently exist so three days is all the time that is allowable for their return. Ground transport return of the empty boxes will be allowed as long as it meets the three day return requirement. For boxes returned via ground transportation the return address is the PBRF located at 3645 E. Chipman Road, Phoenix, AZ.

USDA APHIS delivery of sterile moths to the air cargo facility will occur a minimum of 1.5 hours before scheduled flight time. If flights are cancelled or delayed, the moth shipment is to go on the next earliest flight, and must be delivered within 5 hours of the cargo close-out time (time between when the moth shipping boxes are dropped off at Phoenix Sky Harbor airport and time when they are available to be picked up in Bakersfield).

The preferred flight times will be between 08:00 AM and Noon, so that flights will coincide with prep work necessary by USDA staff before moths are shipped. Return flight times, or ground transport, for empty shipping boxes are flexible as long as contractor meets 3-day return requirement, above.

To remain registered in the SAM database after the initial registration, the Contractor is required to review and update on an annual basis from the date of initial registration or subsequent updates its information in the SAM database to ensure it is current, accurate and complete. Updating information in the SAM does not alter the terms and conditions of this contract and is not a substitute for a properly executed contractual document.

(2)

(i) If a Contractor has legally changed its business name, “doing business as” name, or division name (whichever is shown on the contract), or has transferred the assets used in performing the contract, but has not completed the necessary requirements regarding novation and change-of-name agreements in Subpart 42.12, the Contractor shall provide the responsible Contracting Officer a minimum of one business day’s written notification of its intention to:

(i) Any such clause is unenforceable against the Government.

(ii) Neither the Government nor any Government authorized end user shall be deemed to have agreed to such clause by virtue of it appearing in the EULA, TOS, or similar legal instrument or agreement. If the EULA, TOS, or similar legal instrument or agreement is invoked through an “I agree” click box or other comparable mechanism (e.g., “click-wrap” or “browse-wrap” agreements), execution does not bind the Government or any Government authorized end user to such clause.

(iii) Any such clause is deemed to be stricken from the EULA, TOS, or similar legal instrument or agreement.

(2) Paragraph (u)(1) of this clause does not apply to indemnification by the Government that is expressly authorized by statute and specifically authorized under applicable agency regulations and procedures.

(b) All delivery orders or task orders are subject to the terms and conditions of this contract. In the event of conflict between a delivery order or task order and this contract, the contract shall control.

(c) If mailed, a delivery order or task order is considered “issued” when the Government deposits the order in the mail. Orders may be issued orally, by facsimile, or by electronic commerce methods only if authorized in the Schedule.

52.216-19 -- Order Limitations. (Oct 1995)

(a) Minimum order. When the Government requires supplies or services covered by this contract in an amount of less than 80 pounds, the Government is not obligated to purchase, nor is the Contractor obligated to furnish, those supplies or services under the contract.

(b) Maximum order. The Contractor is not obligated to honor --

(1) Any order for a single item in excess of _20,000 pounds;

(2) Any order for a combination of items in excess of 30,000 pounds; or

(d) Notwithstanding paragraphs (b) and (c) of this section, the Contractor shall honor any order exceeding the maximum order limitations in paragraph (b), unless that order (or orders) is returned to the ordering office within _2____ days after issuance, with written notice stating the Contractor’s intent not to ship the item (or items) called for and the reasons. Upon receiving this notice, the Government may acquire the supplies or services from another source.

52.216-21 -- Requirements (Oct 1995)

(a) This is a requirements contract for the supplies or services specified, and effective for the period stated, in the Schedule. The quantities of supplies or services specified in the Schedule are estimates only and are not purchased by this contract. Except as this contract may otherwise provide, if the Government’s requirements do not result in orders in the quantities described as “estimated’’ or “maximum” in the Schedule, that fact shall not constitute the basis for an equitable price adjustment.

(b) Delivery or performance shall be made only as authorized by orders issued in accordance with the Ordering clause.
