452.203-71 Anti-Discrimination and Diversity, Equity, and Inclusion (DEI) Compliance (Dec 2025)
(a) By entering into this contract, the Contractor certifies that:
(1) It is compliant with all applicable Federal anti-discrimination laws and the Equal Protection principles of the U.S. Constitution, and it will remain compliant for the duration of the contract.
(2) Neither it nor any subcontractor or teaming partner operates or funds any program, policy, or initiative that promotes DEI in a manner that violates any applicable Federal anti-discrimination laws, including but not limited to Title VI and VII of the Civil Rights Act of 1964, or the Equal Protection principles of the U.S. Constitution, and the Contractor and any subcontractor or teaming partner will not do so for the duration of the contract.
(b) If the Contractor participates in, facilitates, or funds programs that implicate Title VI of the Civil Rights Act of 1964 or Title IX of the Education Amendments of 1972, as amended, including but not limited to grants to or for schools, colleges, universities, 4-H programs, non-governmental organization (NGO) programs, sports programs, and education-related grants to prisons or other detention facilities, the Contractor certifies that it will remain compliant with those laws, including the requirements set forth in Executive Order 14168, Defending Women from Gender Ideology Extremism and Restoring Biological Truth to the Federal Government, and Executive Order 14173, Ending Illegal Discrimination and Restoring Merit-Based Opportunity.

Payments under the contract are predicated on compliance with the above requirements, and therefore the Contractor is not eligible for funding under the contract or to retain any funding under the contract absent compliance with the above requirements.
(d) This certification reflects a change in the Government’s position regarding the materiality of the foregoing requirements and therefore any prior payment of similar claims does not reflect the materiality of the foregoing requirements to this contract.

FAR 52.212-2 Evaluation – Commercial Products and Commercial Services (NOV 2021) In lieu of this provision, quotes will be evaluated in accordance with FAR 12.203 based on the criteria listed below. Award will be made to the offeror representing the best value to the Government.
(a) The Government will award a contract resulting from this solicitation to the responsible offeror whose offer conforming to the solicitation will be most advantageous to the Government, price and other factors considered. The following factors shall be used to evaluate offers:
Relevant Experience https://www.sam.gov/SAM/ mailto:joshua.franks@usda.gov mailto:joshua.franks@usda.gov
Past Performance
Cost/Price
Technical and past performance, when combined, are significantly more important than cost or price.
Relevant Experience - The Government will consider the extent to which the vendor demonstrates experience performing work similar in scope, size, and complexity to the requirements of this solicitation. Greater consideration will be given to vendors whose experience reflects a strong alignment with the Government’s needs. Due to likely weather variations, flexibility in the delivery schedules listed below will be an important factor in evaluating bid proposals, in addition to price. A statement on the flexibility that you can provide in the delivery schedule along with carrier(s) that may be used. Preference will be given to proposals that can show they can provide flexibility and guarantee trucks will be available to meet determined timelines.
Past Performance - Offerors shall provide completed Past Performance Information Sheets (see Attachment 3) for five (5) relevant contracts (references) completed within the preceding five (5) year period.
Offerors shall also provide Past Performance Information Sheets for all teaming partners and critical subcontractors to include five (5) relevant contracts (references) completed within the preceding five (5) year period. A critical subcontractor is defined as an entity (subcontractor, teaming Contractor) other than the offeror itself that will perform at least 20% or more of the total proposed contract. In addition to the Past Performance Information Sheet for each teaming partner and critical subcontractor, the offeror shall also provide a consent letter executed by each of its proposed partners and critical subcontractors authorizing the release of adverse past performance information to the prime Contractor to allow the prime Contractor an opportunity to respond. A sample Subcontracting/Teaming Partner Consent Form is provided as Attachment 7 to the solicitation.
If no relevant contracts are available, the five (5) most recent contracts completed in the last five
(5) years shall be used. Contracts listed may include those with the Federal Government, State and Local Governments or their agencies, and Commercial Customers. If an offeror has no relevant past performance history, the offeror must affirmatively state that it possesses no relevant past performance history.
The Government will evaluate the offeror’s past performance to assess the degree of confidence that the offeror will successfully perform the required effort. The evaluation will consider recency, relevancy, and quality of past performance.
Price: Total price evaluation will be for the base period, all option periods and in accordance with FAR 52.217-8, up to a six-month extension period. Failure to propose pricing for the base period and all option periods on individual line items may result in a quotation being excluded from further consideration. The offeror’s quotation will be evaluated in accordance with FAR 12.204, to determine if it is fair and reasonable.
(b) Options. The Government will evaluate offers for award purposes by adding the total price for all options to the total price for the basic requirement. The Government may determine that an offer is unacceptable if the option prices are significantly unbalanced. Evaluation of options shall not obligate the Government to exercise the option(s).
(c) A written notice of award or acceptance of an offer, mailed or otherwise furnished to the successful offeror within the time for acceptance specified in the offer, shall result in a binding contract without further action by either party. Before the offer’s specified expiration time, the Government may accept an offer (or part of an offer), whether or not there are negotiations after its receipt, unless a written notice of withdrawal is received before award.
Qualification Requirements **Due to likely weather variations, flexibility in the delivery schedules listed below will be an important factor in evaluating bid proposals, in addition to price.
If you are interested in bidding on this work, please provide:
• A quote to cover costs associated for each truck load.
• Include costs for excess wait times
• Include cost for drop-trailers (include any additional information on cost breakdown or available options or requirements in technical proposal)

NOTICE FOR FILING AGENCY PROTESTS
United States Department of Agriculture (USDA) Ombudsman Program
The USDA is committed to issuing solicitations and awarding contracts in a fair and prompt manner.
The Ombudsman Program for Agency Protests (OPAP) was established to address protest issues within the agency, providing an alternative to costly and time-consuming litigation. Operating independently, OPAP offers relief comparable to that granted by the Government Accountability Office (GAO). Interested parties are encouraged to resolve concerns through USDA’s internal Alternative Dispute Resolution (ADR) process before pursuing external forums such as the GAO.
Concerns may be addressed informally or through a formal agency protest filed with either the Contracting Officer or the Ombudsman.
Informal Forum with the Ombudsman
1. Initial Point of Contact: Interested parties who believe a specific USDA procurement is unfair or otherwise defective should first direct their concerns to the applicable Contracting Officer.
2. Escalation: If the Contracting Officer is unable to address their concerns, interested parties are encouraged to contact the USDA Ombudsman for Agency Protests. Under this informal process, the agency is not required to suspend contract award performance. Utilization of the informal forum does not suspend any time requirement for filing a formal protest with the agency or other forums.
3. Required Information: To ensure a timely response, interested parties should provide the following information to the Ombudsman: solicitation/contract number, contracting office, Contracting Officer, and solicitation closing date (if applicable).
Formal Agency Protest with the Ombudsman
1. Effort to Resolve: Prior to submitting a formal agency protest, protesters must first use their best efforts to resolve their concerns with the Contracting Officer through open and frank discussions.
2. Independent Review: If the protester’s concerns remain unresolved, an Independent Review is available by the Ombudsman. The protester may file a formal agency protest with either the Contracting Officer or, alternatively, with the Ombudsman under the OPAP program. Contract awards or performance will be suspended during the protest period unless justified in writing for urgent and compelling reasons or determined in writing to be in the best interest of the Government.
3. Resolution Timeline: The agency’s goal is to resolve protests within 35 calendar days from the date of filing.
4. Required Information: Protests shall include the information set forth in FAR 33.104(a)(3).
Failure to submit the required information may result in a delay or dismissal of the protest.
5. Timeliness: Protests must be filed within the timeframes specified in FAR 33.104.
6. Submission: Formal protests under the OPAP program should be submitted electronically to SPE.inquiry@usda.gov and the Contracting Officer.
Election of Forum. By initiating a protest with the USDA, the protester agrees not to pursue the same matter with the Government Accountability Office (GAO) or any other external forum while the agency protest is pending. If a protest is filed externally, the agency protest will be dismissed.

JW Toumey Nursery Seedling Shipment for R9 Forests
Description/Specifications/Statement of Work
The JW Toumey Nursery (“the Nursery”) is seeking quotes for the pick-up, transportation, and delivery of tree seedlings from the nursery in Watersmeet, MI to various tree cooler sites throughout Minnesota, Wisconsin, and Michigan during March 15-November 15. The majority, if not all the loads are currently planned to take place from April-June. However, loads outside of that timeframe are possible.
The first four truckloads are estimated to be transported early April 2026, prior to seedling lifting operations. The remaining loads are estimated to begin mid to late April, 2026, but could be sooner or later, depending on weather events.
Unless cancelled by the nursery, one trailer must be ready for loading each morning once seedling lifting has begun (estimated April 15, 2026). The Nursery’s preference is to have one truck and two trailers used for the majority of this project. This way there is always an empty trailer at the Nursery so that it can be loaded and ready for the driver when they return from a load. This year an additional truck/trailer will likely be requested to keep up with timelines and additional deliveries that will be needed. This means that multiple trucks will need to be in rotation at certain times to service all the stops once lifting begins.
The use of drop-trailers has been included in the schedule of items. This is intended to either enhance cooler capacity at drop locations or to be used in emergency situations at drop locations and/or the Nursery in the situation of cooler breakdowns. Some years this is not needed. We are anticipating, at this time, that two will likely be needed. Please ensure that in your bid and proposal, that you are accounting to have additional refrigerated trailers available if requested. It will also be the responsibility of awarded contractor to include in their bid to be able to refuel drop-trailers that are requested during use.
As the season approaches, tentative dates, truckloads, and drop points will be adjusted depending on the availability of the tree seedlings and the planting crew needs at the different cooler locations. The schedule of truckloads and drop points will all become firm once these factors are known. A variation of one day in either direction from the final date that the Nursery requests the seedlings be delivered may sometimes be negotiable.
Bidder must supply information about carrier(s) they plan to use in bid proposal. Truck and driver must be determined 3 days prior to arrival, and this information must be supplied to the nursery at this time.
Due to likely weather variations, flexibility in the delivery schedules will be an important factor in evaluating bid proposals, in addition to price.
This contract is for one year with the possibility of 4 option year renewals
Trailer Specifications/Conditions:
The seedlings must be transported in refrigerated trailers with the capability of maintaining constant internal temperatures between 33 to 37 degrees Fahrenheit. Refrigerated trailers must operate within this temperature range prior to loading seedlings, during the entire transportation route, and maintained until all the seedlings have been unloaded.
The trailers must be a full 53’ long refrigerated trailer, capable of hauling up to 800,000 seedlings per load in bags/boxes. One heavy-duty bag/box holds between 100 to 1,000 seedlings, depending on species and seedling size class. Seedlings are typically packed in either paper bags: 32”x33”x10”, or cardboard boxes: 27”x17.5”x11”. Average weight per bag/box typically varies from 30 to 60 pounds.
Total weight of seedlings per truckload will not exceed 42,000 pounds.
In addition, trailers must not have been previously used to transport chemicals or other hazardous substances that would contaminate the seedlings and must be free of debris from previous shipments.
Loading/Unloading:
Government personnel will be available to load seedlings at the nursery and unload seedlings at delivery locations. Loading at the Nurseries will be with loading dock and forklift and unloading at cooler locations will be by hand.
Loading of the tree seedlings at the nursery must begin between 0400 – 1000 CT for the morning truckload, and between 1100 – 1300 CT for any requested afternoon truckloads. It is likely there will be stand-by time at the Nursery of 2 – 5 hours per trip, as the driver waits to have the truck loaded. Having an empty trailer at the Nursery will help to reduce this stand-by time.
Unloading of the tree seedlings at District sites must begin and conclude during office hours: 0800 – 1630 local time. Changes to the above requirement may be granted if arranged in advance with contract person(s) (e.g. weekend deliveries or after hour deliveries). 24 hours prior to delivery, notify the Forests so they can prepare for the delivery. It is likely there will be stand-by time during the unloading process of 2 – 3 hours per drop.
NOTE: In order to meet the loading, delivery, and unloading during office hours, most trailers may need to be loaded the day before at the nursery and parked overnight near or at the first stop location. Be sure this is included in your cost proposal. Trailer temperature must be monitored to ensure temperatures are always within the specified range.
Truckload Details:
Approximately 24-28 separate one-way truckloads are anticipated with 1 day (or less) intervals between the majority of those deliveries. Weather delays and weekends will spread out the deliveries. The schedule of deliveries will vary based on individual Forest’s needs but will likely rotate between each of the 5 Forests. Actual number of deliveries will vary based on number of seedlings packaged, but a good estimate is listed below.
ESTIMATED Truckload List:
Below is the tentative list of truckloads for the Base Year for your consideration. There are 7 extra loads in the Base Year compared to the option years to account for additional anticipated needs only to be expected in the Base Year. Pease NOTE: the number of truckloads, drop-off order and locations below are just estimates and are subject to change.:
