SECTION B

B-1 GENERAL INFORMATION/OVERVIEW:

This requirement is to purchase 1,530(ea.) wooden pallets of multiple dimensions for shipment via FOB (Destination) to multiple Incident Support Caches.

The applicable North American Industry Classification System (NAICS) code to be assigned to this procurement is anticipated to be 321920, with an associated small business size standard of 500 employees.

Background:

The USDA Forest Service (FS) has a requirement for commercial items: Custom Wooden Pallets. Pallets are used in wildland fire fighting to provide a stable and consistent platform on which to package fire-fighting equipment and supplies for warehouse transport and shipment to incidents.

Requirements:

The pallets shall be fabricated of solid wood free from defects and impurities, using industry standard nails and glue. The pallets shall be ISPM 15 compliant and certified for international export stamped with the proper International Plant Protection Convention (IPPC) symbol.

**See Attachment 1 “1202SC24Q2716 Multiple Pallets Design Specifications” for individual pallet construction requirements. Pallets shall meet construction specifications to ensure they provide a stable and consistent platform when loaded, as per industry standard.

Delivery:

Packaging shall be sufficient to prevent damage and ensure safe delivery at destination. Items shall be packaged a manner that ensures acceptance by common carrier if that shipping method is utilized.

(a) TERMS OF DELIVERY: All deliverables shall be met no later than January 10, 2025. Delivery Locations shall be verified with the Contracting Officer prior to the occurrence of shipping.

(b) In the event Vendor anticipates difficulty in complying with any delivery dates, Vendor shall immediately notify the Contracting Officer and National Cache System POC in writing (e-mail) giving pertinent details, including the date by which the Vendor expects to make delivery.

(c) All shipments shall be Free On Board (FOB) Destination to the appropriate Incident Support Cache(s) and insured against loss or damage and shall carry sufficient insurance to cover the full replacement value of the specific items being shipped, unless otherwise agreed to by the Government in writing.

Invoicing:

Payment requests must be submitted electronically through the U. S. Department of the Treasury's Invoice Processing Platform (IPP) System.

"Payment request" means any request for contractual or invoice payment by the Vendor. To constitute a proper invoice, the payment request shall comply with the requirements identified in the applicable Prompt Payment clause included in this BPA, or the clause 52.212-4 Contract Terms and Conditions - Commercial Items. The IPP website address is:

The Vendor shall also submit an electronic copy of the IPP invoice to the Purchasing Agent at amy.tilley@usda.gov once the invoice has been submitted to IPP. Failure to e-mail the invoice may cause significant delay or possible rejection of payment request. The Vendor must use the IPP website to register access and use IPP for submitting requests for payment per the following website: Vendor Enrollment- Invoice Processing Platform (ipp.gov). Purchase Order Administration:

Any contractual issues, which may arise during the life of this Purchase Order, shall be handled in conformance with specific public laws and regulations (e.g., Federal Acquisition Regulation). Only the Purchase Agent is authorized to formally resolve such problems.

Therefore, the POC and/or Government Technical Monitor and the Vendor are hereby directed to bring all such contractual problems to the immediate attention of the Purchase Agent.

52.209-10 PROHIBITION ON CONTRACTING WITH INVERTED DOMESTIC CORPORATIONS (NOV 2015) As prescribed in 9.108-5(b), insert the following clause:

Prohibition on Contracting with Inverted Domestic Corporations (Nov 2015)

(a) Definitions. As used in this clause- Inverted domestic corporation means a foreign incorporated entity that meets the definition of an inverted domestic corporation under 6 U.S.C. 395(b), applied in accordance with the rules and definitions of 6 U.S.C. 395(c).

Subsidiary means an entity in which more than 50 percent of the entity is owned-

(1) Directly by a parent corporation; or

(2) Through another subsidiary of a parent corporation.

(b) If the contractor reorganizes as an inverted domestic corporation or becomes a subsidiary of an inverted domestic corporation at any time during the period of performance of this contract, the Government may be prohibited from paying for Contractor activities performed after the date when it becomes an inverted domestic corporation or subsidiary. The Government may seek any available remedies in the event the Contractor fails to perform in accordance with the terms and conditions of the contract as a result of Government action under this clause.

(c) Exceptions to this prohibition are located at 9.108-2.

(d) In the event the Contractor becomes either an inverted domestic corporation, or a subsidiary of an inverted domestic corporation during contract performance, the Contractor shall give written notice to the Contracting Officer within five business days from the date of the inversion event.

(d) Comptroller General Examination of Record. The Contractor shall comply with the provisions of this paragraph (d) if this contract was awarded using other than sealed bid, is in excess of the simplified acquisition threshold, as defined in FAR 2.101, on the date of award of this contract, and does not contain the clause at 52.215-2, Audit and Records-Negotiation.

(1) The Comptroller General of the United States, or an authorized representative of the Comptroller General, shall have access to and right to examine any of the Contractor’s directly pertinent records involving transactions related to this contract.

(2) The Contractor shall make available at its offices at all reasonable times the records, materials, and other evidence for examination, audit, or reproduction, until 3 years after final payment under this contract or for any shorter period specified in FAR subpart 4.7, Contractor Records Retention, of the other clauses of this contract. If this contract is completely or partially terminated, the records relating to the work terminated shall be made available for 3 years after any resulting final termination settlement. Records relating to appeals under the disputes clause or to litigation or the settlement of claims arising under or relating to this contract shall be made available until such appeals, litigation, or claims are finally resolved.

Alternate I (FEB 2000). 52.216-2 ECONOMIC PRICE ADJUSTMENT-STANDARD SUPPLIES (NOV 2021)

As prescribed in 16.203-4(a), insert the following clause:

Economic Price Adjustment-Standard Supplies (Nov 2021)

(a) The Contractor warrants that the unit price stated in the Schedule for _________ [offeror insert Schedule line item number] is not in excess of the Contractor’s applicable established price in effect on the contract date for like quantities of the same item. The term "unit price" excludes any part of the price directly resulting from requirements for preservation, packaging, or packing beyond standard commercial practice. The term "established price" means a price that-

(1) Is an established catalog or market price for a commercial product sold in substantial quantities to the general public; and

(2) Is the net price after applying any standard trade discounts offered by the Contractor.

(b) The Contractor shall promptly notify the Contracting Officer of the amount and effective date of each decrease in any applicable established price. Each corresponding contract unit price shall be decreased by the same percentage that the established price is decreased. The decrease shall apply to those items delivered on and after the effective date of the decrease in the Contractor’s established price, and this contract shall be modified accordingly.

(c) If the Contractor’s applicable established price is increased after the contract date, the corresponding contract unit price shall be increased, upon the Contractor’s written request to the Contracting Officer, by the same percentage that the established price is increased, and the contract shall be modified accordingly, subject to the following limitations:

(1) The aggregate of the increases in any contract unit price under this clause shall not exceed 10 percent of the original contract unit price.

(2) The increased contract unit price shall be effective-

(i) On the effective date of the increase in the applicable established price if the Contracting Officer receives the Contractor’s written request within 10 days…
