Amendment 0004 December 3, 2021

23. Are there special procedures that go with confirming the air transportation for people attending the conferences?

See attachment D.2.2 IQC Manual, Part II, Section F.

24. Are you looking for the cost of transaction fees, change fees, rebooking and cancellations for air tickets at this point?

No.

25. If someone has confirmed space for you and done work based on the hourly fees that are in the agreed contract and there is a force majeure situation, do you pay the vendor for services rendered?

Rates requested in the payment schedule are daily rates. In cases of force majeure, contractors may submit a request for equitable adjustment to the Contracting Officer for approval.

26. Are there hotel chains that we need to push business towards and representation that needs to be copied in on all hotel contracts or do we use our own global resources?

There are no hotel chain preference; however, pursuant to attachment D.2.1, Section F.4, 4-Star hotels is the minimum lodging required.

27. For external services that confirm services for conferences, do you require multiple bids from vendors with approval processes, and timeliness of decisions?

No. Logistics contractor will be responsible for submitting a full proposal for each task order request issued.

28. RFP Section E.5 FAR 52.209-5 - Certification Regarding Responsibility Matters (Aug

2020) provides this FAR clause, but RFP Volume II - Price paragraph e. Solicitation Provision does not require this clause.

Question: Please confirm that Offerors should include this clause in this section of Volume II.

If this certification cannot be completed for verification in SAM.gov, please complete and return a copy in Volume II of your proposal.

29. RFP Section B. Relevant Past Performance, 2nd Paragraph - states "Point of contact for each submitted effort and contact information (name and phone number/email) may be included in the past performance narrative. However, each Offeror shall submit the Past Performance Questionnaire (See Section E.9.1) to its three past performance references for completion or provide the necessary information (Contract Number, Task Order Number, etc.) for retrieving completed CPARS evaluations.

Question: If CPARS exists on file for each of Offeror's past performance references, can you clarify what additional identifying "necessary information" Offeror should include in the narrative other than Contract Number, Task Order Number?

For a completed CPARS, contract number and task order numbers are sufficient to retrieve the reports.

30. Reference: Section D.1.26, Page 27, Paragraph 1. Subcontracting Plan

Question: A subcontracting plan is typically required for awards in excess of $750,000.

Please clarify whether a Subcontracting Plan will be required thirty days after award of the IDIQ contract or when task orders awarded to a contractor total $750,000?

Subcontracting plan will be required of all successful offerors that are identified as other than small 30 days after the awards of the IDIQ contracts.

31. Reference: Section E.2.8. Quote Contents, Page 35, Section B. Relevant Past Performance.

Question: Can the contractor include the CPARS Evaluation as an attachment (that would not count towards the page limit)?

Please provide the information for retrieval of the reports. USTDA will retrieve completed CPARS reports being submitted for past performance evaluation.

32. Reference: Section B3, Page 2, Paragraph 11

Section D1.11.2, Page 22, Paragraph 1

Question: Section B3 of the Task Order references reimbursable items such as airfare, meals & incidentals, etc. Section D1.11.2 indicates that the government is obligated to pay Contractor for satisfactory performance not later than seven (7) days from receipt of payments out of such amounts that are paid to the Contractor. As airfares and other direct expenses may be costly for nonprofits to carry for an extended period, are subcontractors able to invoice the government more frequently than once/month?

D.1.11.2 addresses the Prime contractor’s responsibility for paying its subcontractors no later than 7 days from receipt of payment from the Government.

Regarding reimbursables, contractors may invoice the government at any time after a reimbursable expense is incurred by the contractor.

33. Reference: Section D.1.4, Page 17

Question: Section D.1.4 describes the types of activities that will be performed under this task order, i.e. reverse trade missions, conferences and workshops, etc for foreign project sponsors that are brought into the U.S. However, in Section C4 of the Events Manual, says that participation in events in the United States are limited to U.S. individuals, U.S.

firms and U.S. consultants. In addition, one paragraph later, the Events Manual contradicts the previous paragraph. Please clarify that conferences and events in the United States are open to USTDA eligible countries.

To clarify, reverse trade missions involve bringing foreign project sponsors to the United States. Conferences, workshops, and other activities can be held in the United States or overseas.

For events held in the United States, participation at and/or sponsorship of a USTDA event is limited to invited guests from USTDA eligible countries and U.S.

Individuals, U.S. Firms or U.S. Consultants in order to fulfill USTDA’s mandate to promote United States private sector participation in development projects and provide opportunities for the use of United States exports.

For overseas events, the Contractor is also advised that individuals or organizations that are excluded in SAM, located at https://sam.gov, may not attend or sponsor overseas USTDA events.

34. Reference: Section Volume 1(b), Page34, Paragraph 1

Question: Volume I(b) speaks to relevant past performance for no more than (3) relevant Government and/or commercial contracts and/or major subcontracts. May we also submit a past performance narrative for a consultancy agreement?

If it meets the requirement for recency and relevancy (scope, size, and complexity), it may be submitted evaluation.

35. Reference: Section B.5.1, Page 4

Section Volume 1(a) 3, Page 34, Paragraph 1

Question: In Section B.5.1 “Project Manager” is used as the first job title. In the Management Approach and Staffing Capabilities section on page 34, “Program Manager” is used. Are these two titles interchangeable or are they separate functions?

Yes, it is interchangeable. We will update this section of the requirement to reflect Project Manager.

36. Reference: Section B.5.1, Page 4

Question: How do accounting and financial personnel costs get reflected in the Fixed Daily Rates on page 4?

The fixed rates should be fully burdened and should include applicable G&A.

However, if the contractor’s accounting system identify these labor costs individually or separately from G&A cost, these positions may be identified at the task order level.

37. Reference; Section Volume 2, Page 35

Question: How do we access the SF 1449 Form mentioned on page 35?

All pricing information should be submitted using the format and labor categories in Section B.5.1 pages 4 and 5. RFP will be updated to reflect this information.

38. Reference: Section Volume 2, Page 35

Question: Where can we find the FAR 52.209-7 and the FAR 52.212-3(b) Solicitation Provisions required on page 35?

Please complete information in sam.gov, however for information that cannot be competed electronically, referenced FAR provisions may be accessed on the acquisitions.gov website.

39. 1. Reference: Section Volume 1 (a), Page 32

Question: In the case of (redacted), many of our events are organized by ourselves and not for any specific client. Can we list a contact from an NGO or company we partnered with on an event rather than a specific client?

If the respondent is able to provide an objective assessment of the perspective offeror’s past performance on those events, that would be acceptable.

40. 2. Reference: Section B.5.1, Page 4

Question: What is the distinction between a Conference/Event Coordinator and a Logistics Coordinator?

Logistics Coordinators typically handle all logistics for the actual event and/or conference. Conference/Event Coordinators oversee all arrangements for the event and/or conference, which may include identifying speakers, panelists, developing itineraries, etc.

41. Is there a way to know which larger firms might be interested in a small minority owned event company?

We don’t have that specific knowledge; however, successful offerors identified as other than small businesses will be required to submit a subcontracting plan for working with small businesses to include minority owned.

42. Section B.5.1 (Fixed Daily Rates), Pages 4-5

Question: Please confirm that the seven (7) labor categories outlined in this section are the only ones to be listed with proposed fixed daily rates in our technical proposal. Can additional labor categories beyond these seven be included as well with daily labor rates or just additional labor categories may be proposed at the task order level?

Yes, that is correct.

43. Section D.1.26 (Subcontracting Plan), Page 27

Question: Is the requirement for a small business subcontracting plan for awardees, who do not meet the small business size standards, applicable to all or only select task orders?

If applicable to all task orders, is there a minimum dollar amount required for contractors to spend on small business subcontracts?

Approved subcontracting plan shall be utilized for task orders expected to exceed $750,000.00. However, it is our expectation that small businesses be utilized as subcontractors whenever possible and at any dollar value.

44. Section E.2.8 (Quote Contents) “Characters shall be set at no less than normal spacing and 100% scale,” Page 31

Question: What does USTDA consider to be “normal” spacing? Does this refer to kerning (space between letters on a line), leading (space between lines of text), or both? If specific leading is required, please provide the numerical value considered “normal” so we can ensure we are complying.

We consider normal spacing to be one space between each word or punctuation.

45. Section E.2.8 (Quote Contents) “Page numbers, company logos, and headers and footers may be within the page margins ONLY, and are not bound by the 12-point font requirement.” Page 31

Question: Please clarify the margin instructions - does this mean everything has to be inside the one-inch margins as opposed to located within the margins?

Please follow directions in Section E.2.8.

46. Reference : Section A3i Page 34 Paragraph 1

Can the same person be presented /serve in multiple positions in the Key Personnel?

Personnel submitted for proposed labor categories must meet the minimum qualifications for the positions they are being proposed to fulfill. Having one individual proposed for multiple key labor categories required for the execution of the events under resulting task orders may represent a weakness in the contractor’s technical proposal.

47. Reference : Section A3ii Page 34 Paragraph 2

Can the same person be presented/serve in multiple positions on the team?

See response to question 46.

48. Reference: Section B.5.1, Page_4____, Paragraph_1___

Can the same person be presented in multiple labor categories in the budget?

Do we include personnel names in the budget categories?

See response to question 23. No name of personnel is required for submission of Section B.5.1. Fixed Daily Rates

49. Reference: Section B. Page 34, Paragraph 1

A team is a major sub-contractor of a project if its subcontract is 20% of the total project price. Can we confirm that the total price is with reimbursables or just the fixed price without reimbursable?

Yes, 20% of the total contract price to include reimbursables.

50. Is it possible to obtain some information from you so that SPI can reach out to potential partners? For example, the names of companies which attended the pre-proposal conference on 10 November 2021 would be very helpful. In addition, would you please provide a web link to the 2016 award information such as companies successfully selected in the IQC pool or any existing project reports?

A public list of the attendees was provided in Amendment 0003. Attached is the award notice for the current pool that was published etc.

51. On Pg. 32 of 45: Event Planning and Management Expertise. Offeror shall provide three examples of activities undertaken in each of the following four categories listed below;

Question: Can the 12 examples all come from a proposed subcontractor within the consortium?

Yes. If any member of the teaming arrangement has relevant experience for addressing factor 1, that information may be provided for evaluation.

52. On Pg. 34 of 45: …offerors shall provide a brief narrative for no more than three (3) relevant Government and/or commercial contracts (prime contracts, task/delivery orders, and/or major subcontracts) it wishes to submit to USTDA for its past performance evaluation.

Question: Can the three (3) relevant Government and/or commercial contracts all come from a proposed subcontractor within the consortium?

The prime contractor bears full responsibility for performance of any resulting contract. Therefore, although subcontractors past performance may be submitted for evaluation, those past performance record may not be evaluated as highly as the prime contractors’ past performance record.

B.1 MULTIPLE-AWARD INDEFINITE-DELIVERY, INDEFINITE-QUANTITY

CONTRACT

This is a multiple-award indefinite-delivery, indefinite-quantity (“IDIQ”) contract (known herein as the indefinite-quantity contract (“IQC”)) with fixed daily rates, to provide non-personal services to complete the requirements identified in Section D. Task orders shall be placed under this IDIQ contract using the following contract type: firm-fixed-price (“FFP”) with cost-reimbursable line items for other direct costs (“ODCs”), which includes travel. No profit or fee shall be added to ODCs.

IDIQ MINIMUM: The contract minimum number of task order awards is established at one (1) task order award per awardee.

IDIQ MAXIMUM: The contract maximum dollar amount is established at $75,000,000.00. This contract maximum is for all orders under the multiple-award IDIQ, including all option periods. The maximum aggregate dollar value of all task orders issued under this IDIQ contract cannot exceed the contract ceiling.

Each Contractor is required to provide, if requested by USTDA, up to a maximum of $5,000,000.00 of services during each year of the IQC period. The maximum amount per task order is not to exceed $2,000,000.00. Estimates for reimbursable items should be made carefully with this limitation in mind.

B.3 TASK ORDER PRICES

Contractor’s offer for a particular task order shall consist of a quotation, using rates from Section B.5 of this contract for a firm-fixed-price for direct labor, based upon the daily rate for the personnel to be used under that particular task order, times the number of days each individual needs to perform the particular services. The pricing request for the task order will specify which other direct costs, such as marketing and advertising expenses, will be included within the fixed price portion, and which other direct costs, such as international airfare, shall be estimated by the Contractor when preparing its offer and will be

Solicitation No. 1131PL22RIQ0001 reimbursed based upon actual costs. Contractor’s estimate of the other direct costs, such as meals associated with the Reverse Trade Missions, Conferences, Workshops, Training, or Other Events, airfares for foreign delegates, and interpretation, if required, shall be included in the reimbursable portion of the Task Order Rate Chart. The fixed-price portion and the reimbursable portion shall constitute the total contract value, which shall not exceed the established ceiling price specified in this IQC.
