About this file
This is an Appendix LL conflict of interest clause from a Delaware County, Pennsylvania contract opportunity for evaluation services related to the Department of Juvenile Detention and Rehabilitative Services' program impact evaluation project (SSCP-000023 JDRC). The clause establishes fundamental conflict of interest restrictions governing the contractor's relationship with the County and its employees. The contractor and its agents are prohibited from being County agents or employees, and no County officer, member, or employee involved in the agreement may participate in decisions affecting their personal interests or those of any entity in which they hold a direct or indirect interest. The contractor must certify that it currently holds no conflicting interests and shall not acquire any during the contract term, and must ensure that board members, officers, and directors similarly have no adverse interests.
The agreement imposes a six-month non-recruitment restriction on the contractor and its affiliates, prohibiting them from recruiting, employing, or engaging County employees for any capacity—including part-time or consulting work—without prior written County consent. This restriction applies for the entire contract term and for six months following termination or expiration, with an exception for County employees who have ceased employment for more than six months prior to being hired by the contractor. This non-recruitment provision survives contract termination or expiration and remains binding throughout the specified period.

APPENDIX LL
(L:Contracts_2526)StandardAppendices_AppendixLL 7/25
CONFLICT OF INTEREST
No Contractor or agent of Contractor shall be an agent of the County or an employee of the County. No officer, member or employee of the County who exercises any function or responsibilities under this Agreement, shall participate in any decision relating to this Agreement which affects his/her personal interest or the interest of any corporation, partnership or association in which he/she is, directly or indirectly, interested; nor shall any such officer, member or employee of the County or member of its governing body have any interest, direct or indirect, in this Agreement of the proceeds.
Contractor covenants that it presently has no interest, and it shall not acquire any interest, direct or indirect, which would conflict in any manner or degree with the performance of this Agreement, and it shall not knowingly employ any person having such interest. Contractor further certifies that no member of the board of Contractor or any of its officers or directors has such an adverse interest.
At no time during the term of this Agreement or for a period of six months immediately following the expiration or termination of this Agreement for any reason shall Contractor or its affiliates attempt to recruit, employ, or use the services of, directly or indirectly (including any part time or consulting work), any employee of the County without the County's prior written consent. The restrictions set forth in this paragraph shall not apply to an employee of County who has ceased working for County for more than six (6) months at the time he or she is hired by Contractor. This paragraph will survive termination or expiration of the Agreement.
