About this file

This Request for Proposal (RFP 26016) is issued by Ada County Procurement for tire recycling services at the Ada County Landfill located at 10300 N. Seaman's Gulch Road, Boise, Idaho. Ada County seeks qualified vendors to provide pickup, transportation, and recycling of various tire types including passenger vehicle, truck, tractor, and rubber track tires from the landfill's waste diversion processing area. The landfill currently diverts approximately 300 tons of used tires annually, or approximately 25 tons per month. Vendors must acknowledge receipt of notifications within one business day and remove tires within three business days of notification. Tire removal operations are available Monday through Friday, 8:00 a.m. to 4:00 p.m., excluding observed holidays. The proposal deadline is January 23, 2026, at 4:00 p.m. local time, with electronic submission required through the Bonfire platform. A Board of Ada County Commissioners meeting to consider proposals for award is scheduled for February 10, 2026, at 9:00 a.m. The contract term is effective through September 30, 2026, with optional renewal for additional one-year terms subject to budget appropriation.

Vendors must submit pricing on a per-ton basis through the electronic cost proposal form. The landfill cannot guarantee total tonnage delivered and estimates are approximate. Vendors may choose between two tire handling methods: the "Live Load" method requiring on-site presence during loading, or the "On-Site Storage" method utilizing staged roll-off containers. Optional services including on-site tire grinding or shredding may be proposed but will not impact evaluation scoring or award eligibility. Vendor proposals will be evaluated on a 100-point scale based on compliance with RFP requirements (10 points), approach to the project (30 points), experience particularly with governmental entities (20 points), references and service quality (10 points), and anticipated project costs (30 points). Additional presentation and interview sessions may award up to 50 bonus points at the Committee's discretion. Required insurance includes Workers' Compensation, Employers' Liability, Commercial General Liability with Ada County as additional insured, and Business Automobile Liability, each meeting specified minimum coverage limits with AM Best ratings of A VIII or better.

REQUEST FOR PROPOSAL

Ada County Landfill Tire Recycling Services 2026

OWNER: Solid Waste Management

PROJECT: Ada County Landfill Tire Recycling Services 2026

INTRODUCTION

Ada County (“County”) is seeking proposals from qualified vendors to provide services for the pickup, transportation, and subsequent recycling of tires from the Ada County Landfill, located at 10300 N. Seaman’s Gulch Rd., Boise, ID 83714, as further detailed below.

BACKGROUND

The Ada County Landfill (“Landfill”), which began operations in 1972, spans nearly 2,700 acres off Seaman's Gulch Road, a few miles northwest of Boise. The Landfill provides crucial waste processing services, ongoing environmental monitoring, and reporting, regulated by Federal, State, and local agencies to safeguard the health and safety of Ada County residents. The Landfill's Waste Diversion Processing Area is utilized to divert recyclable materials from the Landfill, such as tires, with approximately 300 tons of used tires diverted in Fiscal Year 2025. This effort not only reduces environmental impacts but also increases landfill capacity. To enhance these efforts, Ada County is actively seeking proposals from qualified vendors for the pickup, transportation, and recycling of tires of various sizes, including passenger vehicle, truck, tractor, and rubber tracks, before they enter the landfill. Vendors may also include, as part of their proposed services, the optional use of on-site tire grinding or shredding.

SCOPE OF WORK

I. OVERVIEW:

Ada County is seeking proposals from qualified Vendors to provide services for the pickup, transportation, and subsequent recycling of tires from the Ada County Landfill (“Landfill”). The Awarded Vendor (“Vendor”) must have the ability to collect tires of various sizes, including but not limited to, passenger vehicle, truck, tractor, and rubber track tires.

The Vendor must work with the Ada County Landfill to ensure the Landfill remains compliant with Idaho Code 39-6501 (13)(f), which states in part:

The following activities shall not constitute "storing" or "storage" of waste tires:

(f) An approved solid waste transfer station or solid waste landfill collecting less than one thousand five hundred (1,500) waste tires prior to transfer to an approved waste tire storage or disposal site.

Tires dropped off by the public are stored in an open bunker located at the Landfill. It is estimated that the Landfill receives approximately twenty-five (25) tons per month, or three hundred (300) tons per year.

In addition to the required tire pickup, transportation, and recycling, Vendors may propose on-site tire grinding or shredding services. Inclusion of these services in a proposal is optional and will be considered separately from the required deliverables.

II. REQUIRED DELIVERABLES / TASKS:

The Vendor, at a minimum, will be required to provide the following services:

1. Tire Recycling:

The Vendor must recycle all tires removed from the Landfill. Once the Vendor disposes of the tires at a recycling facility, the Vendor must provide documentation to the Landfill as proof that the tires were recycled.

2. Tire Disposal:

In the event the Vendor cannot accept tires for recycling due to the lack of market demand or other circumstances beyond the Vendor’s control, the Vendor must notify Landfill staff and provide detailed information regarding the issue and the proposed “next steps” that will be taken to dispose of the tires.

o The Landfill may temporarily make land available for the Vendor to grind or shred the tires on-site and deliver the shredded tires for disposal at the Landfill’s active face.

o The Landfill requires thirty (30) days’ prior notice to consider accommodating such a request.

3. Tire Removal Schedule:

Tires must be removed from the Landfill as determined by Landfill staff and in accordance with the Idaho Code provisions referenced above.

Landfill staff will be responsible for monitoring tire accumulation and notifying the Vendor, via email, letter, or other forms of communication, when tire removal is needed.

Tires may be removed Monday through Friday, 8:00 a.m. to 4:00 p.m., excluding observed holidays (https://adacounty.id.gov/landfill/contact-connect/landfill-hours-of-operations/).

4. Response Time:

Upon receipt of notification from the Landfill, the Vendor will have three (3) business days to remove the tires.

The Vendor must acknowledge receipt of the notification from the Landfill within one (1) business day. The Vendor’s failure to acknowledge receipt of the notification does not extend the allotted number of business days for tire removal.

5. Tire Tonnage:

All tire tonnage estimates are approximate, and the Landfill cannot guarantee the total tons delivered.

6. Tire Sorting and Removal:

The Landfill will not sort the tires by size, weight, condition, or any other characteristic or implied value.

The Vendor must be able to remove and process a “mixed load” of tires, including those with and without rims.

The Vendor must remove and process all tires without exception.

https://adacounty.id.gov/landfill/contact-connect/landfill-hours-of-operations/ https://adacounty.id.gov/landfill/contact-connect/landfill-hours-of-operations/

7. Scale Weighing:

The Vendor will be required to enter and exit the Landfill through the scales for weighing.

Scale weights will be recorded by both the Landfill and the Vendor and will be used for billing purposes.

8. Tire Handling Methods:

The Vendor may utilize one (1) of the following methods for the removal of tires for recycling:

A. “Live Load” Method o Upon notification by the Landfill that tires are ready for removal, the Vendor may provide an empty container or trailer capable of removing as many tires as possible.

o Landfill staff will load the tires into the container or trailer, and the Vendor must remain on-site during the loading process.

o Dropping off a container or trailer and returning at a later time or date is not permitted under this method.

B. “On-Site Storage” Method o The Vendor may stage a roll-off container at the Landfill, which will be filled by Landfill staff as tires are accumulated over time.

o Upon notification by the Landfill that the container is ready for removal, the Vendor must first provide an empty roll-off container and then remove the full roll-off container.

o Failure to provide the Landfill with an empty roll-off container is not permitted under this method.

III. OPTIONAL DELIVERABLES / TASKS:

In addition to the required services listed above, Vendors may propose the following optional services. Inclusion of these services is not required but may be evaluated as part of the proposal:

1. Tire Grinding or Shredding Services:

The Vendor may propose providing on-site tire grinding or shredding services at the Landfill.

If proposed, the Vendor will be responsible for providing all necessary equipment, labor, and safety measures to perform grinding or shredding activities.

The Vendor must coordinate with Landfill staff regarding timing, location, and safety protocols for any on-site grinding or shredding activities.

Any material resulting from grinding or shredding must be disposed of in accordance with Landfill procedures and Idaho Code requirements.

2. Tire Handling Method

If the Vendor proposes on-site grinding or shredding, the Vendor may utilize the following method for the removal and disposal of ground or shredded tires at the Landfill:

A. “Self-Transport” Method o Upon notification by the Landfill that the tires are ready for removal or disposal, the Vendor will be responsible for transporting the tires to the Vendor’s grinder or shredder for processing.

o The Vendor will be responsible for loading the ground or shredded tires into containers or trailers, weighing the material at the Landfill scale, and transporting the processed tires to the Landfill’s active face for disposal.

THIS SERVICE AGREEMENT (“Agreement”) is entered into ___________________, (“Effective Date”) by and between Ada County, a duly formed and existing county pursuant to the laws and Constitution of the State of Idaho (“County”), and _______________ (“Vendor”). County and Vendor may be collectively referred to herein as the “Parties” and individually, as a “Party.”

WHEREAS, County issued RFP No. 26016 to provide services for the pickup, transportation, and recycling of tires from the Ada County Landfill;

WHEREAS, the Board of Ada County Commissioners selected Vendor and awarded the contract on ____________.

NOW, THEREFORE, in consideration of the mutual promises and covenants contained herein and other good and valuable consideration, the receipt and sufficiency of which is hereby acknowledged, the Parties agree as follows:

I. DOCUMENTS INCORPORATED BY REFERENCE

The contract documents include this Services Agreement, Ada County Request for

Proposals (RFP) 26016, including any Addenda issued in connection therewith, and Vendor’s

Proposal (collectively “Contract Documents”), all of which are hereby incorporated by reference and made a part hereof.

II. PURPOSE AND SCOPE

County and Vendor desire to enter into an agreement for Vendor to provide Ada County

Landfill (the “Landfill”) services for the pickup, transportation, and subsequent recycling of tires from the Landfill, as more specifically described in the Contract Documents.

III. TERM AND RENEWAL

The term of this Agreement shall be effective as of the Effective Date and shall remain in effect until September 30, 2026, unless otherwise terminated under the terms of this Agreement.

The County may, solely at its option, and when and if it duly budgets and appropriates funds from revenues legally available to it for the ensuing fiscal year, renew this Agreement for additional one-year terms. Each Renewal Term shall commence on October 1 of the fiscal year following adoption of the County budget and shall terminate on September 30 of the following calendar year.

IV. VENDOR’S OBLIGATIONS

A. Services. Provide the services at the cost outlined in the Contract Documents.

B. Insurance. Provide insurance coverage as described in Exhibit D of this

Agreement. Certificates of Insurance evidencing the coverages required herein shall be provided to County prior to the start date of the Agreement. All certificates must be signed by an authorized representative of the Vendor’s insurance carrier and must state that the issuing company, its agents, or representatives will provide County thirty (30) days written notice prior to any policies being canceled. Renewal certificates must be provided to County within thirty (30) days after the effective date of the renewal.

C. Ownership of Information. Vendor understands and agrees that all electronic data, documents, and information remain the property of the County. Should this Agreement terminate, or at any time the County requests the electronic data, documents, and information be returned, Vendor agrees to return all County data, documents, and information to the County within thirty (30) days of termination or the date requesting return. In no event shall Vendor maintain copies of County data, documents and information that are returned to County.

D. Nondisclosure of Information. Vendor acknowledges that much, if not all, of the material and information which has or will come into Vendor’s possession or knowledge in connection with the performance of this Agreement, consists of confidential and proprietary information or “Confidential Information.” Vendor agrees to hold such Confidential Information in strictest confidence and agree not to release such information to any individual or entity.

Vendor further agrees not to make use of Confidential Information for Vendor’s own benefit or for the benefit of any third parties, other than for the performance of this Agreement, and not to release or disclose it to any other party either during the term or after the termination of this Agreement. Vendor is solely responsible for maintaining the security of such Confidential

Information and for complying with all federal, state, and local laws, regulations, or other requirements governing the privacy and non-disclosure of such information.

The foregoing obligations shall not apply to any information which: a) is or becomes known publicly through no fault of the receiving party; or b) is learned by the receiving party from a third party entitled to disclose it; or c) is already known to the receiving party before receipt from the disclosing party as shown by the receiving party’s written records; or d) is independently developed by the receiving party, as shown by the receiving party’s written records; or e) must be disclosed by operation of law.

E. Indemnification. Vendor agrees to indemnify, defend, and hold harmless County and its employees and agents from any claims, losses, costs, and expenses, including, but not limited to, attorney’s fees, arising out of any errors, omissions, intentional torts, non-compliance with law or regulations, or other negligence on the part of Vendor or its employees and agents.

V. DUTIES OF COUNTY

A. Payment.

1. As consideration for the services to be performed under this Agreement, County agrees to pay Vendor $ ____________ per ton.

2. As a condition precedent for payment due under this Agreement, Vendor shall submit an invoice, unless otherwise agreed in writing by the County, requesting payment for services properly rendered and expenses due hereunder. Vendor’s invoice shall describe with reasonable particularity each service rendered, the date thereof, and the person(s) rendering such service. Each invoice shall bear the signature of Vendor, which signature shall constitute Vendor’s representation to the County that the services indicated in the invoice have reached the level stated, have been properly and timely performed as required herein, and have been reasonably incurred in accordance with this Agreement; that all obligations of Vendor covered by prior invoices, if any, have been paid in full; and that the amount requested is currently due and owing, there being no reason known to Vendor that payment or any portion thereof should be withheld. Should the

Agreement not be renewed or be otherwise terminated, submission of Vendor’s invoice for final payment shall further constitute Vendor’s representation to the County that, upon receipt by the

County of the amount invoiced, all obligations of Vendor to others, including its subcontractors, incurred in connection with the services of Vendor under this Agreement, will be paid in full.

3. In the event the County determines that Vendor has failed to perform any obligation under this Agreement within the times set forth herein, the County may withhold from amounts otherwise due and payable to Vendor the amount determined by County as necessary to cure the default until the County determines that such failure to perform has been cured. Withholding under this clause shall not be deemed a breach entitling Vendor to termination or damages, provided that

County promptly gives notice in writing to Vendor of the nature of the default or failure to perform, and in no case more than ten (10) business days after it determines to withhold amounts otherwise due. A determination of the County set forth in a notice to Vendor of the action required and/or the amount required to cure any alleged failure to perform shall be deemed conclusive. The County may act in accordance with any determination which has become conclusive, without prejudice to any other remedy available to it at law or equity, to take all or any of the following actions: (1) cure any failure or default; (2) pay any amount so required to be paid and to charge the same to the account of Vendor; or (3) set off any amount paid or incurred from amounts due or to become due to Vendor.

4. The County shall make payment to Vendor of all sums properly invoiced within thirty (30) days of the County’s receipt of such invoice.

V. MUTUAL OBLIGATIONS

A. Independent Contractors. Nothing in this Agreement shall be construed to create an employment, agency, joint venture, or partnership relationship between the Parties. The relationship between County and Vendor is and shall remain that of independent Parties to a contractual relationship as set forth in this Agreement. No Party is authorized or permitted to act as an agent or employee of the other Party.

B. Incorporation by Reference; Entire Agreement. This Agreement and Recitals, constitute the complete and entire agreement between the Parties, and supersede all other agreements and understandings, written and oral, between the Parties with respect to the subject matter hereof.

C. Governing Law; Venue. This Agreement shall be governed by the laws (without regard to conflicts of laws) of the State of Idaho. In the event any legal proceeding is instituted between the Parties arising out of this Agreement, such legal proceeding shall be instituted in the courts of the County of Ada, State of Idaho, and each of the Parties agrees to submit to the jurisdiction of such courts.

D. Severability. If one or more of the provisions contained in this Agreement shall, for any reason, be determined by a court of competent jurisdiction to be invalid, illegal, unconscionable, or unenforceable, such provision(s) shall be severed from the Agreement and the remainder of the Agreement shall be given effect by the Parties as if such provision(s) never had been part of the Agreement.

E. Assignment. Neither Party may assign its rights or obligations hereunder without the written consent of the other Party.

F. Modification. The Parties hereto may at any time hereafter modify or amend this

Agreement by a subsequent written agreement executed by both County and Vendor. This

Agreement may not, however, be modified or amended orally or by any act of the Parties.

G. Waiver. No covenant, term or condition, or the breach thereof, shall be deemed waived, except by written consent of the Party against whom the waiver is claimed. Any waiver of the breach of any covenant, term or condition of this Agreement shall not be deemed to be a waiver of any other covenant, term, or condition herein.

H. Section Headings. The section headings contained in this Agreement are for reference purposes only and shall not affect the meaning or interpretation of this Agreement.

I. No Third-Party Beneficiaries. It is the intention of the Parties that this Agreement shall not be construed or intended to create any rights or benefits in favor of any individual or entity not a party to this Agreement, and no individual or entity shall be considered to be an intended or implied third-party beneficiary under this Agreement.

J. Authority. Each individual executing this Agreement on behalf of an entity represents and warrants that he or she is duly authorized to execute and deliver this Agreement on behalf of said entity in accordance with duly adopted organizational documents or agreements and, if appropriate, a resolution of the entity, and that this Agreement is binding upon said entity in accordance with its terms.

K. Attorney Fees. In the event a controversy, claim, or action arises between the

Parties to this Agreement regarding the enforcement of its terms and conditions, or the breach of any of its provisions, the prevailing Party shall be entitled to recover from the other Party all costs and expenses incurred by the prevailing Party, including reasonable attorney’s fees, regardless of whether such controversy, claim, or action is prosecuted to judgment or appealed.

L. Notice. Any notice under this Agreement shall be in writing and be delivered in person, by public or private courier services (including U.S. Postal Service Express Mail), or by certified mail with return receipt requested. All notices shall be addressed to the Parties at the following addresses or at such other addresses as the Parties may from time to time direct in writing:

Any notice shall be deemed to have been given on the earlier of: (a) actual delivery or refusal to accept delivery; or (b) the date of mailing by certified mail. Actual notice, however, and from whomever received, shall always be effective.

M. Termination. Either Party, upon thirty (30) days written notice, may terminate this

Agreement, with or without cause. In addition, this Agreement may be terminated by either Party in the event of a breach of a material term of this Agreement. Upon any breach of a material term, the Party seeking a remedy shall provide written notice of the breach to the breaching Party. The breaching Party shall have ten (10) business days to cure said breach. Failure to cure said breach within ten (10) business days constitutes grounds for immediate termination of this Agreement, at the sole discretion of the non-breaching Party.

N. Certification Regarding Ownership. Pursuant to Idaho Code § 67-2359, Vendor certifies that it is not currently owned or operated by the government of China and will not, for the duration of this Agreement, be owned or operated by the government of China.

O. Certification Regarding Anti-Boycott of Israel. Pursuant to Idaho Code

Agreement engage in, a boycott of goods or services from Israel or territories under its control.

P. Certification Regarding Anti-Boycott of Certain Sectors. Pursuant to Idaho
