About this file
This is an AIA Document A133-2019 Standard Form of Agreement between the Savannah-Chatham County Public School System (SCCPSS) and a Construction Manager as Constructor for the Garden City Elementary School Renovation Project located at 4037 Kessler Avenue, Savannah, Georgia 31408. The agreement establishes the terms and conditions for Construction Management at Risk (CMR) services, which will be procured through formal sealed proposals (RFP C27-03) funded by ESPLOST. The Construction Manager will provide both preconstruction phase services—including preliminary program evaluation, cost estimating, scheduling, constructability analysis, and recommendations on materials and building systems—and construction phase services involving overall project administration, cost control, daily site management, and progress monitoring. The contract structure includes two distinct phases: the preconstruction phase concluding with acceptance of a Guaranteed Maximum Price (GMP) proposal, and the construction phase commencing upon execution of the GMP Amendment. The Construction Manager must submit monthly updated project schedules in P-6 format (.XER files) and will be subject to liquidated damages of $1,000 per calendar day for failure to meet the Substantial Completion date specified in the agreement.
Compensation for preconstruction services shall be established on a fixed amount or hourly billing rate basis as specified in the agreement, with hourly rates covering all taxes, insurance, benefits, and customary employee benefits. Upon GMP acceptance, the Construction Manager's compensation for construction phase services consists of the Cost of the Work plus a fixed Construction Manager's Fee, with cost savings split equally between the Owner (50%) and the Construction Manager (50%) upon Final Completion. The Guaranteed Maximum Price includes a Construction Manager's contingency that may only be used with Owner approval through the District's Change Order process, with unused contingency reverting to the Owner. All change orders must be reviewed by project Architect/Engineer and District staff, with the Superintendent authorized to approve changes up to $50,000 without additional School Board approval; changes exceeding $50,000 require Board Resolution approval. The Construction Manager is required to furnish performance and payment bonds equal to 100% of the GMP, with bonds increased proportionally for any change order increasing the GMP by five percent or more. The Owner retains audit rights over all Construction Manager records for six years post-final payment, and disputes shall be resolved through litigation in Chatham County, Georgia state or federal courts, with the Construction Manager waiving any defense of lack of personal jurisdiction or improper venue.

§ 3.1.3 Consultation
§ 3.1.3.1 The Construction Manager shall schedule and conduct meetings with the Architect and Owner to discuss such matters as procedures, progress, coordination, and scheduling of the Work.
§ 3.1.3.2 The Construction Manager shall advise the Owner and Architect on proposed site use and improvements, selection of materials, building systems, and equipment. The Construction Manager shall also provide recommendations to the Owner and
Architect, consistent with the Project requirements, on constructability; availability of materials and labor; time requirements for procurement, installation and construction; prefabrication; and factors related to construction cost including, but not limited to, costs of alternative designs or materials, preliminary budgets, life-cycle data, and possible cost reductions. The
Construction Manager shall consult with the Architect regarding professional services to be provided by the Construction

The Project schedule shall coordinate and integrate the Construction Manager’s services, the Architect’s services, other
Owner consultants’ services, and the Owner’s responsibilities; and identify items that affect the Project’s timely completion.
The updated Project schedule shall include the following: submission of the Guaranteed Maximum Price proposal;
components of the Work; times of commencement and completion required of each Subcontractor; ordering and delivery of products, including those that must be ordered in advance of construction; and the occupancy requirements of the Owner.
The Project schedule shall accurately depict a feasible critical path for reaching Substantial Completion and Final Completion by the dates set forth in Guaranteed Maximum Price Amendment. The Contractor’s construction schedule shall be submitted in the “P-6” format in a ".XER” file so that the Owner, Architect, and their other Consultants, may analyze the schedule to make sure it is feasible and properly sequenced. Schedules shall be updated monthly and revised if necessary to accurately account for changes in the critical path for any reason, including approved Change Order work or Contractor delay. Failure to initially provide or maintain an accurate schedule will be a basis for declaring the Contractor in default, which, if not cured withing fourteen days (14) upon receipt of notice by the District, may result in the termination of the Contractor for cause.
§ 3.1.5 Phased Construction
The Construction Manager, in consultation with the Architect, shall provide recommendations with regard to accelerated or fast-track scheduling, procurement, and sequencing for phased construction. The Construction Manager shall take into consideration cost reductions, cost information, constructability, provisions for temporary facilities, and procurement and construction scheduling issues.
§ 3.1.6 Cost Estimates
§ 3.1.6.1 Based on the preliminary design and other design criteria prepared by the Architect, the Construction Manager shall prepare, for the Architect’s review and the Owner’s approval, preliminary estimates of the Cost of the Work or the cost of program requirements using area, volume, or similar conceptual estimating techniques. If the Architect or Construction
Manager suggests alternative materials and systems, the Construction Manager shall provide cost evaluations of those alternative materials and systems.
§ 3.1.6.2 As the Architect progresses with the preparation of the Schematic Design, Design Development and Construction
Documents, the Construction Manager shall prepare and update, at appropriate intervals agreed to by the Owner, Construction
Manager and Architect, an estimate of the Cost of the Work with increasing detail and refinement. The Construction Manager shall include in the estimate those costs to allow for the further development of the design, price escalation, and market conditions, until such time as the Owner and Construction Manager agree on a Guaranteed Maximum Price for the Work.
The estimate shall be provided for the Architect’s review and the Owner’s approval. The Construction Manager shall inform the Owner and Architect in the event that the estimate of the Cost of the Work exceeds the latest approved Project budget, and make recommendations for corrective action.

Construction Manager wishes to use the Construction Contingency, then before performing the work for which the
Construction Contingency is sought to be used, the Construction Manager shall submit a Change Order through the Owner’s
Project Management Information System (currently e-Builder) indicating the proposed used of the Contingency and further showing a negative reduction of the Contingency and its application to another line in the Schedule of Values. Guaranteed Maximum Price Amendment is executed.

The Owner’s Superintendent shall identify a representative authorized to act on behalf of the Owner with respect to the

The Construction Manager agrees that it may have to repay any and all sums it may receive from the District pursuant to any alleged contract or alleged Change Order or other claimed written modification of a contract that was not property authorized by the District’s School Board or its designee under Board Policy.
