About this file

The Massachusetts Department of Agricultural Resources (MDAR) has issued a Departmental Request for Response (RFR) #AGR-APPRAISERS-FY26 to establish a Qualified Contractors List for real property appraisers. The RFR seeks experienced, certified appraisers to conduct appraisals and technical review appraisals for property interest acquisitions, including fee, conservation restriction, conservation easement, and deed restriction evaluations. The contract will be available for use by MDAR, the Department of Conservation and Recreation (DCR), the Department of Fish and Game (DFG), and the Executive Office of Energy and Environmental Affairs (EOEEA). This is a rolling RFR with proposals accepted through March 1, 2033, with the earliest contract effective start date of July 1, 2025, and a contract end date of June 30, 2033.

Appraisers must meet specific qualifications, including at least three years of experience appraising open land, certification as a General Appraiser in Massachusetts, and demonstrated competency with Uniform Standards of Professional Appraisal Practice (USPAP). The procurement is designated as a Small Procurement (under $250,000), and the Commonwealth encourages participation from small businesses with their principal place of business in Massachusetts. Compensation will be project-specific and determined through individual quotes, with vendors selected based on best value considerations. The RFR includes a Supplier Diversity Program requirement, mandating a minimum 1% commitment to diverse business enterprises, with additional evaluation points awarded for higher commitments. Bidders must submit comprehensive documentation, including qualifications, rate schedules, sample appraisals, and a detailed proposal through the COMMBUYS system.

1. Description or Purpose of Procurement:

The Massachusetts Department of Agricultural Resources (MDAR) invites responses from experienced certified real property appraisers to conduct appraisals and/or prepare technical review appraisals on proposed property interest acquisitions (fee, conservation restriction, conservation easement, deed restriction). Bidders that have been determined to meet the criteria and necessary qualifications of a Qualified Contractor will execute a Standard Contract Form with the Purchasing Department (MDAR). The resulting contracts can be utilized by all authorized Departments including, the Department of Conservation and Recreation (DCR), the Department of Fish and Game (DFG), and/or the Executive Office of Energy and Environmental Affairs (EOEEA), (collectively, the “Departments”).

1.1. SELECTED APPLICANTS:

Applicants awarded a contract with the MDAR will be added to a Qualified Contractor List so that the Departments have a ready source of Contractors when needed. Qualified Contractor Lists do not guarantee work for any Contractor and the Department is under no legal obligation to use all of the Qualified Contractors. The individual Department will issue Request for Quotes when seeking a Contractor of a specific engagement.

1.2. ELIGIBLE APPLICANTS:

• All appraisers must have at least three (3) years’ experience in appraising open land at its highest and best use.

• Appraisers must be certified as a General Appraiser in Massachusetts and be in good standing with the licensing authority where the credential was issued.

• Appraisers must have demonstrated competency in compliance with Uniform Standards of Professional Appraisal Practice (USPAP).

RFR # AGR-APPRAISERS-FY26

• To be considered for the preparation of appraisal reports related to the federal Forest Legacy Program or other federal programs, an appraiser may also have to have additional qualifications, such as competency in compliance with Uniform Appraisal Standards for Federal Land Acquisitions (UASFLA aka Yellow Book), which will be discussed with the appraiser prior to appraisal assignment.

Note: That all specifications are subject to (and expected to) change. All selected vendors will receive any changes to the specifications as timely as possible for them to complete their projects.

1.3. ANTICIPATED EXPENDITURES AND COMPENSATION STRUCTURE

Anticipated expenditures are subject to project-specific quotes submitted by vendors from the Qualified Contractors List. When a Department needs appraisal services performed on a specific project, one or more vendors from the Qualified Contractors List will be contacted by the Department via a COMMBUYS Request for Quote or informed of any special considerations or instructions for the project. Vendors will be asked to provide a project specific bid and a period of performance for completing the project. All such bids must include all costs associated with the completion of the project, including costs for clerical functions, typing, insurance, telephone, facsimiles, and other incidental expenses. Costs which are not specifically identified in the vendor’s bid and accepted by the Department as part of the bid, will not be compensated under any contract awarded pursuant to this RFR.

The vendor whose project specific bid offers the best value to the Department will be selected for that specific project. Performance of services by the selected vendor shall begin with a written Notice to Proceed from the Department. The Department’s determination of best value may include consideration of the project specific bids regarding overall cost, period of performance for completing the project, the Department’s determination of a vendor’s suitability to a specific project, and the Department’s prior experience with vendors submitting project specific bids. If none of the project specific bids received meets the Department’s needs the Department may solicit additional proposals.

If the selected vendor does not complete the specified work by the agreed upon delivery date liquidated damages may be assessed against the vendor until the work is delivered. If work delivered to the Department is found not to comply with the standards of performance of the assignment, liquidated damages may be assessed from the date the vendor is notified of the inadequacies until and adequate work product is delivered to the Department.

Additional terms and conditions for payments and compensation can be found in Attachment C (Scope of Services and Additional Terms and Conditions) as well. Attachment C shall be included in all contracts executed with vendors in response to this RFR.

OFFICE OF THE COMPTROLLER

PROMPT PAY DISCOUNT FORM REQUIRED WITH SUBMISSION

info.comptroller@mass.gov

Contractor/Bidder Name

Vendor Code (VCUST) Contract/RFR Number(s)

All contractors/vendors doing business with the Commonwealth must provide a Prompt Payment Discount (PPD) for receiving early payments unless the Contractor/vendor can provide compelling proof that providing a prompt pay discount would be unduly burdensome. Contractors benefit from PPD by increased, usable cash flow as a result of fast and efficient payments for commodities or services rendered. Contractors who agree to accept Electronic Funds Transfer (EFT) increase the prompt pay benefit by ensuring that funds are paid directly to their designated bank accounts, thus eliminating the delay of check clearance policies and traditional mail lead time. Payments processed through the state accounting system (MMARS) can be tracked and verified through the Comptroller’s VendorWeb system using the Vendor/Customer Code assigned to you by a Commonwealth department.

The Commonwealth benefits because contractors reduce the cost of products and services through the applied discount. While Bidders/Contractors have flexibility in determining the actual % discount(s) offered to the Commonwealth, the discount(s) must be identified for 10, 15, 20 and/or 30 days for payment issuance in the column entitled “% Discount Off Proposed Price” below.

The Commonwealth may use the prompt pay discounts submitted as a basis for selection and may negotiate discounts as deemed in the best interest of the Commonwealth. The requirement to offer PPD discounts may be waived by the Commonwealth on a case-by-case basis if participation in the program would be unduly burdensome, provided the specific reason for the hardship is outlined below.

All discounts offered will be taken in cases where the payment issue date is within the specified number of days listed below and in accordance with the Commonwealth’s Bill Paying Policy. Payment days will be measured from the date goods are received and accepted / performance was completed OR the date an invoice is received by the Commonwealth, whichever is later to the date the payment is issued as an EFT (preferred method) or mailed by the State Treasurer. The date of payment “issue” is the date a payment is considered “paid” not the date a payment is “received” by a Contractor.

If internal Bidder/Contractor systems require an alternate method of measuring payment issue dates, the Bidder/Contractor must note the issues below or on an attached page if necessary to be considered by the PMT. In cases where the Bidder/Contractor considers that offering a Prompt Payment Discount would be a hardship, the Bidder must clearly define the issues and reasons for said hardship. Providing volume discounts or other discounts on prices is not considered a hardship, since the PPD provides the additional benefit of early cash flow for the Contractor.

Enter the Prompt Payment Discount percentage (%) off the invoice payment, for each of the payment issue dates listed, if the payment is issued within the specified Payment Issue days. For example:

5% - 10 Days 4% - 15 Days 3% - 20 Days 2% - 30 Days

If no discount is offered enter 0% and complete hardship field.

All appraisal reports must be prepared in accordance with the Department’s project specific bid materials and requirements.

All appraisals must be prepared in accordance with the then-current EOEEA Specifications of Narrative Appraisal Reports, or other specifications indicated in the Department’s request for project specific bids.

In accordance with Section 15 of the Standard Contract Form, the following terms and conditions are in addition to the Commonwealth Terms and Conditions and are hereby incorporated as if set forth in full in said contract.

I. In addition to the provisions of Section 2 of the Commonwealth Terms and Conditions (Payment and Compensation), the following shall also be required:

o It is understood and agreed that the time within which the work is to be performed is of primary importance and of the essence. The Contractor understands and agrees that performance of services shall begin with a written Notice to Proceed from the Department, and that the work embraced will be completed within the timeframe contained therein. The Contractor will proceed with the work in accordance with and in such sequence as set out in the Notice to Proceed for each project assigned to the Contractor, and will in any event furnish and deliver the appraisal reports to the Department as soon as each appraisal report is completed o In the event the appraisal reports do not conform to the terms of the Contract with respect to matters of form or content, they shall be returned to the Contractor in order that the same may be revised, amended, or added to without further compensation being paid by the Department, and liquidated damages may be assessed as set out below for any delays that occur due to non-acceptance.

o In cases where the work embraced in the Contractor is not completed in accordance with the Contract by the time stipulated in the Notice to Proceed, the Contractor shall pay to the Department a designated sum per calendar day for the entire period of overrun in accordance with the following schedule of deductions:

o Original Project Specific Contract Amount:

From More Than To and Including Per Calendar Day $ .00 $ 1,000 $ 10.00 $ 1,000 $ 5,000 $ 25.00 $ 5,000 $ 25,000 $ 50.00 $ 25,000 >$25,000 $ 100.00 o Whatever sum of money that may become due and payable to the Department by the Contractor under this Section may be retained out of money payable to the Contractor in the hands and possession of the Department. It is agreed that this Section shall be construed and treated by the parties to the Contract not as imposing a penalty upon said Contractor for failing to fully complete said work as agreed on or before the time specified in the Notice to Proceed, but as liquidated damages to compensate said Department for additional costs incurred by the Department because of the failure of the Contractor to fully complete said work on or before the date of completion specified in the Notice to Proceed.

o The Contractor shall remain liable for any additional damages which may accrue to the Department as a result of the Contractor’s failure to complete the Contract in a timely fashion.

o If the Contractor performing work under the Contract should be delayed by time out for court work, pre-trial conferences, or additional contracts with the Department concurrent with this Contract, or delayed due to lack of items which were agreed in the Contract to be supplied by the Department, such causes shall be considered, upon specific written request by the Contractor made prior to completion date stipulated in the Notice to Proceed, as adequate reasons for an extension of the completion date without payment of liquidation damages by the Contractor for the time of said extension, which extension of time shall be the equivalent of the time lost due to such causes.

o If the Contractor applies in writing for an extension of time prior to the completion date specified in the Notice to Proceed, because the work provided for in the Notice to Proceed is delayed by other conditions beyond the control of the Contractor and through no fault or negligence on his part, and if, in the opinion of the Department or its duly authorized representative, a delay due to such causes is established, the Department may, upon request, grant an extension of time, reasonably sufficient under relevant circumstances, to enable the Contractor to make up the progress lost as a result of such delay and without payment of a penalty or liquidated damages by the Contractor for the time of said extension.

o If the Contractor refuses or fails to perform the work embraced within the time specified, or any extension thereof, for any reason other than such as may be classified and described as and Act of God, and which refusal or failure has not been accepted by the Department as provided above, the Department may, in accordance with the procedure set out in Section 4 of the Commonwealth Terms and Conditions, terminate the rights of the Contractor to proceed with the project, or with such part or parts thereof as to which there has been a delay, and the Contractor shall be held liable to respond in damages to the Department.

This remedy shall be in addition to and not be precluded by the provision of Section 4 (Contract Termination Or Suspension) of the Commonwealth Terms and Conditions.

o In the event updates and/or revisions are requested by the Department that require significant additional work by the Contractor beyond that encompassed in the original project assignment, the project specific bid may be amended and extra compensation shall be made according to the following schedule:

o UPDATES – Requiring re-evaluation of value based upon analysis of current data:

o Within 1st year - not to exceed 35% of original project fee o Within 2nd year - not to exceed 50% of original project fee o Within 3rd year - not to exceed 75% of original project fee o REVISIONS – Requiring re-analysis of fair market value based on significant changes in underlying assumptions or data concerning the subject property. The fee for such revisions is negotiable, but in no event shall exceed seventy-five percent (75%) of the amount agreed to and stated in the Notice to Proceed.

II. In addition to the provisions set forth in Section 6 of the Commonwealth Terms and Conditions (Confidentiality), the following shall also be required:

o All information contained in appraisal reports prepared under the terms and conditions of the Contract and all parts thereof are to be treated as strictly confidential. The Contractor shall take all necessary steps to ensure that no member of their staff or organization shall divulge any information concerning such appraisal reports to anyone, except with written permission by the Department or by court order. The Contractor’s attention is directed to MGL Chapter 4, Section 7, wherein appraisals performed by or on behalf of the Commonwealth are specifically excluded from those documents defined as a public record.

I. GENERAL

Valuation Methods and Standards

In undertaking an appraisal and reporting its results, the selected appraiser, (“Contractor”), shall follow accepted professional appraisal practices as defined by the then current edition of the Uniform Standards of Professional

Appraisal Practice , or “USPAP”, giving consideration to standard valuation methodology. All applicable approaches pertinent to the valuation tasks(s) at hand shall be fully developed, explained, and supported. All calculations must be shown and all assumptions fully documented. Should certain approaches or requirements covered in these specifications not be applicable to the assignment, the contractual obligation shall be fulfilled by identifying that approach or requirement and justifying its omission.

The purpose of the appraisal shall be to determine the fair market value of the appraised property, or interest to be acquired, based on highest and best use. Fair market value shall be defined as the most probable price that a property should bring in a competitive and open market under all conditions requisite to a fair sale, the buyer and seller each acting prudently and knowledgeably and assuming the price is not affected by undue stimulus. Implicit in this definition is the consummation of a sale as of a specified date and the passing of title to a buyer under conditions whereby: 1) buyer and seller are typically motivated; 2) both parties are well informed or well advised, and acting in what they consider their own best interests; 3) a reasonable time is allowed for exposure in the open market; 4) payment is made in terms of cash in U.S. dollars or in terms of financial arrangements comparable thereto; and 5) the price represents the normal consideration for the property sold unaffected by special or creative financing or sales concessions granted by anyone associated with the sale.

Appraisal reports will be subject to internal and/or professional review by the Contracting Agency ("Agency") or its designees, the Secretariat of Energy and Environmental Affairs (EEA), and, where federal funds are involved, by the Federal Government. If federal funds are involved, it shall be stated in the Contract Scope of Services and the Contractor must comply with the then current Uniform Appraisal Standards for Federal Land Acquisitions or other applicable specifications, as required by the federal granting authority. This situation will be identified by the Agency prior to initiating an appraisal project. In this case, the Contractor shall comply with both EEA and federal standards; however, if there is an inconsistency between EEA standards and the federal standards, the federal standards shall control.

Appraisal reports may also be subject to review by the Massachusetts Office of the Attorney General when an eminent domain taking by a state agency is contemplated or has occurred. The Contractor's report concerning the subject property may be subject to discovery in a land damage lawsuit filed against the Commonwealth subsequent to the taking. In order to provide for this circumstance, the appraisal report and related exhibits shall be adequately prepared and retained for trial. If an eminent domain taking is contemplated, it shall be stated in the

Contractor’s Project Specific Scope of Work. All reports prepared at the direction of an Agency shall be prepared in compliance with the USPAP applicable as of the effective valuation date, as well as EEA specifications outlined herein. (Note that in the event of an involuntary taking, the appraisal must be updated as of the date of the taking.) Unless directed otherwise by appropriate Agency officials, the results of all appraisals will be conveyed as self-contained reports with all pertinent items and factors clearly described, fully substantiated, and justified in every respect. A reviewer or other user of the report should have no doubt as to the conclusions set forth in the report and readily conclude that value estimates are credible. If the Agency reviewer finds deficiencies or items which, require revision, further substantiation, or justification to conform with these standards, revisions must be performed by the Contractor at his or her expense and ultimately result in a work product that is acceptable to the Agency.

Determination of Appraised Property

Acquisitions made by the Commonwealth can have many forms, and it obviously is critical that an appraisal identify the correct parcel(s) and/or property interests to be appraised. Typically, purchase of the fee ownership in an entire property is relatively straight forward in terms of identifying the appraised property. However, items such as potential severance damage or enhancement to other property under the same ownership must be considered by the Contractor. In the case of partial fee acquisitions or acquisitions of a property interest other than the fee (conservation restrictions, easements, etc.) care shall be taken not to miss severance issues or possible

If the property being appraised includes water rights, mineral rights, or suspected mineral values, fixture values, crop values, or timber values these may also be discussed at the pre-work meeting. If the valuation of the property requires the use of a consulting report this may also be discussed and approvals obtained from Agency personnel at the pre-work meeting or as early as possible in the appraisal process.

Pre-work Meeting

A pre-work meeting between the Agency and the Contractor may be required by the Agency. If such a meeting is required, it shall be so stated in the Contract Scope of Services. The purpose of the meeting is to review the contract scope of services and address any special requirements. At this time or otherwise prior to initiating the appraisal project, any extraordinary assumptions (if known) or hypothetical conditions should be reviewed with and approved by appropriate Agency personnel. The meeting will be held at a mutually convenient location selected by the Agency. Attendance at a pre-work meeting should be considered by the Contractor in preparing his or her fee quote.

Property Inspection Procedure

The Contractor shall invite the owner of the appraised property (or designated representative thereof) to accompany the Contractor during inspection of the property. To allow the landowner time to make necessary arrangements, the invitation should be made appropriately in advance of the planned inspection date. The

Contractor shall consider any information the landowner may provide and describe and account for that which is relevant to valuation. However, the Contractor must use his or her best judgment as to the usefulness of any information provided by the landowner.

The Contractor shall document the invitation to the landowner on the Owners Property Inspection Certificate form provided by the Agency (See Exhibit 1) and include this signed form in the addenda of the appraisal report.

Discrepancies

The Contractor shall immediately inform the Agency as to any discrepancies discovered between information related to the description, acreage, or pertinent characteristics of the property provided by the Agency and that gleaned from his or her research.
