About this file

This is a Business Confidentiality Claim form issued by the Utah State Archives Office of the Government Records Ombudsman, applicable to the DCFS Conference Venue Rental procurement through the Utah Division of Purchasing. The form is designed to allow vendors and contractors to claim protection of trade secrets and commercial financial information submitted in response to state procurement opportunities under Utah Code provisions 63G-2-305 and 63G-2-309. Claimants submitting proposals must provide both redacted and non-redacted versions of their proposals to ensure proper handling of sensitive information, as the Division of Purchasing will not perform redactions on behalf of vendors who fail to submit redacted copies. The form requires claimants to provide detailed company information, identify specific pages and paragraphs subject to confidentiality claims, and supply concise written explanations for each confidentiality request.

The confidentiality claim process does not guarantee protected classification status if the governmental entity receives a public records request under the Government Records Access and Management Act (GRAMA). Claimants must demonstrate that disclosure could reasonably result in unfair competitive injury or involve legitimate trade secrets to support their claims. The form requires submission of company contact information, the specific governmental entity involved, the reason for submission, and detailed justifications for each confidential element claimed. This mechanism allows vendors to protect sensitive business information while maintaining transparency in the procurement process, balancing public records requirements with legitimate business confidentiality needs.

Business Request for GRAMA Business Confidentiality Claim

Note: Utah Code § 63G-2-305(1) states that trade secrets can be protected if the person submitting the trade secret provides the governmental entity with a confidentiality claim. Likewise, Utah Code § 63G-2-305(2) states that commercial financial information can be protected if disclosure could reasonably be expected to result in unfair competitive injury to the person submitting the information, and that person has provided a confidentiality claim. Confidentiality claims are described in Utah Code § 63G-2-309. A claim must include a concise statement of reasons supporting the claim and must be submitted with the information requested to be protected. A claimant MUST submit a redacted and non-redacted version of their proposal. The entire proposal may NOT be redacted. The Division of Purchasing will not redact a proposal on behalf of a claimant if they fail to upload a redacted copy of their proposal.
