A. INTENT

The Aviation Department anticipates contracting for services related to the analysis, marketing, lease, or exchange of City-Owned real property and other general aviation real estate activities, including property evaluations, market analyses and consulting services.

More specifically, the selected firm shall provide upon request a comprehensive analysis of the Aviation Department’s real property assets (land and buildings), collectively, the “Property” verification that the inventory list is accurate and complete, identification of underutilized and/or excess properties, and issuance and implementation of the proposed and approved recommendations for the re-use, lease, sale, or exchange of Property. In addition, the firm shall advertise, market and solicit prospective tenants to fill vacant Property.

SECTION 2 – STATEMENT OF NEED

FORMAL REQUEST FOR PROPOSAL

Aviation Real Estate Brokerage Consulting Services

RFP – 26RFP054

A. SCOPE OF WORK

1. The primary objective of this RFP is to engage the private real estate brokerage community to implement the objective as described in the RFP, the creation and implementation of a systematic process for identifying unutilized and underutilized aviation properties and to deploy a methodology for assessing the feasibility of revenue generating uses of City-owned property to better serve the community.

2. The resulting contract shall also buy and sell property should the Aviation Director find the need to engage the contract brokers for specific opportunities needed to benefit the airport. To ensure contractor and airport staff are following City of Scottsdale rules, the real estate department will assist the consultant and Aviation Department throughout the process of buying and selling property. The disposition and use of real property shall be made in accordance with Sec. 2-220 and 2-221 of the Scottsdale Revised Code.

All Contractor recommendations, analyses, valuations, acquisition proposals, or disposition proposals must comply with applicable Federal Aviation Administration (FAA) regulations, FAA Airport Sponsor Grant Assurances, the approved Airport Layout Plan (ALP), 14 CFR Part 77 airspace surfaces, Runway Protection Zone (RPZ) requirements, FAA airport design standards, noise-compatibility guidelines, and all aviation-specific land use, safety, and operational constraints.

Any recommendation that is inconsistent with FAA requirements, the ALP, or airport-design standards shall not be advanced without prior review by the Aviation Department review and written authorization acknowledging the need for FAA coordination or approval.

The range of services which may be asked may include, but is not limited to the following services:

2.1. Property Analysis: As requested by the Aviation Department the contractor shall develop and implement a comprehensive and customized methodology for the evaluation of the Property inventory, assess the accuracy of the inventory, identify unutilized and underutilized Property and recommend strategies to utilize each Property to its fullest extent, while maximizing revenue generation.

2.2. Market Analysis: Contractor shall perform detailed market analyses to identify all viable re-use options for each Property, including lease options and property exchange alternatives for the Property including but not limited to the following activities: assessment of the highest and best use of the Property, completion of market studies, and recommendations related to the purchase, lease, exchange or re-use of specific real Property.

2.3. Leasing Services (City as Lessor): Contractor shall conduct/assist with advertisement, marketing and lease negotiations of existing and future Property to help maximize and fill under-utilized and vacant space. The contractor shall bring the Aviation Department prospective tenants to fill vacant space as needed and assist in completing the transactions. Contractor may also assist with lease renewals should the aviation department decide that service is needed at the time.

2.4. Consulting Services: The selected firm shall provide other real estate consulting services as needed and described in and related to the RFP.

2.5. Property Acquisition Services:

2.5.1 General Acquisition Support

The Contractor shall assist the City with real estate acquisition activities, including identifying, evaluating, and negotiating for properties that may benefit the airport. Acquisition opportunities may occur under two distinct scenarios:

2.5.2 Listed Properties

Properties that are publicly listed or actively marketed for sale—such as via MLS, CoStar, LoopNet, brokerage websites, or any publicly accessible listing platform. For listed properties, it is industry practice for the seller to pay the broker commission. The Contractor shall not seek or receive any City-paid commission for listed properties, and no commission related to these transactions shall be invoiced to the City. The Contractor shall provide documentation confirming the property’s listed status.

2.5.3 Unlisted / Off-Market Properties

Properties that are not publicly listed for sale, including cases where the contractor identifies an acquisition target and initiates owner outreach. Because a seller-paid commission is not customary in these circumstances, the City may be responsible for paying the contractor’s commission at the rate proposed in the Pricing Proposal. Offerors shall clearly identify the commission rate applicable to off-market acquisitions.

2.5.4 Owner Contact Restriction: The Contractor shall clearly disclose which acquisition scenario applies to each transaction and shall not seek City payment of commissions for publicly listed properties. Prior to initiating any outreach to a property owner, broker, representative, or any other party that could reasonably interpret the contact as expressing City interest, the Contractor must

COS RFP Template obtain written approval from the Aviation Director or designee. No contact of any kind shall occur without such prior written authorization.

2.5.5 Federal and State Aviation Funding Compliance

For any acquisition funded in whole or in part with federal or state aviation funds, all activities performed by the Contractor shall comply with the Uniform Relocation Assistance and Real Property Acquisition Policies Act (URA), FAA Airport Improvement Program (AIP) requirements, and any applicable ADOT Aeronautics requirements. The Contractor shall identify when such requirements apply and shall conduct all acquisition-related tasks in accordance with those standards.

2.6 Aviation Land Use Constraints

2.6.1 Land Use Determination

The Contractor shall evaluate whether each property is suitable for aeronautical, non-aeronautical, or mixed use and shall identify all applicable FAA approval requirements, including land release, non-aeronautical use approval, or disposal.

2.6.2 Required FAA-Related Analyses

The Contractor shall analyze:

• Conformance with the approved Airport Layout Plan (ALP)

• FAA airport design standards (e.g., OFA, OFZ, RSA, ROFA, RPZ)

• 14 CFR Part 77 airspace surfaces and potential penetrations

• Noise contours and compatibility requirements

• Avigation easements and operational impacts

• Incompatible land uses (e.g., residential, schools, wildlife attractants)

• Potential environmental review requirements under NEPA

• Need for FAA airspace review (Form 7460-1)

2.6.3 Identification of Constraints

The Contractor shall identify any constraints, required mitigations, or FAA coordination necessary for the proposed use.

2.6.4 Restrictions on Non-Aeronautical Use Marketing

The Contractor shall not market, advertise, solicit, or otherwise promote any non-aeronautical use of airport property unless the City has first determined that such use is permissible and, where required, that FAA land-release or non-aeronautical use approval is feasible. No non-aeronautical use shall be advanced without prior written authorization from the Aviation Director.

2.6.5 Runway Protection Zone (RPZ) Restrictions

For any property located within or affecting the Runway Protection Zone (RPZ), the Contractor shall not recommend, pursue, or market new non-aeronautical, people-intensive development. The Contractor shall identify RPZ-affected parcels as highly constrained under FAA policy and shall limit recommendations to uses consistent with FAA RPZ guidance.

B. CONTRACTOR QUALIFICATIONS

1. The Contractor shall be in compliance with all applicable Federal, State, Local, ANSI, and O.S.H.A. laws, rules, and regulations and all other applicable regulations for the term of this contract.

2. After contract award, the Contractor shall not subcontract any segment or services covered herein, without prior approval of the Contract Administrator. All subcontracted services shall be warranted by and be the responsibility of the Contractor.

3. The Contractor MUST have and maintain full-time Company representation located in the Phoenix, Arizona metropolitan area, with the ability and authority to address all Contract issues that may develop.

COS RFP Template

4. Contractor shall have a MINIMUM of five (5) years of experience in the analysis, marketing, sale, lease, exchange, and acquisition of commercial real property. Documentation of relevant experience shall be included in the proposal and must, at a minimum, identify the project name, location, client, year completed, scope of services performed, and the contractor’s specific role. For aviation-related experience, Offerors shall clearly describe the airport property involved and the FAA-related issues addressed.

6. Contractor shall demonstrate to have a MINIMUM of two (2) commercial real estate transactions within the Phoenix metropolitan area in the last 24 months.

The Contractor shall familiarize themselves with the nature and extent of the solicitation and contract documents, work to be performed, all local conditions, and federal, state and local laws, ordinances, rules and regulations that may in any manner affect cost, progress or performance of the work.

6. The Contractor shall not make any representations to the FAA, prospective buyers, tenants, developers, or other third parties regarding airport land availability, FAA approval likelihood, or airport development intentions. Only the City may communicate official positions to the FAA. All Contractor communications with external parties shall be subject to prior written approval by the Aviation Director or designee.
