B.3 LC52.212-2 SUPPLEMENTAL LICENSE AGREEMENTS (JUL 2017)
The Library does not agree to licensing agreements or any other provisions that attempt to: (1) replace an order as the governing contract; (2) establish new or supplemental payment terms; or, (3) affect the legal relationships of the parties.
Notwithstanding any clauses in this contract or order, or the contractual vehicles against which the order is placed, that establish order of precedence, the rights and obligations provided by this contract or order take precedence over the rights and obligations set forth in any licensing agreements provided to the Library.
The Library’s incorporation of a licensing agreement into this contract or order excludes all terms of the licensing agreement that contravene, modify or conflict with the terms of 36 C.F.R. 701.7 available at: https://www.ecfr.gov/cgi-bin/text-idx?SID=87a865ce2bd109313a951a3d477895d8&mc=true&node=se36.3.701_17&rgn=div8.

Funds are not presently available for this contract. The Government's obligation under this contract is contingent upon the availability of appropriated funds from which payment for contract purposes can be made. No legal liability on the part of the Government for any payment may arise until funds are made available to the Contracting Officer for this contract and until the Contractor receives notice of such availability, to be confirmed in writing by the Contracting Officer.
(End of Clause)
B.5. AVAILABILITY OF FUNDS PART 2
This solicitation is being released before funds are available. Any resultant award will rely specifically on fallout funds. If no fallout funds materialize, this contract will not be awarded.
In addition, the Government may not order all quantities being requested, dependent upon those fallout funds.
The Library reserves the right to cancel this solicitation, either before or after the closing date. In the event the Library cancels this solicitation, the Library has no obligation to reimburse an offeror for any costs. By responding to this solicitation your company acknowledges this.

030ADV25Q0175 Section C
SECTION C - DESCRIPTION/SPECIFICATIONS/STATEMENT OF WORK
1. OVERVIEW / BACKGROUND
The Audio Lab is in need for replacement turntables for the end-of-life units currently in use. The current Simon Yorke turntables are over 25 years old and the company is no longer in business. There is an opportunity to replace these with new units from Technics (Panasonic) that are of archival grade and are supported. A great bulk of the Recorded Sound Collection consists of analog discs and this is a mission critical need to preserve and provide access to The Library's collection.
2. SCOPE
The Technics SP10R turntable system has been identified as uniquely capable of fulfilling the archival requirements of the Audio Lab.
3. REQUIREMENTS
The contractor shall provide 2 (two) Technics SP10R turntable with custom plinth compatible with a 12” SME tone arm as detailed below and with an SME M2-12R tone arm.
3.1. The Technics SP10R archival turntable is unique in the marketplace with its ultra stable direct drive motor that provides an industry leading < 0.015% wow and flutter. The SP10R allows for playback of multiple speeds of discs and will accommodate with a custom plinth the larger 16” transcription discs in the Library’s collection. The contractor shall provide 2 (two) of these systems.
3.2. The contractor shall provide 2 (two) plinths for the SP10R systems that can accommodate 12” SME tone arms (provided and installed by the library after delivery of the turntables) for playback of up to 16” discs.
3.3. The contractor shall provide 2 (two) SME M2-12R Tone Arm. The Library has been using SME tonearms on our current archival turntables and these are required for continuity with our current equipment (head shells and cartridges) and to take advantage of our stock of parts for maintenance. The SME M2-12R tone arm features a unique J-shaped arm with azimuth adjustment not found in other offerings and essential to the Library’s ability to properly configure the turntables for archival use. It also has the industry leading tracking error and distortion measurements.
3.4. The contractor will provide at least a three (3) year warranty for the SP10R and plinths. The three (3) year parts and labor warranty on the SP10R will be handled directly with Technics (Panasonic). A ten (10) year warranty on the SME M2-12R Tone Arm.

"Supplies" means the end items furnished by the Contractor and related services required under this contract. The word does not include "data."
(b) Contractor's obligations.
(1) Notwithstanding inspection and acceptance by the Government of supplies furnished under this contract, or any condition of this contract concerning the conclusiveness thereof, the Contractor warrants that for one-year—
(i) All supplies furnished under this contract will be free from defects in or workmanship and will conform with all requirements of this contract; and
(ii) The preservation, packaging, packing, and marking, and the preparation for, and method of, shipment of such supplies will conform with the requirements of this contract.
(2) When return, correction, or replacement is required, transportation charges and responsibility for the supplies while in transit shall be borne by the Contractor. However, the Contractor's liability for the transportation charges shall not exceed an amount equal to the cost of transportation by the usual commercial method of shipment between the place of delivery specified in this contract and the Contractor's plant, and return.
(3) Any supplies or parts thereof, corrected or furnished in replacement under this clause, shall also be subject to the terms of this clause to the same extent as supplies initially delivered. The warranty, with respect to supplies or parts thereof, shall be equal in duration to that in paragraph (b)(1) of this clause and shall run from the date of delivery of the corrected or replaced supplies.

(1) The Contracting Officer shall give written notice to the Contractor of any breach of warranties in paragraph (b)(1) of this clause within 30 days.
(2) Within a reasonable time after the notice, the Contracting Officer may either—

(ii) Retain such supplies and reduce the contract price by an amount equitable under the circumstances.

(A) May, for sampling purposes, group any supplies delivered under this contract;
(B) Shall require the size of the sample to be that required by sampling procedures specified in the contract for the quantity of supplies on which warranty action is proposed;
(C) May project warranty sampling results over supplies in the same shipment or other supplies contained in other shipments even though all of such supplies are not present at the point of reinspection; provided, that the supplies remaining are reasonably representative of the quantity on which warranty action is proposed; and
(D) Need not use the same lot size as on original inspection or reconstitute the original inspection lots.

(D) Return the supplies grouped for warranty action under this clause to the Contractor (irrespective of the f.o.b.
point or the point of acceptance) for screening and correction or replacement.
(4)(i) The Contracting Officer may, by contract or otherwise, correct or replace the nonconforming supplies with similar supplies from another source and charge to the Contractor the cost occasioned to the Government thereby if the Contractor—
(A) Fails to make redelivery of the corrected or replaced supplies within the time established for their return; or
(B) Fails either to accept return of the nonconforming supplies or fails to make progress after their return to correct or replace them so as to endanger performance of the delivery schedule, and in either of these circumstances does not cure such failure within a period of 10 days (or such longer period as the Contracting Officer may authorize in writing) after receipt of notice from the Contracting Officer specifying such failure.
(ii) Instead of correction or replacement by the Government, the Contracting Officer may require an equitable adjustment of the contract price. In addition, if the Contractor fails to furnish timely disposition instructions, the Contracting Officer may dispose of the nonconforming supplies for the Contractor's account in a reasonable manner.
The Government is entitled to reimbursement from the Contractor, or from the proceeds of such disposal, for the reasonable expenses of the care and disposition of the nonconforming supplies, as well as for excess costs incurred or to be incurred.
