SECTION C - DESCRIPTION/SPECIFICATIONS/STATEMENT OF WORK
C.1. BACKGROUND. The Library of Congress National Library Service for the Blind and Print Disabled (NLS) requires contractor support to provide, as mandated by 2 U.S.C. 135a, reading materials in recorded and braille formats to U.S. residents who are unable to use conventional print materials because of visual and physical limitations. Reading materials are reproduced and distributed under an exception to the U.S. Copyright Law called the Chafee Amendment, 17 U.S.C. 121. Each year, more than 23 million books and magazines are produced by contractors for NLS, and are distributed to a readership in excess of 500,000 through a network of over 85 regional and sub-regional libraries. These libraries are operated by states, municipalities, and other agencies. In addition, books are distributed to schools, multi-state centers, and veterans’ hospitals throughout the nation and U.S. territories. All services and products are funded by the U.S. Congress through NLS and are and shipped free to patrons in the continental U.S.
under the U.S. Postal Service Free Matter for the Blind and Print Disabled regulation. Magazines and newsletters are distributed on a weekly, monthly, bi-monthly or quarterly schedule.
C.2. SCOPE. The contractor shall narrate and record audio magazines and provide a digital talking book (DTB) version of the magazine in accordance with NLS Specifications #900, #1202, #1204, #1205, and #1206, which are incorporated herein and made a part of this solicitation and any resulting contract. NLS specifications may also be found at http://www.loc.gov/nls/specs/.
C.3. REQUIREMENTS. The contractor shall provide the following:
C.3.1 NARRATION AND DUPLICATION. The contractor shall obtain an unabridged copy of each magazine at its earliest possible availability by the most expedient method, including directly from the magazine publisher or from the Internet (in which case the contractor shall ensure that the online version of the magazine contains the same content as the print version, unless the Contracting Officer Representative (COR) permits an exception). Each magazine shall be narrated and delivered in DTB format according to NLS Specifications #900, #1202, #1204, #1205, and #1206, which are incorporated herein in Section J. Each audio magazine shall be constructed in accordance with Specification #1204 and submitted to NLS in accordance with Specification #1206 (file upload) or any other means determined to be acceptable by NLS. The due dates for each magazine issue will be specified in each task order.
In performing the contract, the contractor shall be cognizant of the consumer-responsive nature of the NLS program, and that the specifications for these products have been developed to meet the needs of program users. Materials are produced with the readers' needs foremost in mind and improved through constant monitoring and consumer input. A high degree of quality workmanship and product reliability is mandated by the product specifications.
C.3.1.1 Notification of Production Progress: The contractor shall notify NLS of production progress of each issue of each magazine as instructed by the COR. Contractor shall notify NLS the magazine has been submitted no later than one (1) working day after the due date.
C.3.1.2 Reporting Delays: The contractor shall report delays in production of five (5) days or more to the COR via email or phone (See contract administration section for contact info), or other means designated as acceptable by NLS. If telephone notification is used, a written notification shall follow within two (2) working days.
C.3.1.3 Miscellaneous Instructions: Magazines sometimes contain large, intricately detailed, and complex tables which add unacceptable costs and production delays and are difficult to convey orally. Historically, such tables are not produced. The contractor shall contact the COR for instruction when any issue contains difficult and lengthy tables. All tables must conform to Section 3.2.3.7 of NLS Specification #1204 (Tables and Lists).
Magazine publication dates and frequency of publications is extremely dynamic and can vary annually. Should the producer be notified by the publisher about changes to the publication schedule, they must notify the COR within five days from their receipt of notice. The COR will then adjust the due dates and editions table accordingly.
C.3.2 MAGAZINE TITLES. The titles to be produced under this contract are listed in Attachment J6. The Library reserves the right to substitute titles for reasons such as publisher closures or any other reason. The Library also reserves the right to not substitute titles that have been discontinued. Due to readership fluctuations, changes in magazine content, and title substitutions, the size of magazine issues set forth herein are subject to increase or decrease by no more than 50 percent. The contractor agrees to accept such increase or decrease at the same unit prices as provided in the contract for the awarded quantities. The Library may add new titles when a new title is published or when a sufficient number of patrons express interest in a title to warrant narration and distribution.
Magazine files shall be uploaded to NLS according to NLS Specification #1206, and according to any special instructions provided by the COR. Any incomplete files or files not accepted by the NLS file validation procedures ("Autotest" and QA approval) must be immediately corrected and resubmitted by the contractor.
C.3.3 SPECIAL INSTRUCTIONS FOR SPECIFIC MAGAZINES
C.3.3.1 Consumer Reports. The year-end Buying Guide issue in December shall NOT be produced.
C.3.3.2 Health and Nutrition Newsletter. All newsletters for Health and Nutrition News shall be recorded as one DTB magazine.
Appropriate narrator notes shall be included at the beginning of the narration. Each newsletter shall be recorded in the same alphabetical order each month.
In the event a newsletter arrives after the normal production date for this publication, the issue in question shall be included with the production of the following month's issue.
C.3.3.3 Magazine of the Month. A “magazine of the month” will be selected monthly (one magazine each month, for a total of twelve (12) issues) and will be separate from the magazines that are produced on a regular schedule.. Assignments for each magazine will be given to the contractor with sufficient time to obtain the print copy.
C.3.3.4 QST. Follow the general table of contents steps except for the following:

Additionally:
“Strays” should be gathered together in one article where the first “Stray” appears.
“Feedback” and “Next Month in QST” are always separate articles when they are included on the magazine’s table of contents. (When they are not included list them as “+’s” with the preceding article.)
The article "FM/RPT" is pronounced "FM Repeaters."
C.4. QUALITY CONTROL. The contractor shall develop and maintain an effective quality control plan (QCP) to ensure services are performed in accordance with this contract. The contractor shall develop and implement procedures to identify, prevent, and ensure non-recurrence of defective services. The contractor’s quality control plan is the means by which it assures itself that its work complies with the requirements of the contract. The QCP shall be delivered with proposal submission. After acceptance of the quality control plan the contractor shall obtain the contracting officer’s acceptance in writing of any proposed change to its QC system. To ensure that the products precisely meet all requirements in the NLS specifications referenced above, the Library may require samples at any time during the period of performance.
C.5. KEY PERSONNEL. The contractor shall designate a project manager as key personnel to be the point of contact for discussion of any concerns with the Contracting Officer Representative (COR). The project manager shall be responsible for the communication, timeliness, and overall quality assurance of production. The project manager shall have a minimum of three (3) years of experience, managing at least two projects of the same scope and scale to the requirements identified in Section C.
If the key personnel for whatever reason becomes, or is expected to become, unavailable for work under this contract for a continuous period exceeding thirty (30) work days, or is expected to devote less effort to the work than indicated in the proposal or initially anticipated, the contractor shall immediately notify the COR and CO and the contractor shall promptly replace such personnel with personnel of at least equal ability and qualifications in accordance with LC52.237-1 – Key Personnel.
All requests for approval of substitutions hereunder shall be in writing and provide a detailed explanation of the circumstances necessitating the proposed substitutions. They must contain a complete resume for the proposed substitute, and any other information requested by the COR to approve or disapprove the proposed substitution. The COR or his authorized representative will evaluate such requests and promptly notify the contractor of his approval or disapproval thereof in writing.
If the Contracting Officer (CO) determines that suitable and timely replacement of key personnel whom the contractor has reassigned or terminated, or who have otherwise become unavailable for the work, is not reasonably forthcoming or that the resultant reduction of productive effort would be so substantial as to impair the successful completion of the contract or the services ordered, the CO may terminate the contract for default or for the convenience of the Government as appropriate or, at the discretion of the CO in accordance with FAR 52.249-2 or FAR 52.249-8 if he finds the contractor at fault for the condition, the contract price may be equitably adjusted downward to compensate the Government for any resultant delay, loss, or damage.
C.6 GOVERNMENT FURNISHED PROPERTY. The audio files for the Musical Mainstream magazine are Government-Furnished Property. NLS will share them with the contractor via an accessible virtual platform. NLS will then archive the files. The contractor shall hold the files it receives through the platform per the specification until the warranty period is over. The contractor shall then delete the files. The contractor may not use, release to others, reproduce, distribute, or publish these files except to perform the contract.
C.7. SUBCONTRACTS/MATERIAL HANDLING. Performance under this contract may require the contractor, upon written direction/approval by the Contracting Officer to purchase material or enter into subcontracts. No subcontracts for narration or duplication shall be made until it has been determined by NLS that the proposed subcontracted deliverables meet all requirements of the specifications applying to this contract, including qualification of samples; provided, however, that the contractor ultimately remains responsible for ensuring that all subcontracted deliverables meet all requirements of this contract.
C.8. NETWORK ADDRESSES. Within five (5) working days after receipt of request from NLS, the contractor shall:
1. Cancel a closing network library address and its quantities, update all master address files, and divert the closing network library's quantities by changing mailing labels already in existence.
2. Change a network library address or quantities by changing mailing labels already in existence and updating all master address files.

The contractor must submit invoices for payment upon delivery of the items or successful performance of the events identified in each order pursuant to the standards and acceptance criteria defined in this contract. Contractor shall invoice monthly for the number of issues completed and accepted at the unit pricing specified in each order. Contractors shall not exceed each order’s ceiling price.

SECTION H - SPECIAL CONTRACT REQUIREMENTS
H.1 LC52.201-1 CONTRACTING OFFICER'S REPRESENTATIVE (COR) APPOINTMENT AND
AUTHORITY (JAN 2016)
(a) Performance of work under this contract is subject to the technical direction of the COR. The term “technical direction” includes, without limitation, direction to the contractor that directs or redirects the labor effort, shifts the work between work areas or locations, and/or fills in details and otherwise serves to ensure that tasks outlined in the contract are accomplished satisfactorily.
(b) Technical direction must be within the scope of the contract specification(s)/work statement. The COR does not have authority to issue technical direction that:
(1) Constitutes additional work outside the contract specification(s)/work statement;
(2) Constitutes a change as defined in the “Changes” clause of this contract;
(3) Causes an increase or decrease in the contract price, or the time required for contract performance;
(4) Changes any of the terms, conditions, or specification(s)/work statement of the contract;
(5) Interferes with the contractor's right to perform under the terms and conditions of the contract; or
(6) Directs, supervises or otherwise controls the actions of the contractor's employees.
(c) Technical direction may be oral or in writing. The COR must confirm oral direction in writing within five workdays, with a copy to the Contracting Officer.
(d) The Contractor shall proceed promptly with performance resulting from the technical direction issued by the COR.
If, in the opinion of the contractor, any direction of the COR or the designated representative falls within the limitations of (b) above, the contractor shall immediately notify the Contracting Officer no later than the beginning of the next Government work day.
(e) Failure of the Contractor and the Contracting Officer to agree that technical direction is within the scope of the contract shall be subject to the terms of the “Disputes” clause of this contract.

H.2 LC52.203-1 CONTRACTOR PUBLICITY (OCT 2013)
The Contractor, or any entity or representative acting on behalf of the Contractor, may not refer to the equipment or services furnished pursuant to the provisions of this contract in any news release or commercial advertising, or in connection with any news release or commercial advertising, without first obtaining explicit written consent to do so from the Contracting Officer. Should any reference to such equipment or services appear in any news release or commercial advertising issued by or on behalf of the Contractor without the required consent, the Government will consider institution of all remedies available under applicable law.

The personnel designated as key personnel in this contract are considered to be essential to the work being performed hereunder. At least 30 days prior to diverting any of the specified individuals to other programs or contracts or as soon as possible if an individual must be replaced, for example, as a result of leaving the employ of the contractor, the contractor shall notify the contracting officer and identify proposed substitutions. No diversion or substitution shall be made by the contractor without written consent of the contracting officer.

The personnel employed by the Contractor shall be capable employees qualified in this type of work. The Contractor shall be responsible for all damage to Library property by the activities of his employees resulting from these operations.
The Contracting Officer may require removal from work on this contract any employee(s) that may be deemed incompetent, careless, insubordinate, unsuitable, or otherwise objectionable, or whose continued employment is deemed contrary to the public interest or inconsistent with the best interest of or the security of the Library.

H.5 LC52.239-1 INFORMATION SECURITY (APR 2021)
The work to be conducted is considered Controlled Unclassified Information (CUI) pursuant to National Institute of Standards and Technology (NIST) Special Publication (SP) 800-53 (rev 4) or current version. The Contractor shall ensure that all non-public Library information processed under this contract shall be protected from unauthorized use and mishandling by the Contractor. Information includes both hard copy (paper) formats and soft copy (stored in electronic form, e.g., hard disks, tapes, flash drives, CD-ROM/CD-R, etc.)
(a) The Contractor shall store hard copies and soft copies contained on removable media (e.g., tapes, floppy disks, flash drives, CD-ROM/CD-R, etc.) in a government-approved storage container per the direction of the Contracting Officer Representative (COR) or the Library of Congress Project Manager when not under the direct control of Contractor Key Personnel.
(b) The Contractor shall treat any information developed on security vulnerabilities and any Government provided non-public information as “CUI”.
(c) The Contractor personnel shall label and protect this information as “Security Category: Moderate”, placing this designation in the footer.
(d) The Contractor shall ensure that all documents designated “Security Category: Moderate”, “Security Category:
High” and “Limited Official Use Only” are not emailed to or from an external email system. These documents may only be emailed between Library of Congress email accounts, or within a secured corporate email network.
(e) The Contractor shall ensure that all documents designated “Security Category: Moderate”, “Security Category:
High” and “Limited Official Use Only” are shredded, burned, or otherwise destroyed before being disposed of in accordance with applicable corporate and federal records management policies.
(f) The Contractor shall dispose of all documents designated “Security Category: Moderate”, “Security Category: High” and “Limited Official Use Only” remaining in the Contractor’s possession at the end of the contract term.
(g) The Contractor shall ensure that all Contractor workstations used to process Library information utilizes anti-virus and anti-spyware utilities that are configured to continuously monitor and to automatically update as well as having automatic operating system patching in place.
(h) The Contractor shall ensure that all Contractor workstations used to process Library information employ a firewall that can either be software running on the workstation or a stand-alone firewall that protects the workstation from unauthorized access from any other devices, including devices on the Contractor’s corporate network.
(i) The Contractor shall ensure that all Library information that is labeled “Security Category: Moderate”, “Security Category: High” and “Limited Official Use Only” is encrypted using a Federal Information Processing Standards Publication (FIPS) 140-2 validated application configured in FIPS mode. This includes information stored on internal hard drives and removable devices (e.g., CD-Rs, flash drives, etc.)
(j) The Contractor must provide a written list of anti-virus, anti-spyware, firewall, encryption products, versions and proof of licenses, along with the automatic operating system patching status, MAC address (if applicable) and user name for each system being used to process Library information.
(k) In accordance with NIST SP 800-61 (rev 2, as updated), the Contractor shall report to infosec@loc.gov, the Contracting Officer, and the COR any adverse events (adverse events are currently defined as events with a negative consequence, such as system crashes, packet floods, unauthorized use of system privileges, unauthorized access to sensitive data, and execution of malware that destroys data) that are computer security related or computer security incidents (computer security incident is currently a violation or imminent threat of violation of computer security polices, acceptable use policies, or standard security practices) concerning Library CUI within 24-hours of its discovery.
The contractor shall coordinate its response to such an event or incident with the Library.
(l) The Contractor shall not provide any government-furnished non-public documents, information, or licensed material in any form to anyone other than the Contracting Officer, the COR, or the Library of Congress Project Manager without the written approval of the Contracting Officer, the COR, or the Library of Congress Project Manager during the period of this contract or at any time afterwards.
(m) The Contractor shall not release any government documents or information related to IT Security in any form without the written approval of the Library’s IT Security Group.
(n) The Contractor shall ensure that all Contractor personnel sign nondisclosure agreements (NDAs).
(o) The Contractor shall ensure that all Contractor personnel complete the Library of Congress IT Security Awareness Training on an annual basis.

(1) The Comptroller General of the United States, or an authorized representative of the Comptroller General, shall have access to and right to examine any of the Contractor's directly pertinent records involving transactions related to this contract.
(2) The Contractor shall make available at its offices at all reasonable times the records, materials, and other evidence for examination, audit, or reproduction, until 3 years after final payment under this contract or for any shorter period specified in FAR Subpart 4.7, Contractor Records Retention, of the other clauses of this contract. If this contract is completely or partially terminated, the records relating to the work terminated shall be made available for 3 years after any resulting final termination settlement. Records relating to appeals under the disputes clause or to litigation or the settlement of claims arising under or relating to this contract shall be made available until such appeals, litigation, or claims are finally resolved.
(3) As used in this clause, records include books, documents, accounting procedures and practices, and other data, regardless of type and regardless of form. This does not require the Contractor to create or maintain any record that the Contractor does not maintain in the ordinary course of business or pursuant to a provision of law.
(e)(1) Notwithstanding the requirements of the clauses in paragraphs (a), (b), (c), and (d) of this clause, the Contractor is not required to flow down any FAR clause, other than those in this paragraph (e)(1) in a subcontract for commercial products or commercial services.
