About this file
This is a Definitions exhibit (Exhibit O) to a subcontract for the LBNF/DUNE-US NSCF Construction project at Fermi National Accelerator Laboratory in Batavia, Illinois. The document is a template establishing standardized terminology for use throughout the subcontract and related contract documents.
The exhibit defines key terms governing the construction project's financial structure, schedule, and execution framework. Critical financial definitions include the Guaranteed Maximum Price (GMP), which represents the maximum amount FFDG shall pay CM/GC for cost of work plus CM/GC fee; Adjusted GMP, which accounts for FFDG-directed changes, differing site conditions, and economic price adjustments; Cost Overrun, defined as the amount by which final cost exceeds Adjusted GMP; and Savings, defined as the amount by which Adjusted GMP exceeds final cost. The contract uses a prioritized approach with individual Priority GMPs that collectively constitute the overall GMP. Additional financial terms include Buyout Savings and Buyout Overrun for trade packages, Pre-Buyout Estimates for packages not yet awarded, and CM/GC Fee, established as a fixed amount or fixed percentage of a fixed cost target rather than a percentage of actual incurred costs. Schedule-related definitions cover Baseline Schedule (the initial CPM schedule against which all progress and delay analyses are measured), Completion Deadlines, and three distinct Notice to Proceed phases: Preconstruction NTP, Early Work NTP, and Construction NTP. The exhibit also defines organizational entities (FFDG as contracting entity, DOE, Government), work-related terms (Work, Subcontractor, Work Package), project phases (Preconstruction Phase, Construction Phase), and completion milestones (Substantial Completion, Final Completion). Definitions clarifying federal regulatory applicability establish that FAR 2.101 definitions apply unless the Agreement, solicitation, or specific FAR sections provide different meanings, with similar provisions for DEAR (Department of Energy Acquisition Regulation) terminology.
