About this file
This is a Washington Cooperative Contract template for Discovery Services established by the Washington State Department of Enterprise Services. The contract is structured as a master agreement (Contract No. 02426) designed to enable multiple eligible purchasers—including Washington state agencies, institutions of higher education, political subdivisions, federal agencies, public benefit nonprofits, and federally recognized Indian tribes—to procure discovery services on a cost-effective basis. The contract does not specify quantities of services, as purchases are made on an as-needed basis through individual purchase orders. The contract has a term of thirty-six (36) months commencing in 2027 and ending in 2030, with an optional performance-based extension of up to twenty-four (24) additional months available if the contractor meets specified performance metrics including maintaining minimum technical requirements, providing timely insurance endorsements, remitting vendor management fees with at least 75% on-time payment rate, and submitting quarterly and annual sales reports on time.
Pricing is set forth in Exhibit B and subject to an annual economic adjustment mechanism based on the U.S. Department of Labor's Bureau of Labor Statistics index for Data Processing, Hosting and Related Services. The contractor must pay a vendor management fee (VMF) of 1.25% on all contract sales, rolled into pricing. The contract includes specific set-asides and award preferences for Washington Small Businesses, Certified Veteran-Owned Businesses, and contractors certifying compliance with Executive Order 18-03 regarding workers' rights. All contractors must maintain extensive representations and warranties including compliance with Washington wage and pay equality laws, debarment status, civil rights requirements, and operational capability. The contractor is responsible for maintaining SOC 2 Type II security certifications, complying with WaTech security standards, maintaining comprehensive insurance coverage as specified in Exhibit C, and adhering to strict data security and confidentiality requirements. Upon expiration or termination, the contractor must assist with a sixty-day transition period and continue fulfilling warranty obligations for previously delivered goods and services.
