About this file
This is a Justification and Approval (J&A) document from NAVFAC Northwest requesting approval to extend contract N44255-20-D-0001 with WSP USA Inc. for marine waterfront architecture and engineering services. The document seeks to extend the IDIQ contract period by 12 months from February 7, 2025 to February 6, 2026, and increase the contract capacity by $51 million from $100 million to $151 million.
The original contract was awarded to WSP USA Inc. on February 7, 2020 through full and open competition, with one base year and four option years, for marine waterfront engineering and design services in the NAVFAC Northwest area of responsibility. Task orders range from $10,000 to $10,000,000. The justification cites the need to prevent gaps in A-E services and notes that WSP USA Inc., as the Designer of Record, has essential project knowledge that would cause significant delays if transferred to a new contractor. The contract is funded through Operations & Maintenance, Navy (O&MN) and Military Construction (MILCON) funds. The WF AE IDIQ team currently has nine remaining FY2024 funded requirements and four FY24/25 anticipated requirements that are described as pivotal for FY2024/25 designs and construction awards.

DEPARTMENT OF THE NAVY
NAVAL FACILITIES ENGINEERING SYSTEMS COMMAND NORTHWEST
1101 TAUTOG CIRCLE
SILVERDALE WASHINGTON 98315-1101
CON31/24-0857
No. 24-09JA
JUSTIFICATION AND APPROVAL FOR USE OF OTHER THAN
FULL AND OPEN COMPETITION
1. Contracting Activity.
The Agency is the Department of Navy. The contracting activity is Naval Facilities Engineering Systems Command (NAVFAC) Northwest, Silverdale, Washington.
2. Description of the Action Being Approved.
Request approval to extend the time period for the following Indefinite Delivery Indefinite Quantity Contract (IDIQ) N44255-20-D-0001 for a 12-month period from 7 February 2025 to 6 February 2026, to prevent a lapse in A-E services and allow adequate time for a new contract award. Additionally, NAVFAC Northwest requests approval to increase the total not-to exceed contract capacity by $51,000,000 from $100,000,000 to $151,000,000.
The contract was solicited utilizing full and open competition and awarded to WSP USA Inc. on 7 February 2020 with one (1) base year and four (4) option years. Presently, the contract is active and is in its final option year, scheduled to conclude on 6 February 2025.
3. Description of Supplies/Services.
The Marine Waterfront Architecture Engineering (Marine WF AE) IDIQ underwent a competitive process adhering to 40 U.S.C. 1101 and FAR 36.6, ensuring full and open competition. WSP USA Inc. was the Architect-Engineering (A-E) firm awarded the contract on 7 February 2020, with a capacity of $100,000,000 to provide engineering and design services for waterfront projects within the NAVFAC Northwest area of responsibility (AOR). The task order range is from $10,000 to $10,000,000.
Estimated bridge contract value for FY24 and FY25 (see Table 2)
4. Statutory Authority Permitting Other Than Full and Open.
The statutory authority permitting other than full and open competition is 10 U.S.C.
( )(1), as implemented by FAR 6.302-1. FAR 6.302-1 permits contracting without providing for full and open competition in the case of follow-on contracts for the continued provision of highly specialized services when it is likely that that award to any other source would result in unacceptable delays and economic inefficiency of sourcing new contractors in fulfilling the agencys requirements.
5. Rationale/explanation to support cited authority:
Remaining capacity is $8,529,734 which is insufficient to cover the remaining planned Task Orders and Post Construction Award Services (PCAS) services which require the Designer of Record (DOR), WSP USA Inc., to provide as shown Table 1. The contract is funded by Operations & Maintenance, Navy (O&MN) and Military Construction (MILCON).
The current contract is set to expire on 6 February 2025. A bridge contract action is requested to ensure there is no gap in Marine - Waterfront projects as there is a continuing need for the services, but the planned Fiscal Year 2025 contract will not be awarded prior to expiration of the current contract.
The rapid utilization of the available contract capacity, induced by an unforeseen surge in PCAS support and workload, was not projected during the FY2020 Consolidated Investment Budget List (CIBL) Acquisition Plan. This contract capacity attrition was due to additional, emergent unplanned efforts, thereby necessitating an expanded scope beyond the initial estimate.
Maintaining service continuity with the original designer of record A-E firm leverages their comprehensive knowledge base, contributing to cost savings, shortened timelines, and enhanced operational cohesion. Such continuity eliminates the otherwise required onboarding, familiarization, and transitional periods associated with new contractors.
The streamlined process under the same A-E firm who is already cognizant of the project scope ensures that government resources are judiciously utilized, providing economic and operational advantages due to previously conducted competitive selection processes.
The current $100,000,000 capacity is insufficient for the following contract actions or options on previously awarded task orders under the Waterfront IDIQ, as well as the anticipated post award modifications which will be required to cover potential future change orders to ensure successful project completion and acceptance by the Government.
delays in conducting meetings with the client to discuss expectations and requirements, as well as in reviewing already completed studies, surveys, conceptual designs, and cost estimates.
Failure to award follow-on PCAS to the DOR would lead to several adverse outcomes:
6. Description of Efforts Made to Solicit Offers from as Many Offerors as Practicable.
No other sources have expressed interest in this action. These actions are not synopsized as they are fulfilled by issuance of task order under an Indefinite-Delivery Indefinite-Quantity (IDIQ) single award contract. This action will not be synopsized, as it is a modification to an existing IDIQ task order.
7. Determination of Fair and Reasonable Cost.
The Contracting Officer has determined that the anticipated cost to the Government for the services covered by this Justification and Approval (J&A) will be fair and reasonable.
8. Actions to Remove Barriers to Future Competition.
This J&A is necessary to ensure sufficient capacity for execution of options and unplanned modifications in support of projects awarded under the Marine WF AE IDIQ. Future contracts will have higher capacity.
