About this opportunity
The Solid Waste Authority of Palm Beach County, Florida is soliciting proposals for disclosure counsel services under RFP 27-202, with proposals due December 16, 2026. A local preference applies: firms with a permanent Palm Beach County presence for at least one year before solicitation earn 10 evaluation points, and claiming it requires a completed Certification of Business Location form and a valid Palm Beach County Business Tax Receipt submitted with the proposal. The firm currently serving as Bond Counsel, including affiliated entities, is ineligible to submit, and no SBE participation set-aside applies.
The Authority seeks a law firm to serve as Disclosure Counsel for future debt obligations. Services include preparing preliminary and final official statements, complying with continuing disclosure agreements, providing trust indenture compliance services, and handling legal matters for taxable, tax-exempt, new, and refunding financings. Proposers must demonstrate a minimum of five consecutive years' experience providing similar services, and their partners and lead personnel must be in good standing with the Florida Bar.
The engagement runs an initial five years with two optional two-year extensions, subject to Governing Board approval. The Authority does not guarantee any financing volume and reserves the right to terminate on notice. Debt issuance fees are negotiated with the top-ranked proposer when a financing is to be sold, contingent on successful closing. Fees for non-debt services, such as trust indenture compliance, are negotiated after award based on detailed time reports.
Evaluation weights experience and qualifications at 40 points, resources and key personnel at 30 points, approach and methodology including accessibility and availability at 20 points, and local preference at 10 points. There is no pre-proposal conference. Proposals and questions are submitted electronically through Euna/Bonfire, and the Authority will not consider responses received by other means. Vendors must certify compliance with Florida's drug-free workplace requirements under Florida Statute 287.087, E-Verify, non-collusion, and scrutinized companies requirements, and must commit to first-priority emergency service at prices not exceeding quoted amounts. The purchasing contact is Diane LeRay, CPPO, CPPB, at 561-640-4000.
