About this opportunity
The City and County of San Francisco, through the Office of the City Attorney, is requesting expressions of interest from attorneys or law firms to serve as outside counsel to the San Francisco Finance Corporation, with responses due October 14, 2026.
The Finance Corporation functions as a nonprofit vehicle for lease financings under the City Charter to finance acquisition, construction, or improvement of City real property or equipment. The scope spans general counsel services—maintenance of corporate good standing and tax-exempt status, assistance with annual meetings and corporate records, and legal advice on general operations—and legal services related to bond issuances and other financial transactions, including preparation and review of authorization documents, cooperation with bond counsel and financial consultants, and rendering legal opinions.
Candidates must demonstrate experience representing public entities, submit references from up to three prior clients, and disclose any conflicts of interest. Professional liability insurance with limits of $20 million per claim and cyber and privacy insurance of $20 million per claim are required. Pricing proposals must include an annual maximum general counsel fee amount and a maximum fee per bond series, payable only upon successful issuance and sale; candidates must also provide hourly rates for all attorneys and professional staff and itemize costs for research, copying, subpoena services, and other direct expenses. The Office encourages candidates of all sizes and requires government or comparable favorable rates.
The Office intends to select one candidate, though it reserves the right to use alternative procurement methods. Candidates must complete standard San Francisco forms including IRS Form W-9, Business Tax Declaration, and vendor registration before contract award. Services are anticipated to commence January 1, 2027. The contract is subject to San Francisco Charter Section 3.105, which allows termination without penalty if funds are not appropriated in subsequent fiscal years. Questions are due October 5, 2026. Contact Kenneth D. Roux at (415) 554-4722 or Kenneth.Roux@sfcityatty.org.
