About this opportunity

The National Institute of Standards and Technology (NIST) has issued a Limited / Sole Source Justification Notice for programmatic legal services related to the CHIPS Program, awarding a task order to Clifford Chance US, LLP for $400,000. The task order requires the contractor to provide specialized legal support for updating and maintaining primary and ancillary transaction documents associated with semiconductor manufacturing initiatives, including loan guarantee agreements, intercreditor agreements, and security agreements mandated by the 2021 NDAA and CHIPS Act of 2022. The sole-source justification is predicated on Clifford Chance's existing institutional knowledge from previous work and their unique expertise in complex legal aspects of CHIPS awards, which would make transitioning to a new contractor inefficient and potentially delay program processing. The contract will be executed under the existing IDIQ Contract No. 1333ND23DNB130005, with a base performance period of six months and an optional twelve-month extension. This task order will specifically support the Department of Commerce's Office of the General Counsel in providing legal guidance and document preparation for semiconductor incentive programs.

Notice text

The Department’s Office of the General Counsel (OGC) requires programmatic legal support services to advise and assist OGC on legal aspects of the CHIPS Program.  Under this task order, the contractor shall perform the following tasks:

a.    Task 1 - Primary CHIPS Forms: The contractor shall render advice concerning and update, revise, and maintain the primary CHIPS forms used in debt transactions, including but not limited to the principal form of Loan Guarantee Agreement, as directed by Office of the Chief Counsel for Semiconductor Incentives (OCCSI).   The revisions and updates to the Loan Guarantee Agreement should be drafted in close cooperation with the point of contact from OCCSI.

b.    Task 2 - Ancillary Form Transaction Documents: The contractor shall render advice concerning and update, revise, and maintain ancillary form transaction documents for debt transactions, including but not limited to the principal form of the intercreditor agreement, guaranty agreements, security agreements, collateral agency agreements, legal opinions, and disbursement requests.

c.    Task 3 – Other Section 9902 Assistance and Advice as Required: The contractor shall render advice and assistance on material, policy, legal and/or Department-specific issues that may arise in the course of the CHIPS Program and such other matters concerning the interpretation or implementation of Section 9902 of the 2021 NDAA and the CHIPS Act of 2022, as may be requested by OGC.
