About this file

This is an International Agreement Competitive Restrictions (IACR) document approving a sole-source contract modification for The Boeing Company to support the Japan Air Self-Defense Force (JASDF) E-767 AWACS fleet modernization program.

The Air Force Life Cycle Management Center (AFLCMC/WIWK) is modifying sole-source contract FA236325CB003 to incorporate comprehensive engineering, modification, installation, and sustainment services for the Multifunctional Information Distribution System Joint Tactical Radio System (MIDS JTRS) upgrade on four E-767 aircraft. The total estimated contract value is $20.443M. The contract includes three CLIN types (Cost Plus Fixed Fee, Cost Reimbursable, and Not Separately Priced) with a base performance period of 21 months, one 12-month optional period for lab support, and three 10-month options for aircraft 2-4 installations. Boeing's scope of work encompasses lab support, ground and flight testing, pilot staffing, export assistance, import/export licensing coordination, lab access and Subject Matter Expert support, and technical assistance for system development and installation. The MIDS JTRS upgrade must be operational no later than January 2025 to comply with Department of Defense Link 16 tactical data-link network cryptographic mandates. Boeing qualifies as the sole source due to its status as the E-767 Original Equipment Manufacturer with exclusive access to proprietary technical data, certified experience with the unique airframe configuration, and ownership of the labs required for development and testing. The statutory authority for this non-competitive award is 10 USC 3204(a)(4) as implemented by FAR 6.302-4, based on a Japan Foreign Military Sales Letter of Offer and Acceptance (Case JA-D-QET, dated 26 February 2020). The Contracting Officer is Brett Clemens, AFLCMC/WIWK, at 781-225-5722.

II. Nature and/or description of the action being approved:

The statutory authority of the IACR is FAR 6.302-4, International Agreement, which is based on a Japan Foreign Military Sales (FMS) Letter of Offer and Acceptance (LOA), Case JA-D-QET, dated 26 FEB 2020. This LOA includes a sole source designation to The Boeing Company for the MIDS / JTRS Program.

This action modifies sole-source contract FA236325CB003, incorporating the full scope of work for Boeing to conduct the Multifunctional Information Distribution System (MIDS) - Joint Tactical Radio System (JTRS) installations on the Japan E-767 AWACS fleet. The modification establishes new Cost-Plus-Fixed-Fee (CPFF) Contract Line-Item Numbers (CLINs) to cover both the installations and all scheduled and unscheduled maintenance while each aircraft is at the contractor's facility. The contract structure includes a primary funded CLIN for the first aircraft installation, with three separate optional CLINs for the remaining three aircraft, to be exercised and funded at a later date.

III. Description of the supplies or services being acquired, including the estimated value:

THE PRIOR APPROVED IACR OF 18 MAR 2026, APPEARS BELOW, WITH CHANGES

COMPRISING THIS AMENDMENT NOTATED ACCORDINGLY:

This action will result in the award of a standalone "C" contract. The Contract will include three CLIN types: Cost Plus Fixed fee (CPFF), Cost Reimbursable (CR), and Not Separately Priced (NSP). The basic performance period for this Contract will be twenty-one (21) months with one

(1) twelve (12) month Option period for lab support, and three (3) ten (10) month options for Aircrafts 2-4.

AMENDMENT: The total estimated value of this Contract is increased to $20.443M.

The Japan E-767 AWACS Program ensures that the JASDF's fleet and ground systems maintain commonality and interoperability with the U.S., in addition to meeting future regulatory requirements for military and civilian airspace control. The Japan E-767 AWACS MIDS / JTRS upgrade (for Link 16) is required to be operational no later than January 2025, per Department of Defense Link 16 tactical data-link network cryptographic mandates. The MIDS JTRS Upgrade includes delivering, installing, and testing Government Furnished Products (GFP) on Ground and Training Systems (GTS) and four (4) E-767 aircraft.

The Boeing Company, as the aircraft (E-767) Original Equipment Manufacturer (OEM), shall support the MIDS JTRS Upgrade of both the aircraft and respective Ground and Training

Systems (GTS). Boeing's work will include lab support, ground and flight test, pilot staffing, export assistance, and other technical assistance as needed during the development and installation of MJU. The use of Boeing for specific Scope of Work responsibilities was determined by the AFLCMC due to the Contractor's ownership of air vehicle design, intellectual property, and program specific "know how." Furthermore, Boeing has lone experience with Japan E-767 AWACS unique configuration; mostly the complex software integration experience from the Mission Computing Upgrade (MCU).

MJU product and services selections were based heavily on the existing technical design relationship, integration work completed and remaining for the overarching MCU and US AWACS CNU programs. For MIDS JTRS hardware, the specific terminals, i.e. BU3 BC0, were selected for commonality with the USAF AWACS and life cycle management by the US Navy MIDS Program Office. The Hight Powered Amplifiers (HPAs) were also selected for commonality with USAF AWACS and for their performance characteristics. Specific services to support MJU are defined in the SOW. Follow-on Contractor logistical services to be designated in a separate Post Delivery Support (PDS) contract award.

The contractor shall provide the necessary resources and infrastructure to manage the performance and administration of the contract. The Contractor shall establish clear organizational lines of authority and responsibility to ensure effective management of the resources assigned to their respective requirement(s).

The contractor shall lead and support various ground, flight, and lab qualification tests.

AFLCMC, with the assistance of the designated Lead Developmental Test and Evaluation Organization (LDTO), will oversee a test and evaluation program during MJU. Areas of anticipated test monitoring are, as a minimum, the following: system level software testing for the aircraft and affected ground systems, aircraft ground and flight tests, and acceptance testing of modified ground systems. The MJU Technical Requirements Document (TRD) and SOW will identify the methods of test that will apply to MJU, and a system test plan will be developed by the Contractor and approved by the Government. Additionally, the USAF 46th Test Squadron will be employed to support Link 16 specific test activities as needed throughout all phases of the program.

The Contractor shall provide Import and Export for products being transported between the US and Japan. All products Imported and Exported shall be coordinated with the Government. The Contractor shall include the necessary documentation and information that is required by freight forwarder, to obtain import/export licensing required to transport products. The Contractor shall obtain U.S and Japan import, and export licenses and Technical Assistance Agreements (TAA) required to complete the Contractor's import and export tasks. The U.S. Government will provide authorization of the Contractor's request to import/export and provide defense services in Japan.

The Government of Japan will authorize the Contractor's request for import/export of necessary hardware and services.

The Contractor shall provide lab access to the Government and Government Contractors working on MIDS JTRS lab configurations. The Contractor shall provide Lab Subject Matter Experts leading up to and during all Lab events. The Contractor shall manage lab configuration leading up to, during, and following Lab events. The Contractor shall receive, store, install, and remove, all elements comprising the MIDS JTRS system. The Contractor shall ensure Lab accreditation is updated to reflect changes in Lab configurations. The Contractor will ensure the commercial rack is available and properly configured during lab events. Boeing is the only one responsible source being capable of providing the required lab access and support. The labs are required for development, engineering and testing are hosted and maintained by Boeing. As such, these circumstances dictate that these services cannot be reasonably provided by any other contractor.

AMENDMENT 1 (Approved 18 MAR 26):

The scope of this contract is amended to incorporate a critical, non-commercial, preparatory phase of work by adding an estimated cost This new effort encompasses the specialized analytical services required to perform comprehensive pre-planning analysis and to subsequently develop detailed aircraft modification work cards. These work cards represent the foundational, step-by-step procedures that are an absolute prerequisite for the physical installation of the MJU modification. This analytical phase ensures that all technical documentation is reviewed and a clear, executable plan is in place, thereby mitigating risk and paving the way for the successful hands-on modification effort. This work will be accomplished within the overall Period of Performance of the base contract listed above.

AMENDMENT 2:

The scope of this contract is amended to incorporate the comprehensive engineering, modification, installation, and sustainment services for the Multifunctional Information Distribution System Joint Tactical Radio System (MIDS JTRS) upgrade on the Japan Air Self- Defense Force (JASDF) E-767 AWACS fleet adding and estimated cost of $5.35M. The Original Equipment Manufacturer (OEM), The Boeing Company, is the only source capable of performing this effort due to their exclusive access to the proprietary technical data required to modify the unique E-767 airframe while maintaining its airworthiness certification. Due diligence confirmed no other government or commercial entity has the certified experience or data rights. This sole-source award mitigates significant schedule risks, resolves the issue of unobtainable data, and leverages the OEM's expertise to address component obsolescence, ensuring the long-term sustainment of this critical asset.
