(Reference 1352.209-73)

. 66 1352.209-74 ORGANIZATIONAL CONFLICT OF INTEREST (APR 2010)

(a) Purpose. The purpose of this clause is to ensure that the contractor and its subcontractors:

(1) Are not biased because of their financial, contractual, organizational, or other interests which relate to the work under this contract, and

(2) Do not obtain any unfair competitive advantage over other parties by virtue of their performance of this contract.

(b) Scope. The restrictions described herein shall apply to performance or participation by the contractor, its parents, affiliates, divisions and subsidiaries, and successors in interest (hereinafter collectively referred to as "contractor") in the activities covered by this clause as a prime contractor, subcontractor, co-sponsor, joint venturer, consultant, or in any similar capacity.

For the purpose of this clause, affiliation occurs when a business concern is controlled by or has the power to control another or when a third party has the power to control both.

(c) Warrant and Disclosure. The warrant and disclosure requirements of this paragraph apply with full force to both the contractor and all subcontractors. The contractor warrants that, to the best of the contractor´s knowledge and belief, there are no relevant facts or circumstances which would give rise to an organizational conflict of interest, as defined in FAR Subpart 9.5, and that the contractor has disclosed all relevant information regarding any actual or potential conflict. The contractor agrees it shall make an immediate and full disclosure, in writing, to the Contracting Officer of any potential or actual organizational conflict of interest or the existence of any facts that may cause a reasonably prudent person to question the contractor´s impartiality because of the appearance or existence of bias or an unfair competitive advantage. Such disclosure shall include a description of the actions the contractor has taken or proposes to take in order to avoid, neutralize, or mitigate any resulting conflict of interest.

(d) Remedies. The Contracting Officer may terminate this contract for convenience, in whole or in part, if the Contracting Officer deems such termination necessary to avoid, neutralize or mitigate an actual or apparent organizational conflict of interest. If the contractor fails to disclose facts pertaining to the existence of a potential or actual organizational conflict of interest or misrepresents relevant information to the Contracting Officer, the Government may terminate the contract for default, suspend or debar the contractor from Government contracting, or pursue such other remedies as may be permitted by law or this contract.

(e) Subcontracts. The contractor shall include a clause substantially similar to this clause, including paragraphs (f) and (g), in any subcontract or consultant agreement at any tier expected to exceed the simplified acquisition threshold. The terms "contract," "contractor," and "Contracting Officer" shall be appropriately modified to preserve the Government´s rights.

(f) Prime Contractor Responsibilities. The contractor shall obtain from its subcontractors or consultants the disclosure required in FAR Part 9.507-1, and shall determine in writing whether the interests disclosed present an actual, or significant potential for, an organizational conflict of interest. The contractor shall identify and avoid, neutralize, or mitigate any subcontractor organizational conflict prior to award of the contract to the satisfaction of the Contracting Officer. If the subcontractor´s organizational conflict cannot be avoided, neutralized, or mitigated, the contractor must obtain the written approval of the Contracting Officer prior to entering into the subcontract. If the contractor becomes aware of a subcontractor´s potential or actual organizational conflict of interest after contract award, the contractor agrees that the Contractor may be required to eliminate the subcontractor from its team, at the contractor´s own risk.

(g) Waiver. The parties recognize that this clause has potential effects which will survive the performance of this contract and that it is impossible to foresee each circumstance to which it might be applied in the future. Accordingly, the contractor may at any time seek a waiver from the Head of the Contracting Activity by submitting such waiver request to the Contracting Officer, including a full written description of the requested waiver and the reasons in support thereof.

Further, the AGO Ombudsman will maintain the reasonable and responsible confidentiality of the source of a concern, when such a request has been formally made by an authorized officer of an organization seeking to do business with, or already doing business with NOAA.

(c) Before consulting with the AGO Ombudsman, interested parties must first address their concerns, issues, disagreements, and/or recommendations with the respective contracting officer for resolution.

However, direct access to the AGO Ombudsman may be sought when an interested party questions the objectivity or equity of a contracting officer#s decision, or when there is a bona fide reason to believe that reasonable, responsible, and objective consideration will not be received from an assigned contracting officer.

(d) There are several constraints to the scope of the AGO Ombudsman#s authority, for instance:

(e) After review and analysis of a filed concern or recommendation, the AGO Ombudsman may refer the interested party to another more suitable federal official for consideration. Moreover, concerns, disagreements, and/or recommendations that cannot be resolved by the AGO Ombudsman will need to be pursued through more formal venues.

(f) The AGO Ombudsman is not to be contacted to request copies of forms and/or documents under the purview of a contracting officer. Such documents include Requests for Information, solicitations, amendments, contracts, modifications, or conference materials.

(g) Questions regarding items (a) through (f) within this language shall be directed to Rafael Roman, NOAA AGO Ombudsman, at Rafael.Roman@noaa.gov.

STATEMENT OF WORK

BUOY INSTALLATION SERVICES (SRI LANKA)

INTRODUCTION:

NOAA is seeking to expand the Coral Reef Early Warning System (CREWS) oceanographic and meteorological monitoring network into the Indian Ocean by installing a buoy within the Pigeon Island National Park off the northeast coast of Sri Lanka. The monitoring station represents an integrated hardware/software instrumentation platform linked to a data transmission system. This program is based at the National Oceanic and Atmospheric Administration (NOAA)/Atlantic Oceanographic and Meteorological Laboratory (AOML) in Miami, Florida.

SCOPE:

This solicitation is for the services of a qualified contractor traveling to Sri Lanka to conduct an ocean survey to find a location to meet the requirements for embedment anchor moorings to anchor a CREWS oceanographic and meteorological monitoring buoy. This job will require two trips, first for the survey and second, to, a) install embedment anchors, b) assemble the mooring array system, c) organize the local field team, and, d) supervise towing the buoy to the site and attaching it to the anchors. The job includes providing the hydraulic anchor installation equipment and materials for the second phase buoy installation and all personal travel expenses (air, local transportation, lodging, meals, dive equipment support, etc.) for both trips to Pigeon Island.

PERIOD OF PERFORMANCE: May 1, 2017 – December 1, 2018

QUALIFICATIONS:

The Contractor must be an advanced certified scuba diver with extensive experience in underwater drilling and mooring installation, and with a marine science background in coral reef ecology (to understand positioning requirements at the reef site), and embedment anchor technology for large boat moorings and bi-moor systems. Knowledge essentials include: 1) anchor installation requirements (e.g., mooring pins to match bottom type), 2) coral species identification, and, 3) proper use of hydraulic equipment and tools for drilling or driving embedment anchors (e.g., power unit, hoses, drill, jackhammer, and associated materials for either hard or soft bottom embedment anchor system). The Contractor shall be able to organize and supervise the safe performance of personnel involved In the project operations.

Information for above is available from the following citation:

Proceedings 8th International Coral Reef Symposium 2: 1995-2000. 1997. “ADVANCES

IN ENVIRONMENTAL MOORING TECHNOLOGY”

PAGE 19 OF 22 WC133R17RQ0244

OVERVIEW:

The contractor shall make two trips to Sri Lanka. The first is the site survey trip to the location in order to assess potential buoy sites and determine the exact locations and GPS coordinates for the final selection. Careful records of coral species locations and conditions shall be maintained. Parameters for site location shall be coordinated by AOML and collaboration with local staff. The bottom substrate with adequate holding power for the embedment anchors is the primary condition for determining the location.

A small dive boat may be available for the survey trip. Personal dive gear, air, tanks, weights, etc. shall be at the contractor’s expense. During this trip, meetings shall be conducted with local colleagues to determine stakeholder needs from the buoy and information products, and a plan for the second trip for the buoy installation.

The second phase requires a second trip to Sri Lanka. Prior to transport, the contractor shall supply the necessary installation equipment, system materials, and any other associated shipments needed in order to install the anchoring system, assemble the mooring system array, and deploy the buoy and support the operation. These shall need to be crated and packed for overseas shipment.

Mooring Array Materials:

Bi-Moor (two legs) materials with duplicate back-up systems (four total) consisting of the following coming down (i.e., toward the ocean bottom) from the buoy: 5 ft. X 1 inch chain, 10 ft. x 1-1/4-inch StormSoft shock absorber (no substitutions allowed for this), Joined by interlocking loops to 1-inch three-strand nylon rope with large (9-inch x 15-inch sub-surface float with 1-1/4-inch center hole), nylon line length determined by depth of deployed buoy in conjunction with minimally required scope. Bottom of nylon line must be shackled to an appropriate embedment anchor depending on bottom substrate type with ¾ -inch 316 stainless bolt-style shackle or galvanized metal to match galvanized anchor.

The contractor shall be responsible for organizing a team to assist preparation of the buoy for deployment. This may require making arrangements for a larger vessel for installing the anchors at the chosen site and deploying the buoy. While the anchors are being readied, the buoy anchor system array needs to be assembled and attached to the buoy. The buoy is floated to the site and the anchor lines are attached. The deployment is complete when the electronics are connected and data is being successfully processed.

A passport and visa for travel to Sri Lanka is required.
