TECHNICAL EXHIBIT 1

A pre-offer site visit is scheduled for Thursday, January 8, 2026, at 7119 W Portage River South

Road, Oak Harbor, OH 43449.

PART 1

GENERAL INFORMATION

1. GENERAL: The Ottawa National Wildlife Refuge (NWR) has a requirement for the procurement of water control structure components and delivery to the Smith Family tract of the Ottawa NWR Complex.

The Government shall not exercise any supervision or control over the contract service providers performing the services herein. Such contract service providers shall be accountable solely to the

Contractor who, in turn is responsible to the Government.

1.1 Description of Services/Introduction: The contractor shall provide all personnel, equipment, supplies, facilities, transportation, tools, materials, supervision, other items, and non-personal services necessary to procure and deliver water control structure components as defined in this Performance Work Statement.

The contractor shall perform to the standards in this contract.

1.2 Background: The Ottawa NWR Complex is enhancing 3 wetland units and improving drainage on the

Smith Family tract. Refuge staff will replace 3 stoplog structures and install 1 new stoplog structure to enhance management capabilities and wetland connectivity to the Portage River. Additional components include replacement of failed culverts. Vendor will procure and deliver the components of the structures

(pre-cast concrete boxes, double-walled HDPE plastic pipe, grating, aluminum stop logs, and associated materials for this project.

1.3 Objectives:

• Contractor will work with COR to produce shop drawings including layout, dimensions, hardware, etc. for each of the 4 water control structures.

• Procure standard market items as defined in this Performance Work Statement.

• Provide anticipated lead times in procurement of all items listed. Provide updates as received regarding delays in delivery of materials to the contractor. Provide recommendations for approval by the contract manager of alternative materials if planned materials are unavailable.

• Store procured items, as necessary, at the contractor’s facility until delivery date.

• Delivery of all items to designated locations of the Smith Family tract of Ottawa NWR. This includes loading, transport, and unloading of materials. Due to the nature of materials, the

140FS226Q0010 Water Control Structure Components Page 2 of 9 contractor will need to supply a crane of sufficient capacity to unload the materials. Multiple deliver dates may be required.

• Due to safety and infrastructure limitations at the delivery location, all bidders are required to attend an on-site pre-bid meeting.

1.4 Scope: Services include the procurement and delivery of listed materials to the Smith Family tract of

Ottawa NWR Complex. No construction, installation or construction management services are included in this scope of work; these tasks will be performed by refuge personnel.

1.5 Period of Performance: The period of performance is from the contract award date until 3/1/2026.

1.6 General Information

1.6.1 Quality Control: The contractor shall develop and maintain an effective quality control program to ensure services are performed in accordance with this PWS. The contractor shall develop and implement procedures to identify, prevent, and ensure non-recurrence of defective services. The contractor’s quality control program is the means by which they assure themselves that their work complies with the requirement of the contract.

1.6.2 Quality Assurance: The government shall evaluate the contractor’s performance under this contract in accordance with the Quality Assurance Surveillance Plan. This plan is primarily focused on what the

Government must do to ensure that the contractor has performed in accordance with the performance standards. It defines how the performance standards will be applied, the frequency of surveillance, and the minimum acceptable defect rate(s).

1.6.3 Recognized Holidays: Delivery of materials will not occur during federal holidays.

1.6.4 Hours of Operation: Delivery shall occur between the hours of 7:00 am and 4:00 pm eastern, unless other arrangements are made at least 10 working days in advance with the contract manager. There is no guarantee that expanded delivery times will be available. Some delivery dates may be unavailable, the contractor shall schedule for delivery as far as in advance as is practical.

1.6.5 Place of Performance: Delivery to the Smith Family tract of Ottawa NWR.

1.6.6 Type of Contract: The government will award a firm fixed price contract.

1.6.9 Post Award Conference/Periodic Progress Meetings: The Contractor agrees to attend any post award conference convened by the contracting activity or contract administration office in accordance with

Federal Acquisition Regulation Subpart 42.5. The contracting officer, Contracting Officers

Representative (COR), and other Government personnel, as appropriate, may meet periodically with the contractor to review the contractor's performance. At these meetings the contracting officer will apprise the contractor of how the government views the contractor's performance and the contractor will apprise the Government of problems, if any, being experienced. Appropriate action shall be taken to resolve outstanding issues. These meetings shall be at no additional cost to the government.

1.6.10 Contracting Officer Representative (COR): The (COR) will be identified by separate letter. The

COR monitors all technical aspects of the contract and assists in contract administration The COR is authorized to perform the following functions: assure that the Contractor performs the technical requirements of the contract: perform inspections necessary in connection with contract performance:

maintain written and oral communications with the Contractor concerning technical aspects of the contract: issue written interpretations of technical requirements, including Government drawings, designs, specifications: monitor Contractor's performance and notifies both the Contracting Officer and Contractor of any deficiencies; coordinate availability of government furnished property, and provide site entry of

Contractor personnel. A letter of designation issued to the COR, a copy of which is sent to the Contractor, states the responsibilities and limitations of the COR, especially with regard to changes in cost or price, estimates or changes in delivery dates. The COR is not authorized to change any of the terms and conditions of the resulting order.

1.6.11 Key Personnel: The following personnel are considered key personnel by the government:

contract manager. The contractor shall provide a contract manager who shall be responsible for the performance of the work. The name of this person and an alternate who shall act for the contractor when the manager is absent shall be designated in writing to the contracting officer. The contract manager or alternate shall have full authority to act for the contractor on all contract matters relating to this contract.

The contract manager or alternate shall be available during work hours while project personnel are present on government property. Qualifications for all key personnel are listed below: procurement services; safe transport, handling and delivery of large items of heavy weight; protection of materials from damage during loading, transport, and unloading.

1.6.16 Organizational Conflict of Interest: Contractor and subcontractor personnel performing work under this contract may receive, have access to or participate in the development of proprietary or source selection information (e.g., cost or pricing information, budget information or analyses, specifications or work statements, etc.) or perform evaluation services which may create a current or subsequent

Organizational Conflict of Interests (OCI) as defined in FAR Subpart 9.5. The Contractor shall notify the

Contracting Officer immediately whenever it becomes aware that such access or participation may result in any actual or potential OCI and shall promptly submit a plan to the Contracting Officer to avoid or mitigate any such OCI. The Contractor’s mitigation plan will be determined to be acceptable solely at the discretion of the Contracting Officer and in the event the Contracting Officer unilaterally determines that

140FS226Q0010 Water Control Structure Components Page 4 of 9 any such OCI cannot be satisfactorily avoided or mitigated, the Contracting Officer may effect other remedies as they deem necessary, including prohibiting the Contractor from participation in subsequent contracted requirements which may be affected by the OCI.

1.6.17 PHASE IN/PHASE OUT PERIOD: Not applicable.

PART 2

DEFINITIONS & ACRONYMS

2. DEFINITIONS AND ACRONYMS:

2.1. DEFINITIONS:

2.1.1. CONTRACTOR. A supplier or vendor awarded a contract to provide specific supplies or service to the government. The term used in this contract refers to the prime.

2.1.2. CONTRACTING OFFICER. A person with authority to enter into, administer, and or terminate contracts, and make related determinations and findings on behalf of the government. Note: The only individual who can legally bind the government.

2.1.3. CONTRACTING OFFICER'S REPRESENTATIVE (COR). An employee of the U.S. Government appointed by the contracting officer to administer the contract. Such appointment shall be in writing and shall state the scope of authority and limitations. This individual has authority to provide technical direction to the Contractor as long as that direction is within the scope of the contract, does not constitute a change, and has no funding implications. This individual does NOT have authority to change the terms and conditions of the contract.

2.1.4. DEFECTIVE SERVICE. A service output that does not meet the standard of performance associated with the Performance Work Statement.

2.1.5. DELIVERABLE. Anything that can be physically delivered, but may include non-manufactured things such as meeting minutes or reports.

2.1.6. KEY PERSONNEL. Contractor personnel that are evaluated in a source selection process and that may be required to be used in the performance of a contract by the Key Personnel listed in the PWS.

When key personnel are used as an evaluation factor in best value procurement, an offer can be rejected if it does not have a firm commitment from the persons that are listed in the proposal.

2.1.7. PHYSICAL SECURITY. Actions that prevent the loss or damage of Government property.

2.1.8. QUALITY ASSURANCE. The government procedures to verify that services being performed by the Contractor are performed according to acceptable standards.

2.1.9. QUALITY ASSURANCE Surveillance Plan (QASP). An organized written document specifying the surveillance methodology to be used for surveillance of contractor performance.

2.1.10. QUALITY CONTROL. All necessary measures taken by the Contractor to assure that the quality of an end product or service shall meet contract requirements.

2.1.11. SUBCONTRACTOR. One that enters into a contract with a prime contractor. The Government does not have privity of contract with the subcontractor.

2.1.12. WORK DAY. The number of hours per day the Contractor provides services in accordance with the contract.

2.1.13. WORK WEEK. Monday through Friday, unless specified otherwise.

3. GOVERNMENT FURNISHED ITEMS AND SERVICES:

3.1. Services: The Government will provide the following services: 1) Pre-bid site visit (required), 2)

Provide delivery location GPS coordinates of unloading locations, and delivery route map. 3) Evaluation of product substitutions and acceptance/rejection of proposed alternative products. 4) Pre-delivery site visit with contractor to inspect delivery locations and routes. 5) inspection of products upon delivery for damage.

3.2 Facilities: Not applicable.

3.3 Utilities: Not applicable.

3.4 Equipment: Not applicable.

3.5 Materials: Not applicable.

PART 4

CONTRACTOR FURNISHED ITEMS AND SERVICES

4. CONTRACTOR FURNISHED ITEMS AND RESPONSIBILITIES:

4.1 General: The Contractor shall furnish all supplies, equipment, facilities and services required to perform work under this contract that are not listed under Section 3 of this PWS.

4.2 Secret Facility Clearance: Not applicable.

4.3. Materials: The Contractor shall furnish all materials, supplies, and equipment necessary to meet the requirements under this PWS, including but not limited to: precast concrete boxes, stop log U channels, carp exclusion grating, top grating for concrete boxes, culvert pipes, sealants and anchor materials, connection boot from concrete box to pipe, double walled corrugated HDPE, clay pellet anti-seep sealant, carp exclusion grating, and aluminum stop logs. All structure materials are required to be non-corrosive limited to the following materials: concrete, plastic, aluminum, or stainless steel: galvanized materials are not acceptable. Stoplog lifting hooks are excluded from this requirement.

4.4. Equipment: The Contractor shall provide all equipment needed to complete this PWS, including but not limited to: appropriately sized transport vehicles for site conditions and materials being delivered, appropriately sized lifting equipment to safely unload materials without damage.

PART 5

SPECIFIC TASKS

5. SPECIFIC TASKS

5.1. Basic Services. The contractor shall provide procurement of materials and delivery to the Smith

Family tract of Ottawa NWR. This site is located at 7159 West Portage River South Road, Oak Harbor, Ohio. Latitude 41.496964 ° Longitude -83.070119 °. There will be multiple delivery locations within the property, with access on wetland dike tops.

5.2 Offeror requirements. Vendors will provide offers for each of the following components:

1. Offerors shall provide a lump sum total to include all project components, including delivery.

2. Provide an estimate of product lead times and anticipated delivery schedule with the offer package, in relation to contract award date.

3. Potential offerors are required to attend a pre-bid meeting January 8, 2026 at the delivery site

(7119 W Portage River South Road, Oak Harbor, OH 43449) to be provided a safety briefing, overview of access routes, and avoidance of utilities and potential hazards (ditches, tip-over, etc.).

5.3 Product availability, lead times, and recommendations

1. Contractor will provide product materials list for approval by COR within 10 business days of contract award date, along with an update on lead time for products. Order placement shall occur within 5 business days of approval of materials by the COR.

2. Contractor will provide weekly updates on availability issues and changes to anticipated delivery schedule.

3. Contractor will provide recommendations regarding alternative materials in the event of product unavailability or lead times that exceeds the contract end date. Alternative materials may be ordered immediately upon approval of the COR.

5.4 Shop Drawings

1. Contractor will submit shop drawings including layout, dimensions, hardware, etc. for each of the

4 water control structures and all components to the COR for approval.

5.5 Supplies and materials

1. Pre-cast concrete box. Height varies (5.5.1 e-h), quantity 4.

a. 4x3 feet interior dimension (5x4 feet exterior), 6-inch-thick walls and floor. Provide 4 embedded lifting hooks per section of box. Vendor will provide boxes in 2 sections with maximum of 9000 lbs. per section. With ½ rebar on 9 inch centers or equivalent? Top section to be made with a flat top edge and a 2.5” x 2” recess to accept grating. Provide a bell at bottom edge to interlock the sections together. The joint shall be sealed with 2 continuous pieces of CS-101 .88” x .88” x 14.5’ sealant. Base section shall be the same interior size as the upper section and have a floor 6” thick that extends 12” past the long exterior wall to aid in stability. Depth of base to be 4’ to inside floor. Top of base shall have a tongue to interlock to the top section. 2 – pipe to manhole connector boot shall be installed centered with an invert of 6” up from base of the inside. Connector shall meet

ASTM C932. Each Connector shall be sized and designed for 24” dual wall pipe.

Connector shall be on the opposite end of the structure.

b. Concrete minimum psi rating is 5000 PSI @ 28 days. Air Content 6% +-2%

c. Two 24-inch openings in base centered on opposite sides, 6 inches above concrete floor, with integrated rubber boot for connection to 24-inch dual wall HDPE corrugated pipe, Connector shall meet ASTM C932

d. Top of boxes inset cut around top interior edge, 3 inches wide by 2 inches deep to accept aluminum bar grating (Item 5.5.2)

e. Box 1: 8 feet total height

f. Box 2: 9 feet total height

g. Box 3: 6.5 feet total height

h. Box 4: 7 feet total height

2. Aluminum bar grating platform top cover for each structure. 19-SG-4 Swaged Aluminum

Rectangular Bar Grating 2 inches thick, smooth top. Sections cut to fit and edge band welded, 3 sections per structure (3x approximately 17.75 inches wide x 41 inches long).

3. Aluminum stop logs, 46 inch long, 6 inches high, 2 inches thick, quantity 40 pieces. All stop logs will have 2 Machined, milled internal lift slots, cut and sized for lift hook item 5.5.4.

4. Lift hook sized 1 foot taller than interior height of each structure, 2 total per structure, heights vary.

5. Aluminum carp exclusion grating, 46 inch wide by 1 foot tall, with internal lift slot. Vertical cross bracing spaced to provide 2.75-inch clear opening between bracings. Quantity 4.

6. Beaver exclusion grating, quantity 8 (2 per structure). Aluminum 1 inch by 0.25 thick, welded for spacing of 6-inch clear openings horizontally and vertically. Outside dimension sized to cover end of 24-inch pipe. Provide hinged attachment and fasteners to attach to ends of HDPE

7. Aluminum stop log U channel, 3 inches by 2-inches, welded both sides (solid weld at least 1 side to provide watertight seal) to 6 inch wide 0.25-inch-thick flat aluminum stock. Provide U channel set for bottom of structure, and 2 sides to top of structure. Alternating 0.5-inch holes drilled every

12 inches on each side of the U channel sections for anchors. Quantity 4: 1 complete set of 1 bottom and 2 sides sized for each structure.

8. 24-inch dual wall HDPE corrugated pipe.

a. Advance Drainage Systems N-12® HDPE ST IB PIPE (Soiltite) or approved equivalent or better

b. 16 sections, each 20 feet long

9. Bentonite pellet sealant

a. AquaBlok or approved equivalent or better

b. 7 containers of 2400 lbs. each

10. Miscellaneous supplies

a. Mastic sealant, rubber butyl, for concrete box joint connections. Quantity of sealant sufficient for full length coverage of all 4 sides of each box, for all 4 structures.

b. Mastic sealant, rubber butyl, for U-channel connections to concrete, for item 5.5.7.

Quantity of sealant sufficient for full length coverage of 2 sides and bottom section of U-channel for all 4 structures.

c. 3/8"-16 x 3” Wedge Anchors with nuts and washers, 304 Stainless Steel, quantity 100.

5.6 Delivery

1. Delivery entrance point is defined in 5.1. Multiple unloading locations are shown on the attached map.

2. Delivery schedules shall be determined with the COR as far in advance as is practical, but no later than 10 business days prior to delivery.

3. Delivery schedules shall include alternate delivery date(s) in the event of inclement weather or other conditions that would make delivery impractical or unsafe.

4. Due to the number of structures, multiple delivery dates will likely be required. The contractor will determine number of dates needed with the COR.

5. Repair of damage to refuge infrastructure during delivery due to carelessness or negligence will be at the expense of the contractor.
