a. Incumbent Contractor.
Background: The Eaton Corporation is uniquely positioned to immediately provide a workforce, and has demonstrated through their past performance record that they have the capability to conduct the required tasks without a break in service.
The tool used by Eaton the Eaton XCP™ software services; copyrighted in 2017 to the Eaton
Corporation with “All right reserved.” This is a proprietary service tool developed for the sole use by Eaton Corporation technician to service, calibrate, and setup of Eaton’s Uninterrupted Power Systems (UPS). This service tool software must be used anytime that the technicians are on-site to access the units. Based on the contract history, Eaton Corporation has been successful in meeting the PD ALTESS’s cost, schedule, and performance requirements.
The current Uninterrupted Power Supply Preventative Maintenance and Repair Service contract (W91QF5-13-P-0048) was awarded on a sole source basis to the Eaton Corporation on an Other Than Full and Open Competition on 5 August 2013 and expired on 31 March 2018.
There are no other known contract vehicles capable of providing the use of another source.
The Department of the Army, does not have the organic resources necessary to meet mission requirements; therefore, the PD ALTESS must have continued contract support.
Alternatives considered by the Government Consisted of:
(a) Suspend Operation: Suspending the operation is not a feasible solution due to the PD ALTESS’s critical mission PD ALTESS can't afford for any of their 5 UPS units to be offline at any time. EATON is the only contractor that is able to perform the requirements stated in the PWS and keep PD ALTESS's 5 UPS's running.
(b) Use In-House Expertise/Personnel. The PD ALTESS does not have the organic resources necessary to meet the mission requirements solely using in-house personnel.
5. Efforts to Obtain Competition: Based on information in paragraph 5, above, competition for this action is not feasible.
a. Effective Competition: Because this is a sole source action, effective competition is not applicable.
b. Subcontracting Competition: No subcontracting is expected; Eaton Corporation is capable of performing 100% of the requirement.
6. Actions to Increase Competition: A Notice of Intent to issue an award to a single source in accordance with FAR 6.302-2 for an initial performance period of 12-month base year with four (4) (12)-month options years was publicized on Federal Business Opportunities (FBO) website on 27 March 2018 with a closing of 29 March 2018. As a result of this posting, no other firm has shown interest in this requirement.
7. Market Research: In accordance with Defense Federal Acquisition Regulation Supplement (DFARS) 205.205-71, DFARS 206.302-1(d), and DFARS Procedures, Guidance and Information (PGI) 206.302-1(d), market research was conducted in accordance with FAR Part 10 by posting a Sources Sought Notice on 27 March 2018 by posting of the proposed contract action on FBO, advising industry of the pending acquisition, soliciting inquiries from interested persons and reviewing current/existing contracts at other installations. The Government determined, based on the market research conducted, that commercial services were available to satisfy the Government’s needs and the contract would be awarded as a commercial service.
8. Interested Sources: Due to the proprietary nature of the software and the fact that the intellectual property is not provided or licensed to outside parties, there are no other parties that can perform the work. The incumbent contractor, Eaton Corporation, is the only known source capable of satisfactorily providing the preventative maintenance and repairs for the Uninterrupted Power Supply equipment to perform the required services.

The purpose of this contract is to provide support for critical power equipment that is essential to operation of the PD ALTESS mission, located in Radford, Virginia on a secure facility requiring advance notification and approval by PD ALTESS.
