The Contractor shall develop procedures covering key control that shall be included in the Quality Control Plan. Such procedures shall include turn-in of any issued keys by personnel who no longer require access to locked areas. The Contractor shall immediately report any occurrences of lost or duplicate keys/key cards to the KO.
1.5.7.3. Keys: In the event keys, other than master keys, are lost or duplicated, the Contractor shall, upon direction of the KO, re-key or replace the affected lock or locks; however, the Government, at its option, may replace the affected lock or locks or perform re-keying. When the replacement of locks or re-keying is performed by the Government, the total cost of re-keying or the replacement of the lock or locks and all GFP lost or stolen because of keys being duplicated, misplaced, or lost by the contractor, will be deducted from the monthly payment due the Contractor. In the event a master key is lost or duplicated, all locks and keys for that system will be replaced by the Government and the total cost deducted from the monthly payment due the Contractor.
1.5.7.4 The Contractor shall prohibit the use of Government issued keys/key cards by any persons other than the Contractor’s employees. The Contractor shall prohibit the opening of locked areas by Contractor employees to permit entrance of persons other than Contractor employees engaged in the performance of assigned work in those areas, or personnel authorized entrance by the KO.
1.5.7.5 Lock Combinations: The Contractor shall establish and implement methods of ensuring that no lock combinations are revealed to unauthorized persons. The Contractor shall ensure that lock combinations are changed when personnel having access to the combinations no longer have a need to know such combinations. These procedures shall be included in the Contractor’s Quality Control Plan.
1.5.8 Non-disclosure Statement: The Army has a Use and Nondisclosure Agreement (NDA) requirement for each person supporting the Army, as prescribed by Defense Federal Acquisition Regulation Supplement (DFARS) 227.7103-7 and DFARS 252.227-7025. Contractor personnel shall complete and sign an NDA prior to commencement of contract award. This requirement extends to all subcontractors and teaming arrangements. The NDA shall be provided to the COR and Administrating Contracting Office (ACO) during the on-boarding process and prior to the start date and any direct involvement with the contract. The contractor shall obtain all necessary approvals prior to obtaining access to proprietary information in accordance with FAR 9.505-4(b). Because the contractor may obtain proprietary information of other contractors during performance of this contract, pursuant to FAR 9.505-4, firms must execute an agreement with other contractors that states that they will (1) protect the contractor’s information from unauthorized use or disclosure for as long as it remains proprietary, and (2) refrain from using the information for any purpose other than that for which it was furnished. This requirement shall flow down to all subcontractors.
1.5.8.1 Disclosure Information: Reference DFAR 252.204-7000 Disclosure of Information (Oct 2016). The contractor shall not use or disclose information developed or delivered under this contract for any purpose other than as required for performance of the contractor’s contractual obligations without the specific authorization of the KO.
1.5.8.2 Inspector General Inquiries: The contractor shall cooperate with inspection, audits, surveys and requests for information, as required. The contractor shall provide access to the Government for the purposes of reviewing, inspecting and evaluating the Contractor’s property management plan(s), systems, procedures, records, and supporting documentation that pertains to GFP. This access includes all site locations and, with the Contractor’s consent, all subcontractor premises. The contractor shall provide, without prior notice, supporting documentation as needed for Army Audit Readiness and other audits, in accordance with FAR 52.245-1(g).
1.5.9 Post Award Conference/Periodic Progress Meetings: The contractor shall attend post award conference convened by the contracting activity or contract administration office in accordance with FAR Subpart 42.5 Post Award Orientation. The KO, KO’s Representative (COR), and other Government personnel, as appropriate, may meet periodically with the contractor to review the contractor's performance. At these meetings the KO will apprise the contractor of how the government views the contractor's performance and the contractor will apprise the Government of problems, if any, being experienced. Appropriate action shall be taken to resolve outstanding issues.
These meetings shall be at no additional cost to the government.
1.5.9.1 Financial/Cost Reporting for the Contract: (CDRL A004). The contractor shall provide a Monthly Financial Status Report (MFSR) that includes a monthly and cumulative financial summary of labor expended, by CLIN and/or subCLIN, related to each respective monthly effort.

The COR is authorized to perform the following functions - assure that the contractor performs the technical requirements of the contract, perform inspections necessary in connection with contract performance, maintain written and oral communications with the contractor concerning technical aspects of the contract, issue written interpretations of technical requirements, including Government drawings, designs, specifications, monitor contractor's performance, notify both the KO and Contractor of any deficiencies, coordinate availability of GFP, and provide site entry of contractor personnel. A letter of designation issued to the COR, a copy of which is sent to the Contractor, states the responsibilities and limitations of the COR, especially with regard to changes in cost or price, estimates or changes in delivery dates. The COR is not authorized to change any of the terms and conditions of the contract.
1.5.11 Key Personnel: The contractor shall have personnel assigned that are Certified Public Accountants who have been licensed by the appropriate state licensing authority and Certified Information Systems Auditor (CISA) with audit and audit remediation experience. They must be in good standing with the American Institute of Certified Public Accountants (AICPA) and applicable state boards. The Government reserves the right to review and approve resumes of all candidates prior to their assignment. The contractor shall maintain a list of all Key Personnel at all times. Contractor shall notify the COR in writing of all decisions relative to key personnel for informational purposes only, i.e., extended period of absence (more than three consecutive days), corporate travel (more than 3 consecutive days), reassignments, vacations (more than 3 consecutive days), etc. Award of a Contract will constitute the government’s approval of Key Personnel. The contractor may propose individuals, regardless of labor category, as "key personnel" whenever the individual performs a function(s) that is believed to be critical to successful performance on any segment of this contract.
1.5.12 Identification of Contractor Employees: All contract personnel attending meetings, answering Government telephones, and working in other situations where their contractor status is not obvious to third parties shall identify themselves as contractor personnel to avoid creating an impression in the minds of members of the public that they are Government officials. All documents or reports produced by contractors shall be suitably marked as contractor products or that contractor participation is otherwise appropriately disclosed. Contractor personnel are required to have a Government issued Common Access Card (CAC) and may be required to wear badges.
1.5.13 Contractor Travel: Travel may be required to obtain information and complete the analysis of plans, discovery work and corrective actions. AMC is located in all 50 states and in 148 countries. Specific locations for travel are unknown until selected by the Independent Public Accountant (IPA). Advance notification shall be provided to the appropriate Army point of contact to allow for clearances and site preparation. Reimbursement of expense shall be IAW the Joint Travel Regulation (JTR). Travel shall be approved in advance by the COR. Travel shall not commence until written approval is received. Occasional meetings may be held at Army Entity locations.
Travel costs are expected to be high, as fieldwork will require extensive travel. Local travel performed in the course of contract performance will not be reimbursed by the contract. Receipts must support any allowable cost expenses in accordance with the JTR for travel over seventy-five dollars ($75.00). Contractor will be required to travel CONUS, OCONUS, and within the National Capital Region (NCR) during the performance of this contract. The contractor may be required to ship training material to locations when training is required. Contractor will be authorized travel expenses consistent with the substantive provisions of the Joint Travel Regulation (JTR) and the limitation of funds specified in this contract. Travel is reimbursable and will be evaluated via a modification if additional funding is required.
1.5.14 Contractor Other Direct Costs: Other Direct Costs/Incidentals: The contractor may be required to provide incidental materials for the performance of this contract. These item(s) are considered "Open Market Items" and the contractor shall follow the procedures established in FAR 52.244-2 and FAR 52.244-5. The Contractor shall submit for approval any ODCs prior to incurring the obligation. The COR can approve ODC purchases made by the contractor up to $25,000. KO shall be copied on all ODC requests and reserves the right to approve/disapprove even if within the COR threshold approval. All ODCs greater than $25,000.00 shall be submitted to the COR for validation with final approval provided by the KO. ODC requests shall include multiple quotes. All materials purchased by the contractor to support this contract become property of the government. The contractor shall document the transfer of the materials in accordance with established agency procedures.
1.5.15 Organizational Conflict of Interest: Contractor and subcontractor personnel performing work under this contract may receive or have access to proprietary information, which may create a current or subsequent Organizational Conflict of Interest (OCI) as defined in FAR Subpart 9.5 and the US GAO “The Yellow Book” Government Auditing Standard (also known as the Yellow Book OCI standards). The Contractor shall notify the KO immediately whenever it becomes aware that such access or participation may result in any actual or potential OCI and shall promptly submit a plan to the KO to avoid or mitigate any such OCI. The Contractor’s mitigation plan will be determined to be acceptable solely at the discretion of the KO and in the event the KO unilaterally determines that any such OCI cannot be satisfactorily avoided or mitigated, the KO may affect other remedies as he or she deems necessary, including prohibiting the Contractor from participation in subsequent contracted requirements which may be affected by the OCI.
To prevent the improper release or disclosure of information, or any actual or perceived personal or organizational conflict of interest that might arise in the performance of this contract, the contractor shall bring any potential conflicting relationships or financial interests held by the contractor, its key employees, or others executing performance on behalf of the contractor to the attention of the Contracting Officer throughout the life of this contract. If the Contracting Officer determines that an unacceptable conflict or violation exists, the contractor shall take the actions necessary to mitigate or eliminate the conflict or violation.
1.5.16 Records and Data: All data and data rights associated with this effort will be property of the U.S.
Government. “DFARS 252.227-7020 Rights in Special Works JUN 1955.”
1.5.17 Safety: The work is administrative and does not involve any construction activities, so a safety plan is not required. The contractor will follow the safety requirements for each individual site visited (such as evacuation plans, weather warnings, traffic rules, etc.).
1.5.18 Duplication of Effort: The contractor shall ensure that there is minimum duplication of effort in the execution of all work specified in the PWS. The contractor shall build upon work previously accommodated by the Government, the contactor, or other contractors to the fullest extent practical.
1.5.19 Cooperation/Coordination with other Contractors: There may be multiple contractors (i.e. from more than one contract vehicle and/or company) supporting the Army, tasked to work on systems that interface with applications within the financial statement family of systems. The contractor shall work with these other contractors as required and approved by the Government to accomplish Government requirements, goals, and objectives as efficiently and effectively as possible. This may include, but is not limited to, sharing or coordinating information (as approved by the Government) resulting from the work required by this PWS or previous Government efforts, and/or working as a team to perform tasks in concert.
1.5.20 Contract Deliverables: The submission and review of information submitted under the Contract Deliverables Requirements List (CDRL) required by this PWS shall not limit the Government’s rights and remedies under other provisions of the contract. A full list of CDRLs will be included in Section J of the contract.
1.5.21 Service Contract Reporting Requirements in the System for Award Management (SAM): In accordance with FAR 52.204-14 Service Contract Reporting Requirements, the contractor shall report ALL contractor labor hours (including subcontractor labor hours) required for performance of services provided under this contract via a secure data collection site. The contractor shall completely fill in all required data fields in the Service Contract Reporting (SCR) section of the System for Award Management (SAM) using the following web address: https://www.sam.gov. Reporting inputs will be for the labor executed during the period of performance during each Government FY, which runs October 1 through September 30. While inputs may be reported any time during the FY, all data shall be reported no later than October 31 of each calendar year.
1.5.22 Supervision of On-Site Contract Employees: The contractor shall be solely responsible to manage and supervise contractor employees at all times. The contractor shall be responsible for management and administration of contractor personnel performing this task, and the contractor bears all responsibility for contractor performance.
All managerial duties for contractor personnel are the responsibility of the contractor, not the Government. The contractor will assign a Contractor Director as the main point of contact between the government and the contractor.
The contractor shall independently determine how to best complete the desired workload. The contractor shall independently, and not as an agent of the Government, exert its best efforts and furnish the necessary personnel to perform the work.
